E.1 American Bureau of Shipping Material Certificates

Maritime Administration ships are classed by the American Bureau of Shipping (ABS). All material furnished or installed under this contract shall conform to the highest standards of the ABS. The Contractor shall furnish certificates of ABS examination and approval for all such material to the Contracting Officer or COTR prior to commencement of work authorized by this contract.

F.3 Liquidated Damages--Supplies, Services, or Research and Development FAR 52.212-4 (APR 1984)

a) If the Contractor fails to deliver the supplies or perform the services within the time specified in this contract, or any extension, the Contractor shall, in place of actual damages, pay to the Government as fixed, agreed, and liquidated damages, for each calendar day of delay the sum of $ per day.

b) Alternatively, if delivery or performance is so delayed, the Government may terminate this contract in whole or in part under the Default--Fixed--Price Supplies and Services clause in this contract and in that event, the Contractor shall be liable for fixed, agreed and liquidated damages accruing until the time the Government may reasonably obtain delivery or performance of similar supplies or services. The liquidated damages shall be in addition to excess costs under the Termination clause.

c) The Contractor shall not be charged with liquidated damages when the delay in delivery or performance arises out of causes beyond the control and without the fault or negligence of the Contractor as defined in the Default--Fixed--Price Supplies and Services clause in this contract.

SECTION H - SPECIAL CONTRACT REQUIREMENTS

H.1 Requirement of Offeror(s) Who are Non-Holders of the MLSRA

In the event a bidder has not executed the MLSRA and wishes to respond to this solicitation, it may do so provided it indicates in writing that all terms and conditions of the Agreement apply to its bid, and provides acceptance of the MLSRA with the solicitation document and provides all annual representation and certifications as required in the MLSRA and in Section K of this solicitation. Failure to agree to the terms and conditions of the MLSRA and/or failure to provide annual representations and certifications changes as required may result in a determination of non-responsiveness.

NOTE: All terms, conditions, articles, and referenced documents and clauses of the Maritime Administration Master Lump Sum Repair Agreement (MLSRA), dated 02-19-88 through and including modification number 0014, shall be considered part of this contract. (Actual copies of the MLSRA are not included herein; contact the individual listed in Block 10 of the SF-33 for more information, if necessary.)

K.3 FAR 52.203-8 Requirement for Certificate or Procurement Integrity (NOV 1990)

(a) Definitions. The definitions at FAR 3.104-4 are hereby incorporated in this provision.

(c) (1) For procurements using sealed bidding procedures, the signed certifications shall be submitted by each bidder with the bid submission except for procurements using two-step sealed bidding procedure (see Subpart 14.5). For those procurements, the certifications shall be submitted with submission of the two step sealed bids. A certificate is not required for indefinite delivery contracts (see Subpart 16.5) unless the total estimated value of all orders eventually to be placed under the contract is expected to exceed $100,000.

(2) For contracts and contract modifications which include options, a certificate is required when the aggregate value of the contract or contract modification and all options (see 3.104-4(e) exceeds $100,000.

(3) Failure of a bidder to submit the signed certificate with its bid shall render the bid non-responsive.

(d) Pursuant to FAR 3.104-9(d), the Offeror may be requested to execute additional certifications at the request of the Government. Failure of an Offeror to submit the additional certifications shall cause its offer to be rejected.

(e) A certification containing a disclosure of a violation or possible violation will not necessarily result in the withholding of award under this solicitation. However, the Government, after evaluation of the disclosure, may cancel this procurement or take any other appropriate actions in the interests of the Government, such as disqualification of the Offeror.

(f) In making the certification in paragraph (2) of the certificate, the officer or employee of the competing contractor responsible for the offer may rely upon a one time certification from each individual required to submit a certification to the competing contractor, supplemented by periodic training. These certifications shall be obtained at the earliest possible date after an individual required to certify begins employment or association with the contractor. If a contractor decides to rely on a certification executed prior to the suspension of section 27 (i.e., prior to December 1, 1989), the

(g) Certifications under paragraph (b) and (d) of this provision are material representations of fact upon which reliance will be placed in awarding a contract.

L.1 Requests for Explanation or Information

Oral or written requests for explanations or information regarding this solicitation should be directed to:

L.2 Preparation of Offers

(a) By signing and completing the Standard Form 33, "Solicitation, Offer and Award" (labeled Part 1) and completing Section K, "Representations Certifications and Other Statements of Offerors", the bidder constitutes his/her acceptance of the terms and conditions of this solicitation. Upon completion, the offer must be submitted as specified in paragraph L.3, herein. This same document (solicitation/offer) becomes the vehicle for execution of the Contract when the Standard Form 33 is signed and dated by the Contracting Officer.

(b) Offerors are expected to examine the entire solicitation document (Parts I, II, III and IV) and the MLSRA dated 02-19-88, including all modifications through 0014 dated 07-14-94. Failure to do so will be at the offeror's risk.

(c) Each offeror shall furnish the information required by the solicitation (Parts I, II, III and IV). The offeror shall sign the solicitation and print or type its name on the Standard Form 33, Labeled Part I, Blocks 15, 16, and 17. Erasures or other changes must be initialed by the person signing the offer. Offers signed by an agent shall be accompanied by evidence of that agent's authority, unless that evidence has been previously furnished to the issuing office.

(d) OFFERS MUST SET FORTH FULL, ACCURATE, AND COMPLETE INFORMATION AS REQUIRED BY THIS SOLICITATION (INCLUDING ATTACHMENTS). THE PENALTY FOR MAKING FALSE STATEMENTS ON OFFERS IS PRESCRIBED IN 18 U.S.C. 1001.

SECTION M - EVALUATION FACTORS FOR AWARD

M.1 Award Factors

Award shall be made to the lowest responsive and responsible bidder based on the following factors:

a) Total price of all contract line item numbers in Section B.

b) Ability to meet the Required Delivery Schedule.

c) Prior approval of contractor facility, or previously accepted facility survey and financial approval.

II. PREAMBLE TO SPECIFICATIONS

The Contractor shall furnish and provide all services, equipment, material and labor as specified by this Contract.

Any supplementary emergent work or material acquisitions not included in this Specification must be authorized, in writing, by Contracting Officer's Technical Representative (COTR).

DESCRIPTION SPECIFICATION/WORK STATEMENT:

The Contractor shall have on-site at all times during Activation and test trials a representative, with the authority to fully execute and negotiate all supplemental work. These representatives shall be recognized in writing immediately upon award of Contract.

All material, equipment, etc., used in the prosecution of the specifications shall be at least equal to that of the original, be certified by an established industry-wide recognized firm for marine application and in full compliance with the Rules, Regulations and requirements of the American Bureau of Shipping (ABS) and US Coast Guard (USCG), where applicable. Compliance with this requirement must be demonstrated by presentation of Contractor's purchasing and material receipt records when requested by the COTR. In any event, Contractor shall provide a consolidated report of such material pedigrees as is required by Contract Section K. Where the terms "or equal" or "as approved" appear in the Specification, it shall be understood that the COTR will make the determination as to whether a substitute proposed by the Contractor is equal to the item mentioned in the specification and will also be the one to provide "approvals".

Any and all equipment, machinery, systems, tankage, etc. opened in the prosecution of the specifications, including any and all interferences, removals, etc., in way of, shall be closed-up, reinstalled, replaced, etc.. Prior to closure of all such equipment, including machinery, sumps, cofferdams, tanks, voids, valves and piping, the Contractor shall thoroughly inspect the interiors of such, for the absence of foreign materials, cleanliness, and the tightness and adequacy of any fixtures or equipment contained therein. Any deficiencies shall be called to the attention of the COTR, and shall be resolved prior to the completion of the closure. Said equipment, machinery, systems, tankage, etc., shall be tested in accordance with accepted practices to prove tightness and proper operations upon completion of work. Contractor shall maintain a list loosened, opened, altered fasteners and/or closures and demonstrate tightness of same upon completion of work to the COTR. Contractor shall notify COTR prior to any closures.

GTS ADMIRAL CALLAGHAN ACTIVATION SPECIFICATION Page 19 Contractor shall maintain a consolidated list of all blanking, plugging, etc., installed for testing purposes and demonstrate removal of same to the Contracting Officer's Technical representative (COTR). List to include the location, the component, the date opened, the date closed, the reason for opening, and the name and position of the Contractor's Representative who inspected the internals of the intended closure and certified it satisfactory.

A Closure Log and a Test Fittings Log shall be maintained continuously up to date, independent of any other procedures of documents that may also refer to these closures or fittings, and shall be available for review by the COTR upon request. At the completion of the industrial period the Contractor shall present a consolidated typewritten report (four (4) copies) identifying all closures, fixtures, equipment, valves, fittings, etc., remaining out of their normal positions. This listing is intended to provide a single document for use by the activating ship's Engineer to restore the ship and all its equipment to readiness for operation. Deliverable (four (4) copies).

The Contractor will supply safety inspections and hazard preventing measures in line with modern safety principles, and to be responsible for the maintenance and safety of vessel and personnel while working on board.

A fire watch is to be maintained during all burning and welding operations.

The Contractor and his employees shall pursue the work without detriment to the environment and perform all work consistent with industry wide standards and all laws and regulations governing the control of pollution of the environment without additional cost to the Government.

Government representatives and or ship's crew will be permitted to engage in normal maintenance activities provided such activities do not interfere with the performance of the Contract. Such persons shall be bound by the work practices and procedures of the Contractor with respect to safety.

To avoid commingling (mixing) of different manufacturers' lubricants, the Contractor shall use the same products as are or were in use aboard the vessel. The ship's lubrication charts, located in the Chief Engineer's office, shall be used to determine the product to be used in a particular piece of equipment and as may be required by the Specifications.

III. GENERAL CONDITIONS AND NOTES

This vessel is owned by the United States of America acting through the Department of Transportation, Maritime Administration (hereinafter called MarAd).

Keystone Shipping Company (hereinafter called Keystone) has been designated by MarAd as General Agent. It should be clearly understood that all work and services specified and/or ordered throughout the activation period shall be for and on behalf of MarAd.

The General Agent will employ a Site Manager (hereinafter called Keystone Port Engineer) for the duration of this contract. Contractor will be informed in writing the name of authorized Keystone Port Engineer who will supervise the activation and other repair activities on behalf of Keystone and MarAd.

INVOCATION OF MASTER LUMP SUM REPAIR AGREEMENTREQUIREMENTS

The general conditions for work under the Department of Transportation, Maritime Administration Master Lump Sum Repair Agreement (MarAd-MLSRA) are a part of this Specification, and any conflict between this Specification and the MarAd-MLSRA shall be governed by the provisions of the said Agreement (MLSRA).

Vessel is a full roll-on/roll-off cargo ship with raised after house. Accommodations are located in the after house area. The cargo decks are as follow: Upper hold, lower hold, upper tween deck, and lower tween deck are located below the weather deck and are totally enclosed. All decks are serviced by fixed ramps. The weather deck has numberous cargo booms. The two jumbo booms have a capacity of one hundred twenty tons. Both jumbo booms can be “married” to obtain a maximum lift of two hundred forty tons. Holds are separated by hydraulic watertight doors. Propulsion is by two General Electric LM-2500 gas turbine engines, and through reduction gear, are directly connected to constant pitch propellers.

V. SPECIFICATION ITEMS

001 SKILLED LABOR

The Contractor shall provide skilled labor to assist vessel's General Agent to carry out all activation requirements at Pier 80, Port of San Francisco. Quote a uniform price per man-hour for trades including, but not limited to Shipfitters, Machinists, Riggers, Pipefitters, Burners and Welders. Individual tasks will be covered by Delivery Order.

002 UNSKILLED LABOR

Provide unskilled labor for general assistance, cleaning, and the like during the activation period. Quote a uniform rate per man-hour for all unskilled labor. Individual tasks will be covered by Delivery Order.

003 ELECTRICIANS

Provide vessel with at least two (2) skilled electricians, as approved by Keystone Port Engineer, on a twenty-four (24) hour per day basis throughout the activation period. Quote a uniform price per man-hour for this item.

004 GAS FREE CERTIFICATE

Furnish services of a Certified Marine Chemist to inspect vessel and test all tanks, compartments and void spaces prior to Contractor's starting any burning or welding activity aboard this vessel. All tanks, compartments and void spaces must be certified "SAFE FOR MEN - SAFE FOR HOT WORK", except fuel tanks providing no work is to be performed adjacent to or therein. The condition of all fuel tanks must be shown on gas free certificate. Maintain certificates on a daily basis, or at any time conditions warrant same, by use of Certified Marine Chemist or Competent Person, who visually inspects vessel and tests atmosphere to ensure that no changes to vessel's conditions, which would invalidate current certificate, have occurred.

Furnish four (4) copies of original gas free certificate and all subsequent certificates to Keystone Port Engineer, and post one (1) copy at a conspicuous location in vicinity of gangway.

Quote a price per certificate issued. Quote a price per day for updates all certificates.

For continuing hot work a new test by a Competent Person is required every twenty-four (24) hours or whenever conditions change in the vicinity of such hot work.

005 FIRE PROTECTION AND FIRE WATCH

Contractor shall provide competent fire watch, acceptable to attending Keystone Port Engineer, in areas adjacent to burning and welding operations while same are in progress.

NOTE: Vessel's fire main will be in service during activation period, however, Contractor shall provide his own portable extinguishers and other fire protection gear in the vicinity of his ongoing work.

006 GARBAGE AND DEBRIS REMOVAL

Furnish labor, equipment, and containers on board vessel to receive and retain all waste material generated by Contractor's and Owner's activities during activation and repair period. Containers are to be checked on a daily basis and debris not allowed to accumulate.

007 SANITARY FACILITIES ABOARD

Provide two (2) portable toilets at the vessel's gangway for use by the Contractor's personnel and service units daily during the entire performance period. Remove portable toilets at completion of activation.

008 OIL BOOM

Provide necessary labor, material, oil boom, and work boat to install and remove a floating oil boom for fueling operations. Boom is to be sufficient size to encompass entire vessel. When directed by Port Engineer, remove boom.

011 REMOVAL OF STACK COVERS

Furnish labor and equipment to remove two main engine exhaust stack covers and stow as directed by Port Engineer. Stack exhaust covers are located atop port and starboard fidleys, and may require staging / ladders to remove.
