(IFB 19-17) Background Information: The 2008 Final Master Plan Update for Frederick Municipal Airport (FDK) identified the current Runway 5/23 length of 5,220 feet to be inadequate in order to support 75 percent fleet mix at 60 percent useful load. The FAA utilized fleet mixes for aircraft type and percentages of useful load in order to calculate future runway design demand. While useful load in an aircraft could be passengers, it will likely be additional fuel purchased at FDK, increasing range and safety margins. Additionally, Runway 5/23 is currently designed to Airplane Design Group C-II for 49-78 feet, which was found to be inadequate for the fleet mix. Recommendations from this update were to develop Runway 5/23 to a length of 6,000 feet and for all future Runway 5/23 and associated Taxiways to be designed to C-III standards for wingspans of 79-117 feet. This would include a relocation of Taxiway A to a 400 foot offset from the runway. The "Extend Runway 5/23" project is a 600 foot extension to the Southwest end of Runway 5 resulting in 5,820 feet of usable runway. Also included would be a hold apron and associated Taxiway A in compliance with design group C-III. This project will increase the competiveness of FDK by enhancing safety and capacity to our customers. Committee Recommendations if Applicable: The Airport Commission was briefed about this contract at a regularly scheduled and advertised meeting on July 25,2019. RE: Approval of future FAA grant (#pending), corresponding MAA Grant, associated Delta Task Orders # 18 and # 19 for Extend Runway 5/23 and Relocate Parallel Taxiway A Design Services at the Frederick Municipal Airport

Mayor O'Connor & Board of Aldermen,

At the regularly scheduled and advertised Airport Commission meeting held July 25, 2019, airport staff discussed this year's grant application for the Federal Aviation Administration's (FAA) Airport Improvement Program (AIP). The grant application was submitted the following day July 26th, 2019 and has since been circulated electronicly to the Commission members. The Airport Commission conducted electronic voting, with 6 of7members voting unanimously to recommend that The City of Frederick accept the grants and task orders referenced above.

The Commission has reviewed the project task orders, terms, and funding breakdown between Federal (90%), State (5%), and local agencies (City/County each 2.5%) associated with the grants. The Commission believes this work to be essential to enhancing the safety, capacity, and efficiency of the Frederick Municipal Airport, and supports the vision ofFDK becoming the premier destination in the National Capital Region.

1. IFB 19-17 was advertised in the Frederick News-Post on July 3, 4, and 5, 2019 at a cost of $216.00.

2. The solicitation was posted on The City of Frederick Purchasing website and E­Maryland Marketplace.

3. FOlty-six companies downloaded the solicitation from the Purchasing website.

4. Tln'ee bids were received.

5. Purchasing, Airport staff and our Aviation Consultant reviewed the bids for compliance with the solicitation requirements.

6. The low responsive and responsible bid meeting all requirements was submitted by Concrete General, Inc.

7. DBE patticipation of approximately 9.5% is planned.

CONTRACT

THIS CONTRACT, made and entered into this __ day of ,2019, by and between The City of Frederick a municipal corporation of the State of Maryland (hereinafter designated as the "Owner" or "City") and Concrete General, Inc. (hereinafter designated as the "Contractor").

WITNESSETH: That the parties hereto, each in consideration of the Contract on the part of the other herein contained, have mutually agreed and hereby mutually agree, the Owner for itself and its successors and the Contractor for itself, himself, or themselves and its successors, his or their executors, administrators and assigns as follows:

Aliicle 1. Under this Contract the Contractor shall construct and agrees to all conditions described in Invitation for Bids 19-17 "Extend Runway 5 - Phase 1," which is incorporated herein by reference in its entirety.

Article 2. In consideration of the payments to be made as hereinafter provided, and of the performance of the Owner of all of the matters and things to be performed by the Owner and herein provided, the Contractor agrees, at their own sole cost and expense, to perform all the labor and services and to furnish all the labor and materials, plant and equipment necessary to complete, and to complete in good, substantial, workmanlike and approved manner, the Work described under Aliicle 1 hereof, within the time hereinafter specified and in accordance with the terms, conditions and provisions of this Contract and with the instructions, orders and directions of the Project Manager made in accordance with this Contract.

Aliicle 3. The Owner agrees to pay and the Contractor agrees to accept as full compensation for all Work done, and materials, equipment and supplies furnished, and for materials, equipment and supplies sold, and also for all costs and expenses incurred, and loss or damages sustained by reason of the action of the elements, or growing out ofthe nature of the Work, or from any unforeseen obstruction or difficulty encountered in the prosecution of the Work, and for all risks of every description connected with the Work, and for all expenses incurred by or in consequence of, the suspension or discontinuance of the Work as herein specified, and for faithfully completing the Work and the whole thereof as herein provided, and for maintaining the Work in good condition until the final payment is made, the price stipulated in the Contractor's Bid Proposal dated July 25, 2019 for Alternate 2 for the not to exceed amount of $4,540,835.00 which is incorporated herein as if set fOlih in full.

AIiicle 4. Substantial Completion shall be achieved within 90 calendar days after commencement of Notice to Proceed. Final completion shall be achieved within 30 calendar days after acceptance of Substantial Completion. All claims for extension of time must be submitted in writing to the City for review and approval. The completion date will be extended, if approved by the City, by the approved number of calendar days.

AIiicle 5. The Contractor agrees to pay the City liquidated damages in the amount of$4,000 per work period during times that the IUnway is open. During work periods that require a runway

closure, these liquidated damages will be $50 per minute for the first IS minutes of impact beyond the agreed upon runway opening time, and $100 per minute for each minute thereafter.

Such deducted sums shall not be deducted as a penalty but shall be considered as liquidation of a reasonable pOllion of damages including, but not limited to loss of operational revenue, loss of lease revenue, additional engineering services, etc. that will be incurred by the City should the Contractor fail to complete the work in the time provided in the Contract.

The Contractor or City, respectively, shall not be liable for any loss or damage, resulting from any delay or failure to perform its contractual obligations within the time specified, due to acts of God, actions or regulations by any governmental entity or representative, strikes or other labor trouble, fire, embargoes, or other transpOllation delays, damage to or destruction in whole or in pall, of equipment or manufacturing plant, lack of or ability to obtain raw materials, labor, fuel or supplies for any reason including default of suppliers, or any other causes, contingencies or circumstances not subject to the Contractor's or City'S control, respectively, whether of a similar or dissimilar nature, which prevent or hinder the performance of the Contractor's or City'S contractual obligations, respectively.

Any such causes of delay, even though existing on the date of the Contract or on the date of Notice to Proceed, shall extend the time of the Contractor's or City's performance respectively, by the length of the delays occasioned thereby, including delays reasonably incidental to the resumption of normal Work schedules. However, under such circumstances as described herein, the City may at their discretion, cancel this Contract for the convenience of the City.

Atlicle 6. The following documents shall constitute integral patls of this Contract, the whole to be collectively known and referred to as the Contract Documents or the Contract, and in the case of discrepancies among any patls of the Contract Documents, preference shall be given in the following order:

a. Contract b. Addendum #2 dated 7119/19 c. Addendum #1 dated 7/16/19 d. Special Provisions/Special Conditions e. General Provisions/General Conditions f. Bid g. Payment Items h. Technical Specification Sections i. Contract Drawings (detailed drawings taking precedence over general drawings)

The Table of Contents, Headings and Titles contained herein and in said documents are solely to facilitate reference to various provisions of the Contract Documents and in no way affect, limit or cast light on the interpretation of the provisions to which they refer.

At1icle 7. Ifthe Contractor shall fail to comply with any ofthe terms, conditions, provisions or stipulations of this Contract, according to the true intent and meaning thereof, then the Owner may make use of any or all remedies provided in his behalf in the Contract and shall have the right and power to proceed in accordance with the provisions thereof.

A11icle 8. The following addenda have been made and included in this Contract before it was signed by the pat1ies hereto:

A11icle 9. The Contractor agrees:

(a) They hereby voluntarily and irrevocably submit themselves to the jurisdiction and venue of any court of competent jurisdiction over the subject matter of this Contract located within the State of Maryland in which any litigation is brought based on or arising out of this Contract.

(b) Any litigation brought by the Contractor based on or arising out of this Contract shall be brought only in an appropriate cou11 within the county in which the Owner is located.

( c) Any legal process or notice connected with any litigation may be served on the Contractor by United States registered mail, postage prepaid, addressed to the Contractor at his address, or at the Contractor's last known address, and that service in such manner shall constitute good and valid service of process upon the Contractor.

(d) The Contractor hereby waives any defense which might be available to it in any such litigation based on or alleging lack of jurisdiction or venue, or, if process is served in the manner provided in subparagraph (c) immediately above, invalid service of process, and that he or she will duly enter their appearance in any such action.

( e) This Contract may be presented in cou11 as conclusive evidence of the foregoing agreement.
