ENROLL WITHIN THIRTY (30) DAYS OF YOUR START DATEYou can make your NXP benefit elections online or through NXP Rewards Customer Service shortly after your NXP start date. You will receive a “Take Action: Enroll in your NXP Benefits” email at your NXP email address from NXP Rewards, usually within seven (7) business days from your start date. If you need help enrolling or have questions before you are prompted to enroll, please contact NXP Rewards Customer Service at (888) 375-2367.

Your NXP health coverage is effective as of your NXP start date. If you incur health or pharmacy claims before enrolling or receiving your identification cards (ID cards), please save your receipts and file a claim directly with your carrier once you receive your ID cards.

If you are eligible, you may begin contributing to the NXP 401(k) Retirement Plan as soon as administratively possible, usually as of the third pay period after your start date. You are eligible to receive company matching contributions as soon as you begin contributing. For more information, review the Savings and Wealth section of this guide (pp. 15–17).

You must complete your enrollment within thirty (30) days of your start date or the default options listed on the following page will apply.

Step-by-step instructions for your benefits enrollment are provided in the Benefits Enrollment section of this guide (p. 18).

This guide outlines information about your benefit options, how to enroll and ways to get connected to your new benefits. Please read this and share it with your family.

DEFAULT ENROLLMENTPlease note: If you don’t complete your benefits enrollment within thirty (30) days of your start date, you will be automatically enrolled in:

• Choice Plan (PPO), with you only coverage, including a $200 deductible, 20% coinsurance, $20 primary care provider copay, $30/$50 specialist provider copay, and CVS Caremark prescription medication benefits.

• NXP 401(k) Retirement Plan, contributing 5% of your eligible compensation, on a pre-tax basis. Your 401(k) contributions will be invested in the Managed Account option with GuidedChoice®.

• NXP-paid basic life, business travel accident, accidental death and dismemberment, and short- and long-term disability insurance.

You will not be automatically enrolled in any other programs.

ID CARDS AND HEALTH PLAN INFORMATIONYou should receive your ID cards within two (2) weeks of your enrollment. These cards will be mailed to your home address.

If you need health care services or treatment (for example, a visit to the doctor or hospital, lab work or a prescription) before receiving your ID cards, you can confirm your coverage by calling your health plan administrator directly. You will be able to print temporary ID cards from the health plan websites using your Social Security number. You can register on the web addresses below about five (5) business days after you have enrolled in NXP benefits.

If you need additional or replacement medical or prescription ID cards, contact your health plan directly at:

• Aetna (Medical): (800) 626-1987 or online at aetna.com.

• CVS Caremark (Prescription Medications): (877) 505-8360 or online at caremark.com.

You do not need an ID card to access dental and vision care services. Let your dentist’s office know you are enrolled in MetLife PDP Plus; they can call MetLife to confirm your coverage at (800) 942-0854. Similarly, inform your vision care provider that you are enrolled in VSP Choice and they can call to confirm your coverage at (800) 877-7195. You can access your dental and vision benefit information directly, online, at MetLife.com/dental and VSP.com, respectively.

WHO’S AN ELIGIBLE DEPENDENT?The following individuals qualify as dependents and are eligible for NXP’s medical, dental and vision benefit plans.

• Spouse: Your legally recognized spouse, including your common-law spouse if recognized by your state and claimed as your federal tax dependent.

• Domestic partner: Your same-sex or opposite-sex domestic partner who has lived with you for at least six months, is not a blood relative of yours, is not legally married or in another domestic partner relationship, and is at least 18 years old.

• Dependent children: Your children through the end of the month in which they reach age 26. In addition, you can cover your child who is over age 26, if he or she is incapable of working because of mental or physical disability (until such incapacity ends). Your children include your children by birth, adoption or pending adoption; legal guardianship; stepchildren or children of your domestic partner who live with you; foster children legally placed by a licensed agency; grandchildren you legally adopt or for whom you are the court-appointed guardian; or children you must cover under a Qualified Medical Child Support Order (QMCSO).

Documentation confirming your covered dependent’s eligibility will be requested after enrollment. Please submit the requested documentation in a timely manner to ensure coverage for your dependents. If you have any questions about dependent eligibility or the documentation requirements, contact NXP Rewards Customer Service at (888) 375-2367.

A Social Security number (SSN) is required for all eligible dependents who will be covered under the NXP medical plan. Please have your dependent’s SSN available when you enroll. If your dependent does not have, or is not eligible to get an SSN, you can use an individual taxpayer identification number (ITIN or TIN). Health coverage won’t be denied if your eligible dependent doesn’t have an identification number. Please contact NXP Rewards Customer Service at (888) 375-2367 if you have questions.

WHO’S NOT AN ELIGIBLE DEPENDENT?The following individuals do not qualify as dependents and are ineligible for NXP benefits:

• Your siblings• Your parents and in-laws• Grandparents, grandchildren or any

other children who are not listed under “Who’s an Eligible Dependent” at left

• Aunts, uncles, cousins, nieces, nephews• Roommates, boyfriends, girlfriends,

friends• Former spouses

NXP MEDICAL PLANWhen am I eligible?You and your eligible dependents are eligible for coverage as of your NXP start date.

NXP Medical PlanYour NXP medical plan offers you a choice of three Aetna medical and corresponding CVS Caremark pharmacy plans, including a Medical Savings Plan with a Health Savings Account (HSA). You have the flexibility of choosing the health plan that meets the needs of you and your family, both today and into the future.

Teladoc is an added benefit that gives you 24/7 access to a national network of U.S. board-certified doctors. Simply call (855) 835-2362 for non-emergency medical conditions like respiratory and ear infections, colds, flu, sore throat, and pink eye, just to name a few. Teladoc doctors can recommend treatment and even call in a prescription to your pharmacy of choice when necessary. Get started by registering at teladoc.com/NXP or calling (855) 835-2362.

A 24-hour Nurseline and Personal Health Advocate are available to help you navigate the health care system and provide you with guidance and support whenever you need it by calling Aetna at (800) 626-1987.

You may opt out of the NXP medical plan if you prefer not to enroll. However, you must opt out within your 30-day enrollment window.

Find quality ratings and cost estimates with Castlight.Castlight gives you access to data on the quality and cost of in-network Aetna medical providers, services and facilities. You can search by doctor, medical condition or service, so you will never again wonder how good your doctor is or what your visit will cost. Castlight is available at no cost to NXP employees and their adult dependents enrolled in an NXP medical plan. As a new hire, you will receive an email invitation to register for Castlight about four weeks after you enroll in NXP Aetna medical coverage. Specialists in the Aetna Aexcel® NetworkWhen you’re searching in the Aetna DocFind directory at aetna.com/docfind/custom/NXP for specialists, look for doctors with the blue star. These high-performing specialists are designated as part of the Aetna Aexcel network.

Aexcel is a designation within the Aetna network that includes specialists who have demonstrated effectiveness in the delivery of care based on a balance of certain measures of clinical performance and cost-efficiency. Currently, there are Aexcel-designated physicians in the following 12 specialties:

• Cardiology • Obstetrics and Gynecology• Cardiothoracic Surgery • Orthopedics• Gastroenterology • Otolaryngology• General Surgery • Plastic Surgery• Neurology • Urology• Neurosurgery • Vascular Surgery

For these 12 practice areas, your specialist copay will be $30 when you use an Aexcel specialist, if you are enrolled in the Choice Plus or Choice medical plan. Otherwise, your specialist copay is $50. Outside of these 12 practices, your specialist copay is $30. If you live in an area where Aexcel specialists are unavailable, your specialist copay is $30.

MATERNITY CARE PROGRAMThe NXP Maternity Care Program is a confidential service provided by Aetna, and administered by registered nurse case managers, at no cost to you. The objective of the Maternity Care Program is to promote early treatment and healthy pregnancies. It offers expectant parents a comprehensive schedule of prenatal care, free information and baby-care supplies. Your regular benefit levels will apply to maternity care. MEDICAL SAVINGS PLANThe Medical Savings Plan is a High-Deductible Health Plan (HDHP) with a Health Savings Account (HSA). It covers the same medical services as the Choice and Choice Plus Plans (including in-network preventive care at 100%) and offers the same quality care and provider network. You can see any provider you choose. You pay for care you receive, including prescriptions, through your deductible and coinsurance. Your in-network preventive care and generic maintenance medications are available at no cost to you.

What makes the Medical Savings Plan different is that it includes funding for an HSA to pay for your medical expenses. NXP deposits money in your HSA to help cover your deductibles and out-of-pocket expenses. Employees enrolled in you only coverage will receive $500 and those who enroll dependents will receive $1,000 in NXP contributions (or a prorated amount, depending on when you were hired).

If you don’t expect to use your medical benefits much during the year, if you are looking for a way to save on taxes, or want to save for retiree health care costs, this plan might be just what you’ve been looking for. Especially since it’s free for you and only $10 per pay period for a whole family.

Key features of this unique health care savings vehicle:• NXP funds the full employer

contribution during the first week of the month after you complete your enrollment. So it is available to you almost immediately.

• You can add to your HSA through pre-tax deductions from your paycheck (up to IRS limits).

• You can use your HSA funds to pay for qualified health care expenses during the year, or save your account for future health care needs.

• You will be issued a debit card to access funds from your HSA to pay for qualified health care expenses.

• You own the funds in your HSA account, even if you move to another employer.

• The contributions to your HSA, and their earnings, accumulate tax-free. Once your HSA balance reaches $1,000, you may invest your account for further growth.

• And, if you use the funds solely for qualified health care expenses, you don’t ever owe taxes or penalties on the account.

HSA EligibilitySince an HSA is a tax-advantaged account, certain restrictions apply, such as:

• You can’t have medical coverage other than a High-Deductible Health Plan (such as the Medical Savings Plan).

• You can’t be enrolled in Medicare or another government-sponsored medical plan (such as TRICARE®).

• You can’t be claimed as a dependent on someone else’s tax return.

• You can’t use a traditional Health Care Flexible Spending Account. You are eligible, though, to use the Limited Use Flexible Spending Account (LUFSA) to cover out-of-pocket expenses for dental and vision (see p. 10 for details).

• There are maximum annual contribution limits (see the box below).

• You’ll need to keep receipts to document that your HSA money is spent on qualified health care expenses.

As part of your NXP health benefits, registered nurses, called “Personal Health Advocates,” are available to help you. The Personal Health Advocate Service offers support for a wide variety of medical conditions.

Your Personal Health Advocate can help you:

• Address your health care questions and concerns

• Select hospitals and providers that are right for your needs

• Better understand your diagnosis and treatment options

• Understand and support your doctor’s plan of care

• Stay healthy by recommending preventive care and identifying your health risks

• Promote self-management of targeted chronic or complex conditions

• Understand your medications and any alternative options available to you

• Coordinate your services before, during and after a hospital stay

VISION CARE SERVICESNXP Vision PlanRoutine eye care services are included in the NXP vision plan for you and your covered dependents. Services include comprehensive vision examinations, and prescription eyeglasses (lenses and frames) or contact lenses. To take advantage of the Vision Plan, you simply enroll yourself and your eligible dependents. Then see a VSP Choice network doctor or affiliate provider and pay your share of the cost, as described in the chart shown below.

When you see a VSP Choice Plan network doctor or affiliate provider, you get the most value from your vision plan benefits. VSP offers two convenient ways to locate these providers near your home or work.

Visit VSP.com. Once you register and create a username and password, you can search for a VSP Choice network doctor or affiliate provider by name or location. Or, call VSP’s Member Services (800) 877-7195.

NXP DENTAL PLANThe NXP dental plan offers you and your family preventive, restorative and orthodontic services. While you do not have to visit a MetLife PDP Plus network dentist to receive dental benefits, you can take advantage of negotiated rates and increased savings by seeing a MetLife PDP Plus network provider.

DISABILITY INSURANCENXP provides you with short-term disability insurance. This valuable benefit can replace a portion of your income for injuries or illnesses that keep you out of work up to 180 days. Under the NXP short-term disability policy, you may receive:

• Benefits starting on the eighth calendar day after you become disabled

• 75% of your eligible compensation for the first 90 calendar days (or 65 business days, whichever is less)

• 60% of your eligible compensation for the next 90 calendar days (or 65 business days, whichever is less)

You can elect to take advantage of the short-term disability buy-up option to increase your benefit. This option:

• Provides an additional 15% of income replacement

• Costs $0.19 per $100 of covered compensation

Short-term disability buy-up can be changed only during Annual Enrollment.

Long-term disability is available after 180 days of disability at no cost to you. You receive 60% of your base salary, up to $10,000 per month. California benefits will vary based on state laws.

BASIC LIFE INSURANCEAny NXP employee who is scheduled to work at least 20 hours per week will receive life insurance in the amount of one times their annual eligible compensation, rounded up to the nearest $100. Basic life insurance is paid for by NXP—there is no charge to you.

SUPPLEMENTAL LIFE INSURANCETo increase the amount of your life insurance, you may enroll in supplemental life insurance.

The cost of this optional coverage is based on your age, your salary and tobacco use (see chart below).

You can elect supplemental life insurance coverage of one to eight times your annual eligible earnings, up to $1,500,000. Depending on the coverage you select, you may be required to provide evidence of insurability, which could include a physical exam.

NXP’s 401(k) Retirement Plan is designed to help you build your wealth through long-term savings, and accumulate the funds you’ll need when you’re no longer working.

SHARE SUCCESS PLAN

The NXP Share Success Plan is an Employee Stock Purchase Plan (ESPP) that allows employees to purchase NXP stock at a 15% discount. The purchase price will be 85% of the closing price of NXP stock on the last trading day. By enrolling through payroll deductions, you can have purchases made twice a year and can build your wealth through ownership of NXP stock.

Plan EligibilityGenerally, all regular full-time and part-time employees of NXP or one of its group companies are eligible to enroll. Temporary employees, contractors and executives are not eligible.

Participating in the Plan• You can enroll during the months of

January and July for the upcoming Savings Period.

• Employees who become eligible to enroll after the end of an enrollment period must wait to enroll in the next six-month Savings Period.

• You can elect to save a percentage of your gross (pre-tax) base salary through payroll deductions. This contribution rate can be from 2% to 10% of your base salary, and cannot be increased or decreased during the Savings Period.

At the end of the Savings Period, the savings you have accumulated over the six-month period are used to purchase NXP shares at a 15% discount. The maximum saving amount per calendar year—allowed by tax laws governing this plan— is $21,250 USD.

This means that with the 15% discount in the purchase price, you can purchase up to $25,000 USD of NXP stock value for 85% of the cost.

• The contribution rate percentage is withheld each pay period.• NXP designates E*TRADE to administer participant accounts online and provide brokerage services. All shares purchased will be deposited in the participant’s online E*TRADE account.• The Plan provides for “Automatic

Enrollment” from Savings Period to Savings Period—meaning that participation continues at the same contribution percentage (%) rate for consecutive Savings Periods, until a participant withdraws or suspends their participation. This is also referred to as an “Evergreen Election.”

• Participants may suspend saving contributions during a Savings Period by notifying E*TRADE at least 15 days prior to the next payroll withholding date. Previous savings may still be applied toward the purchase.

• Participants may withdraw at any time during a Savings Period, stopping payroll deductions and canceling any purchase possibilities for that Savings Period. All savings withheld for that period will be refunded. Withdrawals must be made at least 15 days prior to the Purchase Date by notifying E*TRADE.

• Upon suspension or withdrawal, you will not be automatically re-enrolled for the next Savings Period.

Initial participation begins the first full six-month Savings Period following eligibility qualification. There is no minimum service requirement. Withholding amounts are applied to purchase NXP shares twice a year.

Step 2Log on to NXP.com/rewards after you receive your “Take Action” email from NXP Rewards. You will need to register if this is your first time to visit the benefits website.

Click “Are you a new user?”Enter the last four digits of your Social Security number and your date of birth on the “Enter Your Personal Identification” screen. Click “Continue.”

Create a benefits user ID, password and a password hint.

This routes you to the “Choose and Answer Security Questions” page.

The first step to taking advantage of your NXP benefits is enrolling in the programs. You can make your health and 401(k) Retirement Plan elections shortly after your NXP start date. Please allow up to seven (7) business days from your start date for your data to get passed from NXP’s HR system to NXP Rewards Customer Service.

You will receive a “Take Action: Enroll in your NXP Benefits” email from NXP Rewards once they are ready to take your elections. If you need help enrolling or have questions before you are prompted to enroll, please contact NXP Rewards Customer Service at (888) 375-2367. Representatives are available Monday through Friday from 8:30 a.m. to 5:30 p.m. Central time.

Your health coverage is effective as of your start date with NXP.

If you are eligible, you may begin contributing to the 401(k) Retirement Plan as soon as administratively possible, usually as of the third pay period after you begin work. You may be eligible to receive company matching contributions to your account as soon as you begin contributing.

To enroll online—follow these steps: Step 1Have the following information available before go to your computer to enroll:

• Your Social Security number (SSN)• The names, birth dates and SSNs of your

eligible dependents and beneficiaries. If your eligible dependent(s) does not have or is not eligible to get an SSN, you can use an individual taxpayer identification number (ITIN or TIN). Health coverage won’t be denied if your eligible dependent doesn’t have an identification number.

BENEFITS ENROLLMENTAnswer five (5) questions from the drop-down menu. Be sure to remember exactly how you answered the questions. If you are asked the questions at a later time, you are required to provide the same answer exactly as you did the first time through. After you have answered the five (5) questions, click “Continue.”

Next you will be prompted to register your computer if your current computer hasn’t already been registered. Make your selection and then click “Continue” to proceed.

You have successfully added your information and created your benefits user ID and password. You are now routed to the “Action Needed” Home Page. Here you can review and enroll in your benefits by clicking the “Enroll” link.
