Today, Transoceanic Projects & Development Company, Inc., provides a total logisticsmanagement package, including marine agency services, Freight Forwarding both Air &Ocean Freight, Aviation Ground Handling Services, Ship and aircraft chartering, Exportpacking and consolidation, Inventory management, Inland haulage, Project transportationmanagement, Custom brokerage, Project development and heavy equipment leasing [inaccordance with Lloyds Register of Quality Assurance standards].
In addition to partnering with and serving the world’s leading oil & gas, EPC companies wealso provide Humanitarian Logistics to Humanitarian and Relief Organization Globally. Wework and have contracts with UN Agencies like UNICEF-Yemen, UNICEF-Kenya, UN WPF –Kenya ,USAID/US Embassy –South Sudan, MSF Holland-Kenya and many other Non-Governmental Organization in kenya. Proactive approach to HSE&QTPD demonstrates commitment toHSE&Q by enhancing a proactive andpositive HSE&Q oriented culture ensuringour subcontractors are equally committedto HSE&Q. Our HSE&Q Culture is based onbringing no harm to people or property, toact responsibly with respect to ourenvironmental impact and to be the best inwhat we do, offering excellent quality,governed by formalized processes.
At TPD we are working on integrating theHSE&Q Management System into onesystem.
We can always take the time to work safely.Together with our subcontractors weidentify impacts and risks arising from ouractivities enabling us to address, evaluateand act towards reducing and mitigatingthese risks to a tolerable and acceptablelevel. 3. Penalties for BreachWhere the anti-bribery provisions of theFCPA are breached, the following penaltiesmay be imposed: Fines of up to US$2million against the company ; Prison termsof up to five years and fines of up toUS$100,000 per violation for individualsinvolved ; Willful violations of the record-keeping provisions may result in up to 20years imprisonment and US$5 million finesfor individuals and up to US$25 million forcompanies.
I. PurposeThe purpose of this Policy is to ensurecompliance by Transoceanic Projects &Development and its directors, officers,employees, agents, consultants andrepresentatives with the US Foreign CorruptPractices Act (“FCPA”) and related laws ofother countries in which TPD does business.
II. FCPA
1. Anti-BriberyThe FCPA is a US Federal Statute prohibitingUS companies and their officers, directors,employees and agents from: giving,promising or offering anything of value,whether directly or indirectly, to anyforeign official with the intention ofobtaining or retaining business or obtainingan improper business advantage.
III. Policy
1. Prohibition of Bribery of ForeignOfficialUnder no circumstance shall any director,officer, employee, agent, consultant orrepresentative give, pay, offer, promise topay, or authorize the giving or payment ofmoney or other things of value to anyforeign official or to any person whileknowing or being aware of a probabilitythat the payment or promise to pay is beingmade to or will be passed on to a foreignofficial.
2. Record-KeepingThe FCPA also requires US companies tokeep books and records that accuratelyreflect transactions and dispositions ofassets and to maintain a system of internalaccounting controls.
All Transactions involving TPD funds orassets should be recorded accurately and inreasonable detail.
2. Prohibition of Payment or Gift inViolation of LawUnder no circumstance shall any TPDperson make, offer, promise, or authorizeany payment or gift in violation of local lawin any country.

3. Prohibition of Circumvention of LawUnder no circumstance shall any TPDperson enter into any transaction that isintended or designed to circumvent thelaws of any country. Any transaction thathas the appearance of circumventing thelaws of any country must be avoided.
7. Prohibition of Improper AccountingAny “improper transaction”or deviationfrom established accounting practices,including omitted or falsified expensereports, strictly prohibited.
4. Prohibition of Lawful Paymentwithout Prior ApprovalUnder no circumstance shall any TPDperson offer, pay, promise or give anymoney or other thing of value to anyforeign official without the prior writtenapproval of the President and owner
8. Compulsory ComplianceEvery person with TPD will comply with allrules and regulations in accordance withthe FCPA Policy.
9. Chief Compliance OfficerThe President /Owner is the ChiefCompliance Officer for all FCPA matters.Any question regarding activities underconsideration with regard to the FCPA orthis Policy should be promptly directed tothe President.
5. Clarification of UncertaintyWithout prejudice to the foregoingrequirement for written approval a TPDperson must promptly contact thePresident when questions arise concerningthe FCPA’s anti-bribery provisions includingwhether: a particular individual or entitymust be treated as a “foreign official”whether something qualifies as anything ofvalue whether a proposed payment wouldbe made or seen to be made to obtain,retain or direct business dishonestly.
10. Zero ToleranceTPD will not tolerate any person thatachieves or purports to achieve results byviolation of law or by acting against andcontrary to FCPA Policy.
6. Due Diligence and Third-partyCertificationAll persons must ensure that businessrelationships are formed only withreputable and qualified partners, agent andrepresentatives. In negotiating any businessrelationship. 16
