Deserve®EDUCardholderAgreementforCardsissuedbyCelticBank

ThisDeserve®EDUCardholderAgreement(“CardholderAgreement”)outlinestheterms

andconditionsunderwhichtheDeserve®EDUMastercard(the“Card”)isissuedtoyou

byCelticBank,aUtah-CharteredIndustrialBank,MemberFDIC(“us,”“we,”“our,”orthe

like).ThisCardisdesignedspecificallyforstudentsstudyingatcolleges&universitiesin

theUnitedStates.Pleasereviewthisindetailtobesureyouunderstandalloftheterms

andconditionswithusingthisCard.

TherearethreemainpartstothisCardholderAgreement:PricingInformation,Customer

Agreement,andYourBillingRights.ThePricingInformationshowstheprimarypricing

termsforthisCardfornewaccountsavailableunderthisAgreement.TheCustomer

Agreementcontainsimportantinformationrelatedtohowwewilladministerthecredit

cardprogram.Plus,anyotherdisclosuresornoticesthatarereferencedorissuedarepart

ofthisAgreement.YourBillingRightssummarizescertainrightsprovidedtoyoubylaw

thatarerelatedtobillingonyourCardaccount(“Account”).

THIS AGREEMENT REQUIRES CLAIMS TO BE ARBITRATED AND FORBIDS CLASS

ACTIONS UNLESS YOU (1) ARE SUBJECT TO THE PROTECTIONS OF THEMILITARY

LENDINGACTOR(2)EXERCISEYOURRIGHTTOREJECTARBITRATIONASPROVIDED

ThankyouforopeningacreditCardAccountwithus.ThisCustomerAgreement

(“Agreement”)containsthetermsforyourCard.

SomeDefinitions.

ThemeaningsofthetermsyouseeinitalicsappearintheGlossarySection.Wealsohave

linkstocertaintermsanddefinitions.

TomaketheAgreementeasytounderstand,wewillalsousethefollowingpersonal

pronouns"You,”“your,”and“yourself”meaneachapplicantfortheAccount;anyperson

responsibleforpayingtheAccount;andanyoneYouauthorizetouse,accessorservicethe

Account.

“We,”“us,”“our,”“CelticBank”meansCelticBank,aUtah-CharteredIndustrialBank,

MemberFDIC;anditsagents,authorizedrepresentatives,successors,andassignees.All

DeservecardsareissuedbyCelticBank.

ThingsYouShouldKnowAboutThisCard

HowaretheBalanceandInterestChargescalculated?

WeusetheAverageDailyBalanceMethod(IncludingCurrentTransactions).

WefiguretheinterestchargeonyourAccountbyapplyingtheperiodicratetothe“average

dailybalance”ofyourAccount.Togetthe“averagedailybalance”wetakethebeginning

balanceofyourAccounteachday,addanynewpurchases/fees,andsubtractanyunpaid

interestorotherfinancechargesandanypaymentsorcredits.Thisgivesusthedaily

balance.Then,weaddupallthedailybalancesforthebillingcycleanddividethetotalby

thenumberofdaysinthebillingcycle.Thisgivesusthe“averagedailybalance.”

HowisyourVariableAPRCalculated?

• YourvariableAnnualPercentageRate(APR)iscalculatedbyaddingamargin

(currently15.49%)tothePrimeRate.

• WeusethePrimeRatefromtheratessectionoftheWallStreetJournal,published

twobusinessdaysbeforetheendoftheBillingCycle.

YourDailyPeriodicRate(DPR)is1/365thofthecorrespondingAPR.

IftheWallStreetJournaldoesnotpublisharateonthatday,wewillusethePrimeRatefor

thepreviousbusinessday.IftheWallStreetJournalisnolongerpublished,wemayusethe

PrimeRatefromanyothernewspaper.Or,wemaychoosetouseadifferent,similar

publishedrate.

IfthePrimeRateincreases,VariableAPRswillincrease.Inthatcase,youmaypaymore

interestandmayhaveahigherpaymentorbalancedue.WhenthePrimeRatechanges,the

resultingchangestoVariableAPRstakeeffectasofthefirstdayofthenextBillingCycle.

HowcanIavoidpayingInterestCharges?

Ifyoupayyourstatement’s“NewBalance”infullbytheduedate,wewillnotcharge

interestonanynewtransactionsthatposttothePurchasebalance.Ifyouhavebeenpaying

youraccountinfullwithnointerestcharges,butthenyoudonotpayyournext“New

Balance”infull,wewillchargeinterestontheportionofthebalancethatyoudidnotpay.

HowistheInterestChargeapplied?

Interestchargesaccruefromthe1)dateofthetransaction,2)datethetransactionis

processed,or3)firstcalendardayofthebillingperiod.Interestchargesaccrueonevery

unpaidamountuntilitispaidinfull.Thismeansyoumayoweinterestchargesevenifyou

paytheentire“NewBalance”onemonth,butdidnotdosoforthepreviousmonth.Unpaid

interestchargesareaddedtothepropersegmentofyourAccount.However,wereserve

therighttonotassessinterestchargesatanytime.

CanYouChangeMyAccountTerms?

Althoughwedon’tplanto,wecanchangesometermsofyourAccountaspermittedbylaw.

IfwedochangeanyofthetermsinthisCardholderAgreement,wewillsendyounotice

beforedoingso.PleasereviewthisCardholderAgreementinfulltobesureyouunderstand

thecurrenttermsforyourCard.

YourAPR,dailyperiodicrate,andinterestchargeswillchangeifthePrimeRate

changes.

AccountDocuments.

YourAccountwithusisgovernedbythefollowingdocuments:

• thisdocument;

• allStatements;

• anyPrivacyNoticesdescribingourlimitationsonsharinginformationaboutyou

withothers;

• anyCardbenefitsbrochurewhichdescribesbenefitsprovidedbythePaymentCard

NetworkforyourCardandAccount.ThemostcurrentversionofyourCardbenefits

brochurewillreplaceallpriorversions;

• alldisclosuresandmaterialsprovidedtoyoubeforeorwhenyouopenedyour

Account,includingTruthinLendingDisclosures;

• allotherdocumentsanddisclosuresrelatingtoyourAccountincludingthose

providedonline;and

• anyfuturechangeswemaketoanyoftheabovedocuments.

Pleasereadthesecarefullyandkeepthemforfuturereference.Animageofanyofthese

canbeusedinsteadoftheoriginal.

Inthefuture,wemaymakenewofferstoyouorforwardoffersfromothersthatwethink

willbeprovidedelectronically.Wemaystilldeliverpaperdocumentsandifwedoso,we

arenotwaivinganyoftheserights.Byproceedingwiththeonlineapplicationoractivating

yourCard,youagreetothetermsdetailedinourElectronicConsentPolicy,foundat

www.deserve.com/electronic-consent-policy,asamendedfromtimetotime.Pleasereview

thisPolicytoensureyouunderstandandagreewithalloftheterms;whilewehave

summarizedourtermsandconditionshere,theElectronicConsentPolicydetailsallofYour

andOurrightsandobligations.Ifatanytimeafteryousubmittheapplicationyouchange

yourmindandwishtonolongerreceivedocumentsandinformationelectronically,please

notifyusasdetailedintheElectronicConsentPolicy.Understandthatthismayresultinan

adversedecisiononyourApplication.

AccountInformation.

WeneedinformationaboutyoutomanageyourAccount.Theinformationmayinclude:

• yourlegalname;

• avalidU.S.mailingaddressandresidentialaddress(ifdifferent);

• yourdateofbirth;

• yourSocialSecurityNumber,PassportNumber,and/orothergovernment

identificationnumber,ifavailable;

• yourtelephonenumber(s);

• youremployment,income,andassetinformation;

• youreducationalhistoryandinformation;

• yourcitizenshipstatusandinformation;and

• otherrelatedinformationasdeemednecessary.

Youmusttelluswhenthisinformationchanges.Pleaseupdateyouraddressinthemanner

providedonyourStatement.Youmayalsoupdatesomeofthisinformationbyloggingonto

yourAccountonourwebsiteorbycallingoneofourrepresentativesatthetelephone

numberprovidedonyourStatementoronthebackofyourCard.Wemayrequireyouto

provideadditionaldocumentsthatareacceptabletoustoverifythisinformationorany

changes.WemaintaintherighttorestrictorcloseyourAccountifyourinformationcannot

beverifiedorifyoudonotprovideadditionalinformationasrequested.

Youalsogiveuspermissiontoverifyorresearch,withathirdparty,theinformationyou

providetous.Thispermissionincludes,withoutlimitation,verifyingorresearchingyour

informationwithSheerID,LexisNexis(orsimilar),UnitedStatesDepartmentofHomeland

Security,andtheUnitedStatesDepartmentoftheTreasury.

CreditLimit.

WhenyouopenyourAccount,youwillreceiveyourcreditlimit.Thiswillalsoappearon

yourStatements.Wemightalsorefertoyourcreditlimitasyourcreditline.

YouareresponsibleforkeepingtrackofyourAccountbalancesandyouravailablecredit

limit.DonotallowyourAccounttogooveranycreditlimit,asthetransactioncouldbe

declinedoryourcreditscorecouldbeadverselyaffected.Wemaystillhonortransactions

aboveyourcreditlimit,butourhonoringofthesetransactionswillnotincreaseyourcredit

limit.Wemayalsoincrease,decrease,restrict,orcancelyourcreditlimitatanytime.This

willnotaffectyourobligationtopayus.

UsingYourAccount.

YoupromisetofollowthetermsofthisAgreementaslongasyourAccountremainsopen

orhasabalance.PleasesigntheCardimmediatelywhenyoureceiveit.TheCardisvalid

duringthedatesprovidedonthefront.TheCardisourproperty,andyouwillreturnitto

usordestroyitifweask.Youwilltakereasonablestepstopreventtheunauthorizeduseof

yourCardandAccount.

WearenotresponsibleifanyonerefusestoacceptyourCardforanyreason.Also,wemay

rejectanytransactionforanyreason.Unlesswetellyouotherwise,wewillbilleach

transactiontotheapplicableSegmentofyourAccountandapplyitagainstyouravailable

creditlimitfortheAccountandCardforthatSegmentineachBillingCycle.

Youmustnotuse,ortrytouse,theCardforanyInternetgamblingtransactionsor

transactionsthatareillegalornotpermittedbyus.Youwillstillberesponsibleforsuch

transactionsifyoudo.Inaddition,thesetransactionswillbesubjecttothisAgreement,and

youmighthavetoreimbursethePaymentCardNetworkandusforalldamagesand

expenses.

Fromtimetotime,duetocircumstancesbeyondourcontrol(suchassystemfailures,fires,

floods,naturaldisasters,orotherunpredictableevents)ourservicesmightbeunavailable.

Whenthishappens,youmightbeunabletouseyourCardorobtaininformationaboutyour

Account.Wewillnotberesponsibleorliableifthishappens.

YourPromisetoPay.

YoupromisetopayusallamountsdueonyourAccount.Thisincludesamountswhereyou

didnotsignapurchasesliporotherdocumentsforthetransaction.IfyouuseyourCard

numberwithoutpresentingyouractualCard(includingwithoutlimitationmail,telephone,

orinternetpurchases),thiswillbetreatedthesamewayasifyouusedtheCardinperson.

IfyouletsomeoneelseuseyourCard,youareresponsibleforalltransactionsthatperson

makes.Yourpromisetopayuswillapplytoyourestateifyoudie.

Statements.

WewillsendyouoneStatementforallCardsonyourAccountunlessthelawdoesnot

requireorpermitustosendaStatement.StatementswillbesentattheendofeachBilling

CyclewhenyourAccounthasadebitorcreditbalanceofmorethan$1.00,orifwehave

chargedanyInterestChargestoyourAccount.YourStatementwillshowalltransactions

billedtoyourAccountduringtheBillingCyclealongwithotherimportantAccount

information.

DisputedTransactions.

YoumustinspecteachStatementyoureceiveandtellusaboutanyerrorsorquestionsyou

haveasdescribedinthe“BillingRightsSummary”partofyourStatementandotherTruth

inLendingDisclosures.Ifyoudonotnotifyusasprovidedinthosedisclosures,wemay

assumethatallinformationintheStatementiscorrect.

IfyoudisputeatransactionmadebyyouorsomeoneelseonyourAccount,andwelater

credityourAccountforallorpartofthedisputedamount,yougiveusallofyourrights

againstthatotherperson.Youalsowill:

• giveusanymerchandiseorotherpurchasesyoureceivedinconnectionwiththe

disputedamountifweask;

• notpursueanyclaimorreimbursementfromthemerchantandthatotherperson;

• helpuspursueandgetreimbursementfromthemerchantandthatotherperson.

Yourhelpincludesgivingusdocumentsthatweaskforandthatareacceptableto

InterestChargesandFees.

WewillchargeInterestChargesandFeestoyourAccountasdisclosedtoyouinyour

StatementsandotherTruthinLendingDisclosures.Ingeneral,InterestChargesbeginto

accruefromthedayatransactionoccurs.However,wewillnotchargeyouinterestonany

newbalancespostedtothepurchaseSegmentofyourAccountprovidedyouhavepaid

yourpreviousbalanceinfullbytheduedate.

WewilltreatthefollowingFeesaspurchasetransactionsunlessotherwisespecifiedbelow.

TheseFeesapplytoyourAccountonlyiftheyareprovidedinyourTruthinLending

Disclosures.WemayincreaseyourInterestChargesandFeesasdescribedintheChanges

toYourAgreementsectionorinyourTruthinLendingDisclosures.

LatePaymentFee.WemaychargeyouthisFeeifwedonotreceiveyourpaymentintime

forustocredititbytheduedateshownonyourStatement.

OverlimitFee.Youwillnothaveafeeforgoingoveryourcreditlimit,butyourcreditscore

maybeadverselyaffectedandthetransactionmaybedeclined,dependingontheamount

oftheoverage.

ReturnedPaymentFee.WemaychargeyouthisFeeeachtimeanypaymentyoumaketo

usisnotpaidbyyourfinancialinstitutionforanyreason,evenifthatinstitutionlaterpays

ExpeditedPaymentFee.WemaychargeyouthisFeeeachtimeyourequesttomakea

paymentoverthephone.Beforewechargeyouthisfee,wewillnotifyyouoftheamount

andprovideanopportunitytooptoutofthisservice.

CopyingFee.WemaychargeyouaFeeforcopiesoftransactiondocumentsorStatements

unlesstheyarerequiredtoresolveabillingdispute.

ExpressDeliveryFee.WemaychargeyouthisFeeeachtimeyourequestexpressdelivery

ofanyAccountdocumentation.Beforewechargeyouthisfee,wewillnotifyyouofthe

amountandprovideanopportunitytooptoutofthisservice.

BalanceTransferFee.BalanceTransfersarenotavailableforyourCard.

CashAdvanceFee.CashAdvanceisnotavailableforyourCard.

ForeignTransactionFee.Wedonotchargeafeeforforeigntransactions.

TransactionsMadeinForeignCurrencies:Ifyoumakeatransactioninaforeign

currency,thePaymentCardNetworkwillconvertitintoaU.S.dollaramount.ThePayment

CardNetworkwilluseitsowncurrencyconversionprocedures.Theconversionratein

effectontheprocessingdatemaydifferfromtherateineffectonthetransactiondatethat

appearsonyourStatement.Wedonotadjustthecurrencyexchangerateorchargeany

currencyconversionFees.

NoWarranties.

Exceptasotherwiseprovidedinthe“BillingRightsSummary”partofyourStatements,we

arenotresponsibleforanyclaimyoumighthaveregardingthepurchasesofgoodsor

servicesmadewithyourCard.

MerchantRefunds.

IfyouareentitledtoarefundforgoodsorservicespurchasedwithyourCard,youwill

accepttheserefundsascreditstothepurchaseSegmentofyourAccount.Wedonotcontrol

whenamerchantsendsusyourrefund.Wewillalsohaveareasonableamountoftime

afterwereceiveyourrefundtoprocessit.

MinimumPayment.

YourStatementwillprovideinstructionsformakingpayments,includingtheamountsdue

andtheduedateforreceivingyourpayment.Ifapplicable,yourStatementwillalsoinclude

aminimumpaymentamount.ToavoidaLatePaymentFee,youmustpayusatleastthis

minimumpaymentamountbytheduedateprovidedintheStatement.

Yourminimumpaymentwillequalthegreaterof:$15(oryourfullbalanceifit’slessthan

$15);3%ofyourendingbalancefortheStatement;orthetotalamountbywhichyouhave

exceededyourcreditlimit(ifapplicable).Inadditiontotheminimumpayment,youmay

payallorpartofthetotalbalanceonyourAccount.However,youmuststillpayatleastthe

minimumpaymentamounteachmonth,evenifyoupaidgreaterthantheminimumonthe

previousStatement.WewillcontinuetochargeInterestduringBillingCycleswhenyou

carryabalanceregardlessofwhetheryourStatementincludesaminimumpaymentthatis

due.IfyourAccountis180dayspastdue,partofabankruptcyproceedingorotherwise

chargesoff,theentirebalanceisimmediatelydueandpayable.

MakingPayments.

YourpaymentsmustbeinU.S.dollarsfromaU.S.depositaccountandotherwisebe

acceptabletous.Wedonotacceptcashpayments.Youmaynotmakepaymentswithfunds

fromyourAccountwithus.

MailedPayments.

YoumustmailpaymentstousattheaddressprovidedonyourStatementorasotherwise

instructedbyusorouragents.WewillcreditittoyourAccountonthedaywereceiveit,if:

• yousendthepaymentcouponincludedwithyourStatement;

• inthesameenvelopewithyourpayment;

• youincludeyourAccountnumberonyourpayment;and

• yourpaymentarrivesattheaddressindicatedonthepaymentcouponinour

processingcenterbythetimeindicatedonyourStatement.

Ifyourduedateoccursonadayonwhichwedonotreceivepayments,anypayment

receivedthenextdaywhichconformstotheaboverequirementswillnotbetreatedaslate.

Pleaseallowatleast7daysforpostaldelivery.Unlessweorouragentsspecificallyinstruct

youtoremitpaymentinadifferentmanner,paymentsreceivedatanyotherlocationorin

anyotherformmightnotbecreditedforupto5days.Thismightcauseyoutobecharged

latepaymentFeesandadditionalInterestCharges.

FasterPaymentServices.

Wemaymakeservicesavailablethatallowyoutomakefasterpaymentsthrougha

customerservicerepresentativeusingatelephone,theinternet,orotherpaymentsystem.

Wewilldescribethetermsforusingtheseservicesbeforeyouusethem.Youdonothaveto

usetheseotherpaymentservices,andwemaychargeyouaFeeforusingthem.Ifwedo,

wewilltellyoutheamountoftheFeeatthetimeyourequesttheservice.Wearenot

responsibleifapaymentmadeusingourpaymentservicesisrejectedornotpaid.Evenifit

is,wemaystillkeeptheFee.IfyougiveyourAccountnumberorotherAccountinformation

tosomeoneelsetomakeapaymentforyou,wemayprovidethemlimitedAccount

informationnecessaryforthepaymentandprocesstheirpaymentasifyoumadeit.We

mayrefusetoacceptanypaymentmadebysomeoneelseforyourAccount.Ifweaccepta

paymentmadebysomeoneelseforyourAccount,youwillberesponsibleforthepayment

madeevenifthatpaymentisrejectedornotpaid.

PaymentProcessing.

Wemayacceptandprocesspaymentswithoutlosinganyofourrights.Evenifwecredit

yourpaymenttoyourAccount,wemaydelaytheavailabilityofcredituntilweconfirmthat

yourpaymenthascleared.Wemayresubmitandelectronicallycollectreturnedpayments.

WemayalsoadjustyourAccountasnecessarytocorrecterrors,toprocessreturnedand

reversedpayments,andtohandlesimilarissues.WhenyouprovideanItemaspayment,

youauthorizeuseithertouseinformationfromyourItemtomakeaone-timeelectronic

fundtransferfromyourdepositaccountortoprocessthepaymentasanItem.Wewill

provideadditionalinformationaboutthisprocessonyourStatementorotherdocuments

wesendyoubeforeyourpayment.WhenyouprovideanItemaspayment,itmightalsobe

convertedintoanelectronicimageandcollectedandreturnedelectronically.These

electronicimagesmayalsobeconvertedtosubstitutechecks.Wewillnotberesponsibleif

anItemyouprovidehasphysicalfeaturesthatwhenimagedresultinitnotbeing

processedasyouintended.

HowWeApplyYourPayments.

WeapplyyourpaymentstothehigherAnnualPercentageRatebalancesbeforethelower

ones.Inallcases,wewillapplypaymentsandcreditsinaccordancewithapplicablelaw.

AvailablecreditcreatedasaresultofpaymentspostedtoyourAccountmaynotbe

availableforuptoseven(7)days,orlongerifcircumstanceswarrantanadditionalhold,or

ifwedeemourselvesatriskforanyreason.

ItemswithRestrictiveWords,Conditions,orInstructions.

Ouracceptanceofpaymentslabeled“paymentinfull”orrestrictivewordstothatorany

similareffect,willnotconstituteanaccordandsatisfactionnorawaiverofanyrightswe

havetoreceiveafullpaymentonallbalancesdue.

CreditBalances.

Wemayrejectandreturntoyouanypaymentthatcreatesacreditbalanceonyour

Account.Anycreditbalanceweallowwillnotbeavailableuntilweconfirmthatyour

paymenthascleared.Wemayreducetheamountofanycreditbalancebyanynew

amountsbilledtoyourAccount.YoumaycontactusasprovidedonyourStatementand

requestarefundofanyavailablecreditbalance.Ifyoucontactusinwriting,wewillrefund

yourcreditbalancewithin7BusinessDaysfromourreceiptofyourwrittenrequest.

AccountDefault.

WemayconsideryouindefaultofyourAgreementwithusif:

• youdonotmakeanypaymentwhenitisdue;

• anypaymentyoumakeisrejected,notpaid,orcannotbeprocessed;

• youexceedacreditlimit;

• abankruptcyorotherinsolvencyproceedingisfiledbyoragainstyou;

• youdonotcomplywithanytermofthisAgreementoranyotheragreementwithus;

• youpermanentlyresideoutsidetheUnitedStates.

Forcertainactions,includingchangingtheratesandFeesonyourAccount,ouroptions

appearinouroriginalofferandmaterialswhenyouopenedyourAccount.Remember,

payingtheFeeschargedinconnectionwithadefaultwillnotbyitselfcurethedefault.In

addition,ifyouareindefault,wemaytakethefollowingactionswithoutnotifyingyou,

unlessthelawsaysthatwemustnotifyyou:

• closeorsuspendyourAccount;

• loweryourcreditlimits;

• increaseyourminimumpayment;

• demandthatyouimmediatelypaytheentirebalancesowingonyourAccount;

• continuetochargeyouInterestChargesandFeesaslongasyourbalancesremain

outstanding;and/or

• pursueanyotheractionagainstyouthatthelawallows,whichincludesthefilingof

alawsuitagainstyou.

Youmustpayusallofourcollectionexpenses,attorneys’fees,andcourtcostsunlessthe

lawdoesnotallowustocollecttheseamounts.

Communications.

WeandourserviceprovidersmaycontactyoufromtimetotimeregardingyourAccount.

Wemaycontactyouinanymannerwechooseunlessthelawsaysthatwecannot.For

example,wemay:

• contactyoubymail,telephone,email,fax,recordedmessage,textmessage,or

personalvisit;

• contactyouusinganautomateddialingorsimilardevice(“Autodialer”);

• contactyouatyourhomeandatyourplaceofemployment;

• contactyoubysocialmedia;

• contactyouonyourmobiletelephone;

• contactyouatanytime,includingweekendsandholidays;

• contactyouwithanyfrequency;

• leaveprerecordedandothermessagesonyouransweringmachine/serviceand

withothers;and

• identifyourselves,yourrelationshipwithus,andourpurposeforcontactingyou

evenifothersmighthearorreadit.

OurcontactswithyouaboutyourAccountarenotunsolicitedandmightresultfrom

informationweobtainfromyouorothers.Wemaymonitororrecordanyconversationor

othercommunicationwithyou.Unlessthelawsayswecannot,wemaymodifyorsuppress

callerIDandsimilarservicesandidentifyourselvesontheseservicesinanymannerwe

choose.Whenyougiveusorweobtainyourmobiletelephonenumber,wemaycontactyou

atthisnumberusinganAutodialerandcanalsoleaveprerecordedandothermessages.We

maydothesethingswhetherwecontactyouoryoucontactus.

appearonyourcreditreports.Thiscouldincludenegativeinformationifyoudonotcomply

withthetermsofthisAgreement.Wemayobtainandusecreditandincomeinformation

aboutyoufromconsumer(credit)reportingagenciesandothersasthelawallows.

ClosingorSuspendingYourAccount.

Arizona,California,Idaho,Louisiana,NewMexico,Nevada,Texas,Washington,and

WisconsinResidents:EitheryouoryourspousemayaskustocloseyourAccountat

anytimebycallingusat1-800-418-2362orbycallingorwritingusasdescribedon

yourStatement.YourStatementwillprovideadditionalinformationaboutthisprocess,

andwemayalsoseparatelyprovideyouwithadditionaldetailsafteryourrequest.This

mightincludepaymentinformation.

AllCardholders:YoumayaskustocloseyourAccountatanytimebycallingusat1-800-

418-2362orbycallingorwritingtousasdescribedonyourStatement.YourStatement

willprovideadditionalinformationaboutthisprocessandwemayalsoseparatelyprovide

youwithadditionaldetailsafteryourrequest.Thismightincludepaymentinformation.

TerminationofyourAccountwillnotaffectyourobligationtopaytheAccountbalanceplus

anyfinanceandotherchargesyouoryourspouseoweunderthisAgreement.Your

obligationtopaytheAccountbalanceplusanyfinanceandotherchargesyouoweunder

thisAgreementaresubjecttoallapplicablelawsandregulationsregardingrepayment

requirements.TheCardyoureceiveremainourpropertyandyoumustrecoverand

surrendertousallCardsuponrequestoruponterminationofthisAgreement.Ifyouuse

yourCardorchargesposttoyourAccountafteryouaskustocloseit,wemaykeepitopen

orreopenit.

WemaycloseorsuspendyourAccountandyourrighttoobtaincreditfromus.Wemaydo

thisatanytimeandforanyreasonpermittedbylaw,evenifyouarenotindefaultonyour

Accountwithus.AsuspensionofyourAccountmightbepermanentortemporary.

IfyourAccountisclosedorsuspendedforanyreason,youmuststopusingyourCard.You

mustalsocancelallbillingarrangementstotheAccount.Wewillnotdothisforyou.Ifwe

closeorpermanentlysuspendyourAccount,youmustalsodestroyallCards.Youmuststill

payusallamountsyouoweontheAccount,eveniftheyarechargedafteryourAccountis

closedorsuspended.

LostorStolenCard.

YouwilltakereasonablestepstopreventtheunauthorizeduseofyourCardandAccount.If

yourCardislostorstolenorifsomeoneelsemightbeusingitwithoutyourpermission,

youmusttellusatonce.Youmaytellusbycallingthetelephonenumberonthebackof

yourCardoronyourStatementorbywritingusattheaddressonyourStatement.Youwill

notberesponsibleforchargesmadetoyourAccountthatarefoundbyustobe

unauthorized.IfwereimburseyourAccountforunauthorizedchargesmadeusingyour

Card,youwillhelpusinvestigate,pursue,andgetreimbursementfromthewrongdoer.

Yourhelpincludesgivingusdocumentsthatweaskforandthatareacceptabletous.

YourRepresentationsandWarranties.

ByacceptingthisCardholderAgreement,andbyactivating,using,orauthorizingtheuse

ofyourCard,yourepresentandwarranttousthat:(i)youareatleast18yearsofage(or

thatyouhavereachedtheageofmajorityifyouresideinastatewheretheageof

majorityis19yearsorolder);(ii)thepersonalinformationthatyouprovidetousin

connectionwiththeCardistrue,correctandcomplete;(iii)youreceivedacopyofthis

CardholderAgreementandagreetobeboundbyandcomplywithitsterms;and(iv)

thatyouaccepttheCard.

ChangestoYourAgreement.

Atanytime,wemayadd,delete,orchangeanytermofthisAgreementunlessthelaw

prohibitsusfromdoingso.Wewillgiveyounoticeofanychangesasrequiredbylaw.Ifwe

donotifyyouofchanges,wewillsendyouaseparatenoticeorinformyouonyour

Statement.Wemaysendthisnoticetoyouelectronicallyaspermittedbylaw.Ournotice

willtellyouwhenandhowthechangeswilltakeeffectanddescribeanyrightsyouhavein

connectionwiththechanges.

IfweincreaseyourFeesorothertermsofyourAccountwewillnotifyyouinwritingand

informyouofyouroptionsinadvance,includingtherighttooptoutofsomeofthese

changes.

Ifyourpaymentisnotreceivedwithin60daysafterthepaymentduedate,wemay

increaseyourInterestChargesandFeesforexistingbalancesandnewtransactionsatany

time.WemaychangeanyothertermsofyourAccountatanytime.

TheLawthatAppliestoYourAgreement.

TheissuerofyourCardisCelticBank,aUtah-CharteredIndustrialBank,MemberFDIC.In

acceptingaDeserveMasterCard,youagreetothefollowingprovisions:(1)ThisAgreement

(includingaccountandservicesrelatedtothisaccount)willbeinterpretedbythelawsof

thestateofUtah.ThismeansthatthelawsofthestateofUtahwillgovernanydispute

arisingfromorrelatingtothisAgreement.Federallawwillalsobeusedwhenit

applies.(2)Youwaiveanyapplicablestatuteoflimitationsasthelawallows.Otherwise,

theapplicablestatuteoflimitationsperiodforallprovisionsandpurposesunderthis

Agreement(includingtherighttocollectdebt)willbethelongerperiodprovidedbyUtah

laworthelawinthejurisdictionwhereyoulive.(3)Regardingvenue,youagreetosubmit

tothejurisdictionofthestateofUtahandfederalcourtsinandforSaltLakeCityandSalt

LakeCounty,Utah.Thismeansthatanydispute,actionorproceedingrelatingtothis

AgreementwillbebroughtintheFederalDistrictCourtofUtahorstatecourtinthecounty

ofSaltLakeCity.(4)SeeapplicableArbitrationbelow.

Accordingly,itisimportantthatyoureadtheprovisionsofthissection,theArbitration

Provisionbelow,andtheentireAgreementcarefully.IfanypartofthisAgreementisfound

tobeunenforceable,theremainingpartswillremainineffect.

WAIVEROFJURYTRIAL

Unlessprohibitedbyapplicablelaw,ifyousignthisAgreement,youwaiveyourrightto

haveajurytrialtoresolveanyClaim(definedbelowintheArbitrationProvision)youmay

haveagainstus,ourserviceproviders,ourrespectiveaffiliates,orarelatedthirdparty.

ThisWaiverofJuryTrialprovisiondoesnotapplytoyouif,atthetimeofenteringintothis

Agreement,youarearesidentofArkansasoramemberofthearmedforcesoradependent

ofsuchamembercoveredbytheFederalMilitaryLendingAct.

CLASSACTIONWAIVER

Unlessprohibitedbyapplicablelaw,ifyousignthisAgreement,youwaiveyourrighttoask

acourtoranarbitratortoallowyoutopursueanyclaimsonaclassactionbasisorina

representativecapacityonbehalfofthegeneralpublic,otherborrowersorotherpersons

similarlysituated.Furthermore,claimsbroughtbyyouagainstusorbyusagainstyoumay

notbejoinedorconsolidatedwithclaimsbroughtbyoragainstsomeoneotherthanyou,

unlessotherwiseagreedtoinwritingbyallparties.ForpurposesofthisClassAction

Waiver,theterms“we,”“us”and“our”shallalsoincludeCelticBankandeachofits

employees,directors,officers,shareholders,governors,managers,members,parent

companies,affiliatedentities,successorsorassignees(includingbutnotlimitedtoDeserve,

Inc.),theservicerofyourCardandanythirdpartywhoisnamedasaco-defendantwithus

inaclaimassertedbyyou.IntheeventofaconflictbetweenthisCLASSACTIONWAIVER

provisionandtheARBITRATIONPROVISION,theARBITRATIONPROVISIONshallcontrol.

ThisCLASSACTIONWAIVERdoesnotapplytoyouif,atthetimeofenteringintothis

Agreement,youareaCoveredBorrowerundertheMilitaryLendingAct.

ARBITRATIONPROVISION

Arbitrationisaprocessinwhichpersonswithadispute(s):(a)agreetosubmittheir

dispute(s)toaneutralthirdperson(an"arbitrator")foradecision;and(b)waivetheir

rightstofilealawsuitincourttoresolvetheirdispute(s).Eachpartytothedispute(s)has

anopportunitytopresentsomeevidencetothearbitrator.Pre-arbitrationdiscoverymay

initialclaims,counterclaims,cross-claimsandthird-partyclaimsandclaimswhicharose

beforetheeffectivedateofthisArbitrationProvision;(c)allcommonlawclaimsbased

againstsuchotherpersonsandentitiesinconnectionwithaClaimyouassertagainstusor

relatedthirdparties;and(h)alldatabreachorprivacyclaimsarisingfromorrelating

directlyorindirectlytothedisclosurebyusorrelatedthirdpartiesofanynon-public

personalinformationaboutyou.Notwithstandingtheforegoing,theword“Claim”doesnot

includeanydisputeorcontroversyaboutthevalidity,enforceability,coverageorscopeof

thisArbitrationProvisionoranypartthereof(including,withoutlimitation,theprovision

titled"ClassActionWaiver"setforthbelow,subpartsAandBoftheprovisiontitled

ClassActionWaiver

Provision.Forexample,ifwefilealawsuitagainstyouincourttorecoveramountsdue

undertheAgreement,youhavetherighttorequestarbitration,butifyoudonotelectto

requestarbitration,wereserveanddonotwaivetherighttorequestarbitrationofany

Claim(includinganycounterclaim)youlaterassertagainstusinthatoranyrelatedor

unrelatedlawsuit.ThisArbitrationProvisionwillapplytoallClaims,evenifthefactsand

circumstancesgivingrisetotheClaimsexistedbeforetheeffectivedateofthisArbitration

Provision.

ArbitratorandAward

Anyarbitratormustbeapracticingattorneywithtenormoreyearsofexperienceora

retiredjudge.Thearbitratorwillnotbeboundbyjudicialrulesofprocedureorevidence

thatwouldapplyinacourt,norbystateorlocallawsthatrelatetoarbitrationproceedings.

Thearbitratorwillapplythesamestatutesoflimitationsandprivilegesthatacourtwould

applyifthematterwerependingincourt.Thearbitratormaydecide,withorwithouta

hearing,anymotionthatissubstantiallysimilartoamotiontodismissforfailuretostatea

claimoramotionforsummaryjudgment.Indeterminingliabilityorawardingdamagesor

otherrelief,thearbitratorwillfollowtheapplicablesubstantivelaw,consistentwiththe

FAA,whichwouldapplyifthematterhadbeenbroughtincourt.Thearbitratormayaward

anydamagesorotherrelieforremediesthatwouldapplyunderapplicablelawtoan

arbitrationafteryouhavepaidanamountequivalenttothefee,ifany,forfilingsuch

Claim(s)instateorfederalcourt(whicheverisless)inthejudicialdistrictinwhichyou

Appeal

BindingEffect;Survival;Severability

successorsandassigns.TheArbitrationProvisionisbindinguponandbenefitsus,our

successorsandassigns,andrelatedthirdparties.TheArbitrationProvisionshallsurvive

anybankruptcytotheextentconsistentwithapplicablebankruptcylaw.TheArbitration

Provisionsurvivesanytermination,amendment,expirationorperformanceofthis

Agreementandanytransactionbetweenyouandusandcontinuesinfullforceandeffect

unlessyouandweotherwiseagreeinwriting.IfanypartofthisArbitrationProvisionis

deemedorfoundtobeunenforceableforanyreason,theremaindershallbeenforceable,

exceptasfollows:

a. ThepartiestothisArbitrationProvisionacknowledgethattheprovisiontitled

"ClassActionWaiver"ismaterialandessentialtothearbitrationofanydisputes

betweenthepartiesandisnon-severablefromthisArbitrationProvision.Ifthe

ClassActionWaiverislimited,voidedorfoundunenforceable,thentheparties'

ArbitrationProvision(exceptforthissentence)shallbenullandvoidwithrespect

tosuchproceeding,subjecttotherighttoappealthelimitationorinvalidationofthe

ClassActionWaiver.Thepartiesacknowledgeandagreethatunderno

circumstanceswillaclassactionbearbitrated.

b. IfaClaimisbroughtseekingpublicinjunctivereliefandacourtdeterminesthatthe

MilitaryLendingActDisclosure

FederallawprovidesimportantprotectionstomembersoftheArmedForcesandtheir

dependentsrelatingtoextensionsofconsumercredit.Ingeneral,thecostofconsumer

credittoamemberoftheArmedForcesandhisorherdependentmaynotexceedan

annualpercentagerateof36percent.Thisratemustinclude,asapplicabletothecredit

Waiver.

Forexample,wemaywaiveyourInterestChargesorFeeswithoutnotifyingyouand

withoutlosingourrighttochargetheminthefuture.Wemayalwaysenforceourrights

laterandmaytakeotheractionsnotlistedinthisAgreementifthelawallowsthem.Youdo

nothavetoreceivenoticefromusofanywaiver,delay,demandordishonor.Wemay

proceedagainstyoubeforeproceedingagainstsomeoneelse.

Assignment.

ThisAgreementwillbebindingon,andbenefit,anyofyourandoursuccessorsandassigns.

YoumaynottransferyourAccountoryourAgreementtosomeoneelsewithoutour

writtenpermission.

WemaytransferyourAccountandthisAgreementtoanothercompanyorpersonwithout

yourpermissionandwithoutpriornoticetoyou.Theywilltakeourplaceunderthis

Agreement.Youmustpaythemandperformallofyourobligationstothemandnotus.If

youpayusafteryouareinformedorlearnthatwehavetransferredyourAccountorthis

Agreement,wecanhandleyourpaymentinanywaywethinkisreasonable.

Thisincludesreturningthepaymenttoyouorforwardingthepaymenttotheother

companyorperson.

Wereservetherighttousethirdpartyserviceproviderstoperformanyactivity

wearepermittedorobligatedtoperformunderthisCardholderAgreement,to

theextentpermittedbyapplicablelaw.

Deserve®EDUMasterCardCashBackProgram

EarningCashBack.

• Withthiscreditcard,youwillearncashrewards(“cashback”)byusingyourcard

forpurchases.

• Youwillnotearncashbackoncashadvancesorbalancetransfers(Balance

transfersandcashadvancesarenotavailable).

• Youwillearn1%cashbackallpurchasesexceptforthefollowing:purchaseof

travelerschecks,foreigncurrency,moneyorders,wiretransfersorsimilarcash-like

transactions,lotterytickets,casinogamingchips,racetrackwagersorsimilar

bettingtransactions.

• Attheendofeachbillingperiod,yourcashbackwillbecalculatedbymultiplying

days.ThespecificperiodoftimeisdescribedoneachStatement.However,youwillhavea
