11. External Contexts or Development Affecting Program Planning 11.1 Economic Context or Development

The Thai economy as well as the world economy has been greatly affected by the instability of the political situation and by various external factors that affect entrepreneurship at the national, regional and international levels. Often these external factors affect business relations that involve legal issues and conflicts as business becomes increasingly globalized and sometimes complicated because of political interference. Trading and related rights and norms have interfered in business transactions. Awareness of these issues is paramount to the development of a Master’s degree Program in Business Law that will enable graduates to function ethically in the practice of law according to moral codes of conduct and in compliance with business ethics.

11.2 Social and Cultural Context or Development The function and development of the law are important to the conduct of business

which should encompass the social, cultural and ethical aspects of business because the changing socio-cultural environment may pose threats or present business opportunities. Some aspects of the culture of a society might be seen as hindering or assisting business performance. Thus, the legal aspects of business have to be clearly formulated to define what business can and cannot do at a particular point of time. Therefore, should be given insights into how legal systems work, and appreciation of the social context in which the law operates and should be capable of contributing to the development of “the law”.

12. Impacts of Item 11.1 and 11.2 on Program Development and Relations to AU Mission 12.1 Impacts on Program Development

The contexts given above call for the integration of legal science into the social, economic and political aspects of the curriculum of Master of Law in Business Law at Assumption University in order to prepare its graduates for the globalization era as well as for the social and economic expansion.

The curriculum contains several courses that develop students’ intuition and creativity. The curriculum also prepares students to start their own business, equipped with legal knowledge, ethics and morals entailed in running a business.

12.2 Relations to AU Mission In line with the AU Vision, Missions and Goals, the Master of Law Program in Business

Law will produce independent graduates who can rationally analyze and criticize issues and who are able to communicate their ideas in professional community and deal with the rapid political, economic, social and cultural changes that affect business legal environment.

1. Philosophy, Significance and Objectives of Program 1.1 Philosophy

The Faculty of Law’s vision is to fulfill the need for business and international law graduates, accelerating the economic progress in a just and progressive society, and enhancing morality beyond legal education in order to conform to legal profession and vision of the university.

1.2 Objectives: To produce graduates who have the characteristics, knowledge and skills as follows:

1. Demonstrate moral and ethical behavior, committed to acting justly.

2. Have legal ethics, and respect the rights and freedom of others in business sector

and international trade.

3. Have thorough knowledge of international business law in order to support

economic expansion and respond to the need of society in both public and private sectors.

4. Demonstrate competency as lawyers in dealing with international trade legal issues

to support investment from overseas countries.

5. Demonstrate knowledge of both domestic and international law fundamentals including

regulations from various international trade organizations and groups.

6. Have the ability to analyze and solve problems by using legal theory, and analyze

problems and obstacles in order to give counsel and appropriate solutions to the clients efficiently.

7. Accept opinions of others and able to resolve conflicts involving legal matters.

8. Able to use information appropriately in resolving legal matters and communicate

information effectively to the public.

Course Description 1. Required Courses LW 8001 Legal Writing and Research Methodology 3 (3-0-6) The course is designed to prepare students for undertaking skilled and in-depth legal research mostly concentrating on English language materials. It aims to develop correct and meaningful writing and speaking ability, students are required to continuously submit written assignments. It will also improve proficiency in giving efficient professional legal advice in the future. LW 8002 International Intellectual Property Law 3 (3-0-6)

Legal concepts and evolution of intellectual property law, copyright, patent, trademark, trade secret, unfair competition, geographical names and other forms of intellectual property from instance biological diversity, genetic engineering and digital environment, analysis of intellectual property law from the economic viewpoints of both industrialized countries and developing countries. Analysis will also be made of major related international agreements, e.g. the treaties of Berne, Paris, Rome and TRIPs. This course will examine problems relating to protection of intellectual property rights and the various organizations, e.g. WIPO, the Department of Intellectual Property and the Intellectual Property and International Trade Court and will include a study of contemporary problems, e.g., licensing agreement, franchising, and parallel importation. LW 8003 Law of International Business Transaction 3 (3-0-6) Fundamental principles, laws and regulations relating to international commercial transaction, international sale contracts incoterms, transactional transportation, insurance, offshore loans, transfer of technology, customs law, law and regulations regarding import and export process, law on currency exchange control, organizing and structuring of international commercial transactions together with legal problems and settlement of disputes involving international trade as a fundamental basis to go further on in any particular subject. LW 8004 International Tax Law and Tax Planning 3 (3-0-6) International tax systems, double taxation treaties and problems concerning double taxation, tax measures pertaining to goods, services, capital, licensing fee, remittance of profits, etc. and problems relating to tax avoidance and tax planning.

LW 9011 International Economic Law 3 (3-0-6) Legal system of the WTO, in particular, the rules of international trade law arising from the General Agreement on Tariffs and Trade (GATT), as well as the supplementary agreements to and binding decisions interpreting the GATT, various permitted and prohibited distortions of free international
