REQUEST FOR STATEMENT OF QUALIFICATIONS FOR ENERGY PERFORMANCE CONTRACTING SERVICES FOR THE CENTRAL

PLANT AND VARIOUS MAJOR PROJECTS IN THE FACILITIES MODERNIZATION PROGRAM FOR CHABOT AND LAS POSITAS COLLEGES

Introduction The Chabot-Las Positas Community College District (District) requests the submission of Statements of Qualification (SOQ) from interested Energy Services Companies (ESCOs) to implement an Energy Performance Contract, to perform capital improvements to reduce energy and related costs at Chabot and Positas Colleges such that annual cost savings are realized for making such improvements. Energy Performance Contracting Services to the District will be for, but not limited to, the Central Plant and those types of projects described in Exhibit A, attached. These projects have been initially identified at the Chabot and Las Positas College campuses located at 25555 Hesperian Boulevard in Hayward, California, 94545 and 3033 Collier Canyon Road, Livermore, California 94551, respectively. The District reserves the right to cancel or to amend this RFQ by issuance of addenda hereto. Subsequent addenda, if any, will be available only on the Measure B Bond Program website at: http://measureb.clpccd.cc.ca.us/district/bond/BiddingProjectBusinessOpportunitiesRFPandServices.php. Questions or clarifications requested by Respondents will be considered by the District only if submitted in writing to the Manager of Purchasing, by electronic mail to [email protected] or by fax (925) 485-5253, no later than 2:00pm (PST) on March 19, 2007. Respondents may not rely upon any verbal response to Respondent questions or requests for clarification. All responses to questions will be posted on the Measure B website stated above. It is mandatory that responses to this RFQ be submitted to the Manager, Purchasing and Warehouse Services, 5020 Franklin Drive, Pleasanton, California, 94588, no later than 2:00 PM (PST), on March 29, 2007. See Section 9.0 below.

1.0 BACKGROUND

The Chabot-Las Positas Community College District is a public, two-year California Community College District founded in 1961 serving the San Francisco Bay Area, particularly southern Alameda County, through its two colleges: Chabot College in Hayward; and Las Positas College in Livermore. The Colleges specialize in providing education services for four-year university transfers, technical training, continuing education, contract education with local businesses and community cultural enrichment. The District serves in excess of 20,000 students and employs more than 1,200 faculty members and staff. A seven-member elected Board of Trustees sets policy for the District. The registered voters of the nine communities elect them from the following trustee areas: Castro Valley, Dublin, Hayward, Livermore, Pleasanton, San Leandro, San Lorenzo, Sunol, and

nion City. U The District has undertaken a major capital building program to implement the $498 million Measure B Bond Program approved by the voters in March 2004. The overriding goal of this program's repair, modernization and expansion efforts are to expand the existing college campuses as needed to serve the projected enrollment and to modernize them to a “like new” condition for another 40 years of service to students and the community as a whole. The bond funds will be apportioned approximately evenly between the two campuses.

2.0 INTENT

The Chabot Las-Positas College District (District) is inviting Statements of Qualifications from experienced and qualified Energy Services Companies (ESCOs) to describe their capability to identify, design, install, commission, monitor and guarantee energy savings of a large scale comprehensive energy conservation retrofit program for facilities on the Chabot Community College Campus, Hayward, California, and Las Positas Community College Campus, Livermore, California. This Request for Qualifications (RFQ) provides information about the program and outlines the respective requirements.

3.0 REQUEST FOR QUALIFICATIONS 3.1 The District requests Phase I qualification statements from ESCOs to provide

comprehensive energy design and construction services for various District Campuses. The District during Phase II will evaluate all Phase I Statement of Qualification proposals. Based on the evaluation of proposals, the District may select an ESCO to participate in Phase III site engineering analysis and implementation proposal.

3.2 Schedule of Events

The following time frame shall be followed in evaluation of responses to this RFQ:

• Release of RFQ: February 27, 2007 • Site Visit -Mandatory:Chabot College March 12, 2007 at 10:00am

Las Positas College March 12, 2007 at 2:00pm • RFQ Proposal Due: March 29, 2007

• Interviews: April 6, 2007 • Award April 20, 2007

This is a tentative schedule and dates are subject to change at the sole and absolute discretion of the District. This schedule shall constitute Notice to firms of the Interview Date. Firms selected to interview on that date shall be notified as soon as is practicable. In the event that interview date is changed a minimum of 7 days advance notice will be given. 4.0 SERVICES REQUESTED

4.1 The District will require services for the evaluation, design, installation, training, monitoring and guarantee of energy savings of approved Energy Conservation Measures (ECMs) at the Chabot Campus and Las Positas facilities. The scope of services will be determined on a project-by-project basis. If applicable all work to be completed in accordance with Attachment B - Statement of Work

4.2 The ESCO will be required to work with and coordinate with other Dstrict consultants and conform to District standards and operational requirements. Design intent documents have been prepared for selected projects. The ESCO shall design and engineer the completion of these projects. The ESCO shall obtain approvals for all projects from local, state and federal agencies having jurisdiction at no additional cost to the District.

4.3 Any other ECMs proposed by the ESCO will be considered. There shall be no cost to the District to prepare additional ECMs.

4.4 Approved ECMs for all of the projects listed in this RFQ are to be completed, tested, and accepted as soon as possible after contract award(s). Sequencing of the schedules(s) for these improvements may be phased in accordance with the Districts present building program. Time is of the essence.

4.5 Mandatory Site Visits. A mandatory site meeting and tour of the facilities will be held

prior to the Statement of Qualifications due date. Knowledgeable representatives will be

available to answer questions about operation and maintenance practices, problems, concerns and future plans. The site visit are mandatory for all ESCOs who will later submit a Statement of Qualifications to ensure sufficient understanding of the Districts requirements and the technical approach to be evaluated in the received ESCO proposals. All ESCOs will tour the facilities at the same time. Responses to any questions posed by participants during the site visits will be distributed in writing to all participants.

The Site Visit for Chabot College will be conducted beginning at 10:00 a.m. on Monday, March 12, 2007. Bidders are to meet at Chabot College, 25555 Hesperian Boulevard, Measure B Project Trailer by Building 3000, Hayward, California 94545. Campus maps are available at www.chabotcollege.edu. The Site Visit for Las Positas College will be conducted beginning at 2:00 a.m. on Monday, March 12, 2007. Bidders are to meet at 3033 Collier Canyon Road, Building 100A, Livermore, California 94551. Campus maps are available at www.laspositascollege.edu. Phone #: 925-424-1860. Parking passes are available in advance by calling phone # above on day of Site Visit or attendees may pay the $2.00 parking fee in the parking lot. If attendance at the Site Visit is indicated as being mandatory, the failure of a Bidder to attend the entirety of the Site Visit will result in rejection of the Proposal for non-responsiveness.

5.0 ESCO CAPABILITIES:

ESCO must have the demonstrated capability in engineering and management to provide a broad range of services. Services shall include but are not limited to the following: • Project Development plan including financial analysis • Construction/Implementation/Financing if required • Design Services • Equipment procurement and purchasing • Construction management on an occupied campus • Demonstrated ability to perform work in existing buildings, including partially

occupied buildings • Scheduling expertise utilizing P3 scheduling software • Hazardous waste disposal or recycling and documentation • Financing capability or ability to help financing commissioning, secure available

rebates • Continuing operation and maintenance for all improvements • Staff training on routing maintenance for all improvements of systems • Training of occupants • Performance

ESCO must have the technical capability to address a broad range of mechanical systems including, but not limited to: airside equipment; airside distribution systems; energy management and control systems, cooling and heating plants, waterside distribution systems, thermal storage systems; cogeneration systems, etc.

6.0 PROCUREMENT PROCESS

The procurement process for these energy management services will proceed in three (3) phases:

6.1 Phase I RFQ Submittals Interested ESCOs responding to this RFQ with Phase I Proposal must respond to the

Services Company Qualification Format. The District will evaluate submittals and choose the most highly qualified ESCO.

6.2 Phase II Selection of ESCO

The District will select the ESCO determined to be in the District's best interest. The District will define the criteria and scope of the projects and issue authority for ESCO to proceed to Phase III.

6.3 Phase III Engineering and Design / Board Presentation / Financing/ Construction Implementation

The ESCO shall provide a “Turn Key” installation of the selected energy efficiency projects. This will include procurement, design, installation, start-up, commissioning and construction management. The ESCO selected from the Phase II Proposal evaluations, will identify additional fundable ECMs with their calculated energy savings and project costs. All major energy consuming systems, i.e., lighting, air conditioning, boilers, ventilation, data processing, domestic hot water heaters, electric motors, etc., will be addressed. The District, at its option, may also request the ESCO to evaluate, design and implement other energy related Federal and State funded scheduled maintenance and/or capital improvement projects. The selected ESCO will be provided access to each building, on a schedule convenient to the District, and with additional energy consumption information to assist in their analysis preparation. The resultant effort shall be submitted in written form and presented in oral presentations to the District staff or designated representative. The report must specify proposed ECMs, contain an estimate of each project costs, and describe the estimated energy and cost savings for each measure. The report must also provide estimated cash flows to the ESCO and to the District under varying assumptions. The District will evaluate the report and assist the ESCO to select the items best suited to the District's requirements.

6.4 Preliminary Design Documents

Project intent documents may be prepared for selected projects, to a level determined by the District, and shall be evaluated for design effectiveness and efficiency. The ESCO shall utilize the intent documents to complete the design, engineering, and construction document for these selected projects. All permits required by any authority having jurisdiction shall be secured at no additional cost to the District.

6.5 Final Construction Documents, Construction & Commissioning

The successful ESCO shall prepare all drawings & specifications required for review and approval by District and governmental agencies. For all projects the ESCO shall design, engineer, and complete construction documents, and provide estimated costs for review and approval. All permits required by any authority having jurisdiction shall be secured at no additional cost to the District.

6.6 Construction Implementation

The selected ESCO will be responsible for preparing guaranteed maximum price (GMP) contract for projects selected from the projects listed in Exhibit A. The ESCO will be required to provide three competitive bids for each subcontract and material purchase. The ESCO’s overhead, general conditions, and profit will be added to the direct cost for each project. Hazardous material investigations have been completed for each building on campus. Reports for Chabot College are available for your use in the Swinerton Management and Consulting project office located across from building 3000. Hazmat remediation will be the responsibility of the ESCO and cost for the work included in the ESCO GMP Pricing.

6.7 Commissioning

Commissioning shall be provided by the District. Commissioning shall be coordinated by the ESCO. Cost of commissioning shall not be included by the ESCO.

6.8 Agreement for Services

An Energy Services Contract(s) (ESCO) will be awarded, provided the proposal as presented by the ESCO(s), meets the requirements as outlined in Phase III. The cost of the design, engineering, and permitting will become a part of the overall project cost.

7.0 REQUIRED INFORMATION AND FORMAT

In order to be considered for selection to perform performance-contracting services for Chabot-Las Positas Community College District, the respondent individuals, firm or firms shall deliver submittals provide that all the information required within this RFQ E-

Indicate "N/A" if not applicable. • Please number and re-state each subheading or question, followed by the respective

response. • Number all pages. • Provide complete responses, but with attention to brevity, clarity, and conciseness. • See Section 9.0 Submittal Requirments.

7.1 Qualification and Capability

a. General firm Information

i. Type of Firm (corporation, partnership, sole proprietorship, and joint venture)

ii. Year Firm Established. Number of years has your firm been in business under its present name

iii. Other Firm Names. Indicate other names by which you’re your organization has been know and the length of time known by the name.

iv. Parent Company. If applicable, state name, address, former name if applicable, tax identification number.

v. Participating Division or Branch Offices. State division or branch offices that will participate in the development of the proposal, in its evaluation process, and/or in the conduct of any services provided (office name, and address).

vi. Submittal. Submittal is for (parent company, subsidiary, division, and branch office)

b. Experience of Firm

i. Years in Energy Business. State the number of years your firm has been involved in the energy-efficiency related business. State the number of years your firm has offered performance contracting services.

ii. Number and Value of Contracts. Indicate the number of energy savings performance contracts actually implemented by your firm, each year for the past five (5) years. Indicated the associated dollar value. (NOTE: If this response is submitted by a branch office or division of a parent company, indicate the number of projects that have been managed directly by the specific branch or division.)

iii. Full-Time Personnel. Indicate the number off full-time personnel employed by your firm.

iv. NAESCO Accreditation and other Pre-Qualifiers. Is your firm accredited by NAESCO? Is your firm pre-qualified for work through the U.S.

c. Scope of Services

i. Types of Services. Summarize the scope of services (auditing, design, construction, monitoring, operations, maintenance, training, financing, etc.) available from your firm.

ii. Expertise in Systems. Describe your ability to offer services to upgrade HVAC, controls, lighting, renewables, pools, kitchen, laundry and other systems.

iii. Provision of Financing. Describe general ability and approach to help with financing. Describe ability to ensure low rates.

iv. Provision of insurance. Generally describe your capability to secure insurance policies.

d. Financial Solutions

i. Financial Statement. Attach your firm's most recent financial statement or annual report for each of the last three years.

ii. Statement of Financial Conditions. Attach the most recent annual Statements of Financial Conditions, including balance sheet, income statement and statement of cash flows, dated within the past twelve (12) months. Provide the name, address, and the telephone number of firm(s) that prepared the Financial Statements:

iii. Accounting Firm Information. If these financial documents were not produced in-house, indicate the name, address and phone number of the firm(s) that prepared these financial statements.

iv. Percentage mark-up on direct cost required in this RFQ. Each project must be approved by the Board of Trustees prior to start of construction. It is the District’s intent to maximize funds available for the work. The District intends to award task orders to a master agreement for all projects listed while remaining within budget.

7.2 ESCO Fee Structure:

The District is requesting the ESCO to state its fees as a percentage mark up on direct construction cost as follows: a. To manage the construction of selected or all projects as shown in Exhibit A. The

percentage mark up on all labor and material cost shall include overhead, both home office and field office, general conditions, insurance, bonding, and fee.

b. Design and engineering leading to the completion of construction documents and permitting by federal, state and local agencies as required. Final design and engineering fee shall be as a percentage of direct construction cost.

7.3 Experience and Expertise

a. Project History.

Briefly describe all energy performance contracts or related projects that your firm has managed within the last three (3) years. Identify project references that involve buildings similar in type, size or scope to the building(s) described Table I and in similar types of locations. If this response is from a branch office or division of a parent company, please provide project histories for those that have been managed directly by the specific branch or division. Projects that have been managed by individuals who will be specifically assigned to this project should also be included and identified. If you include projects/contracts managed by team members or subcontractors or by your employees while employed by other firms, clearly indicate the name of the company that was responsible for the project. Include the following information on each project (no preferred format):

Project Identification. Name of project owner, type of project (hospital, k-I2 school, university, office building, etc.), location (city, state). Project Dates. Actual construction starts and end dates Project Size. Number of buildings, total square footage, total contract amount and the total project capital cost. List of Improvements. Type of retrofits and operational improvements related to energy, and other cost savings. Savings Projected Annual Savings. State the projected annual energy, water and O&M savings (Therms, kWh, kW, Gallons, etc.). Guaranteed Savings. State the amount of the guarantee (see sample form below). Also describe how the guarantee functioned and if your firm was required to pay funds to meet the guarantee. Actual Annual Savings. State the actual annual energy, water and O&M savings (Therms, kWh, kW, Gallons). Also describe if savings were measured or ' stipulated Contract Terms. Type of contract (shared-savings, lease purchase, guaranteed savings), contract term, and financing arrangement. Source of Funds. Source of funds used for the project. If applicable, describe your firm's role in securing funds.

Comment on any special features, services, conditions, etc. References. Names and contact information of owner(s) ' representatives who can serve as references.

b. Personnel Information

v. Qualifications and Experience. Describe the number and quality of staff

you currently have to conduct technical analysis, engineering design, construction management, construction, training and commissioning. If needed, refer to resumes in the "Site Specific Project Information" section below.

vi. Areas of Expertise. List all areas of expertise related to potential energy improvements in facilities. Also describe the professional and skilled trades that your firm customarily performs with employees.

vii. Technical Qualifications. Point out your firm's technical qualifications. viii. Subcontractors. Describe the nature of work generally conducted by

subcontractors.

7.4 Technical Capabilities

a. Design/Construction i. Engineering Design. Describe your firm's approach to the technical design

of this project. ii. Standards of Comfort, Describe standards of comfort and functionality

that are generally used for space temperatures, ventilation rates, etc. in the intended facilities.

b. Engineering Analysis (for newly identified potential projects) i. Baseline Calculation Methodology. Describe in detail the methodology

your firm normally uses to compute baseline of energy and water use as well as performance.

ii. Adjustment to Baseline Methodology. Describe the method(s) used to adjust the energy, water and O&M baseline due to such factors as weather and facility use changes. Describe factors that would necessitate adjustment. Address issues regarding buildings projected to have substantial changes in use.

iii. Savings Calculations. List all procedures, formulas and methodologies including special metering or equipment, which your firm will use to calculate energy, water and O&M savings. Include assumptions made in the calculations.

iv. Dollar Savings Calculations. Describe the procedure to assign dollar values to the savings. Include energy savings as well as maintenance or material savings.

v. Cost Savings Calculations. Describe your firm's procedures and schedule for measuring financial performance of projects. Describe how the guarantee provisions work in the event that project results vary from projections. Also describe how excess savings can be documented.

vi. Billing and Invoices. Describe your standard billing procedures and attach a sample invoice.

7.5 Performance Contracting

a. Approach

i. Differentiation of Your Firm. Describe particular characteristics of how your film approaches performance contracting.

ii. Management. Briefly describe your firm's approach to management.

b. Other Services i. Training Provisions. Describe your firm's capabilities in providing

technical training for facility personnel and experience on past projects. Describe your firm's involvement in developing training manuals for facility staff.

ii. Maintenance Contract. Describe the types of services that can be included in the maintenance contract. Comment on whether District's maintenance staff can perform some of these duties if desired, and describe any impact on the guarantee. (These duties could include programming and maintaining the control system, installing lighting retrofits, maintaining HVAC equipment, etc.).

iii. Project Financing. Describe your firm's preferred approach to providing or arranging financing for the proposed project. To respond to this section, assume that your firm has been selected to perform the Chabot and Las Positas Colleges upgrade projects, and the project has been defined to be the Utility Loop and new Central Plant at Chabot College. 9.0 SUBMITTAL REQUIREMENTS

To be considered by the Selection Committee, Respondents must submit a written response(s) to this RFQ which addresses each and all of the requirements of this RFQ. It is mandatory that responses to this RFQ be submitted to the attention of the Manger of Purchasing, Facilities Planning and Management, Chabot-Las Positas Community College, 5020 Franklin Drive, Pleasanton, California, 94588, no later than 2:00 PM (Pacific Daylight Time), on March 29, 2007. Qualifications must be submitted in a sealed envelope including six (6) original hard copies and one (1) complete electronic copy on a compact disk (CD) in Microsoft Word or PDF format. No other collateral or reference materials should be submitted. The total volume of the proposal to comprehensively respond to these items may be no longer than 30, single-sided pages or 15 pages if printed on both sides, excluding front, back covers, and tabs. Respondents are solely responsible for timely submission of RFQ responses to the designated location prior to the latest time for submission. All materials submitted to the District will become the property of the District and will not be returned. The SOQ preparation and associated direct costs are the sole responsibility of the Respondent and will not be reimbursed by the District. All submissions must remain valid for at least twelve (12) months from the date of submission.

The District will reject summarily as Non-Responsive any RFQ response which is submitted after the date/time set forth above or which is considered by the District, in sole and absolute discretion, as Non-Responsive to the material requirements of the RFQ.

9.1 Addenda

The District reserves the right to cancel or amend this RFQ by issuance of written addenda. If addenda to this RFQ are issued, Respondents must acknowledge receipt of addenda in their RFQ responses and RFQ responses must address materials/requirements relating to this RFQ as described in addenda issued by the District. Failure to acknowledge and respond to any addenda issued by the District may render the Respondent’s RFQ submittal to be deemed Non-Responsive and it may be rejected. As noted in Section 1.0, above subsequent addenda, if any, will be available only on the Measure B Bond Program website at: http://measureb.clpccd.cc.ca.us/district/bond/BiddingProjectBusinessOpportunitiesRFPandServices.php

10.0 PROJECT STABILIZATION AGREEMENT (ATTACHMENT C)

The District has entered into a Project Stabilization Agreement (PSA) with the Alameda County Building and Construction Trades Council and multiple signatory unions, for the purpose of promoting efficient construction operations on designated Measure B Bond Program projects. The Central Plant Project at Chabot College is a PSA designated project. Respondents to this RFQ may view the PSA on the Measure B Bond Program website at http://measureb.clpccd.cc.ca.us/district/bond/BiddingProjectBusinessOpportunitiesRFPandServices.php. Respondents must thoroughly review the PSA prior to submitting their response to this RFQ. Respondent’s full and complete acknowledgement and acceptance of the PSA is mandatory for a submittal to be deemed fully responsive to this RFQ.

11.0 FORM OF AGREEMENT FOR ENERGY PERFORMANCE CONTRACTING

SERVICES

The District intends to enter into contract(s) for services using the standard form of Agreement For Energy Performance Contracting Services, collectively referred to hereinafter as “the Agreement” and which may be viewed on the Measure B Bond Program website at http://measureb.clpccd.cc.ca.us/district/bond/BiddingProjectBusinessOpportunitiesRFPandServices.php. The scope of Services will depend upon available funding, the services required, and the preparation of any other related elements necessary to complete the services.

11.1 Respondents must thoroughly review the form of “the Agreement” prior to submitting

their response to this RFQ. Respondent’s full and complete acknowledgement and acceptance of the “the Agreement” format is mandatory for a submittal to be deemed fully responsive to this RFQ.

11.2 Pursuant to Public Contract Code §20103.6 all Respondents are advised that “the Agreement” includes provisions, which obligate the Respondents to indemnify and hold harmless the District. Respondents are referred generally to “the Agreement.”

12.0 COMPENSATION

The District will select ESCO(s) following the qualifications-based selection process and will establish the Firm Fixed-Price for all or part of the specific services delineated in Section 5.5, above. If the District’s consultations with the ESCO(s) deemed most qualified for the project, based on the firm(s) RFQ and interviews conducted, are not successful, the District will then seek to enter into consultations with the next qualified firm.

13.0 OUTREACH

The Board of Trustees recognizes the importance of promoting economic growth in the communities it serves and therefore encourages the involvement of small and emerging businesses in every aspect of the execution of all services for Measure B Bond Project work covered by this RFQ.

14.0 NON-QUALIFICATION

Each Statement of Qualifications must be complete. Incomplete statements will be considered non-responsive and grounds for non-qualification. In addition, a project and construction management company may be automatically non-qualified for any one of the following:

• Falsification of information • Lack of relevant experience • Lack of appropriately experience staff • Lack of responsiveness • Excessive litigation

15.0 BASIS OF AWARD

Following an evaluation of each Respondent’s qualifications and relevant experience, the District intends to utilize the determination of “Best Qualified” to provide the required services. There is no guarantee expressed or implied that the District will provide work to all or any of the Respondents that submit a response to this RFQ. The SOQs will be

The District retains the sole discretion to determine issues of compliance and to determine whether a submittal to this RFQ is responsive, responsible and qualified, and waive any irregularities in any response received to this RFQ, and to discontinue or re-open the process at any time.

ATTACHMENT B

STATEMENT OF WORK

1.0 SCOPE OF REQUIRED SERVICES

The ESCO is to provide full time in-house staff, qualified engineering, construction and monitoring personnel. The ESCO shall be capable of performing a wide variety of administration, engineering, project management, project development, project implementation, post implementation operation/monitoring and other related engineering duties. The ESCO's personnel will coordinate their effort with the District Project Manager. Scope of services will include but not be limited to the following:

1.1 Project Management

a) Coordinate implementation of all aspects of the contract b) Maintain the communication network for all involved parties. c) Function as the first line quality control manager for both the District and the ESCO.

Obtain DSA and other required approvals from any authority having jurisdiction prior to project construction.

d) Select subcontractors, where applicable, for installation of performance contracting energy projects.

e) Prepare plans and specifications and obtain DSA/ other required approvals for projects and contracts that the District may elect to bid and award. Documents to be signed and stamped by registered architects and engineers.

f) Prepare detailed estimated project cost for each project as shown is section 5.3. 1.2 Site visits to conduct facility energy conservation technical studies and energy data

analysis. 1.3 Through on-site surveys and analysis, identify feasible Energy Conservation

Opportunities (ECOs) 1.4 Develop the identified ECOs into viable Energy Conservation Measures (ECMs) 1.5 Implement the viable ECMs at all contract facilities. 1.6 Monitor post-implementation of ECM performance. 1.7 Warrantee ECMs and provide guarantees per the executed agreement. 1.8 Generate periodic reports, as required by the contract. 1.9 Maintain a full set of records and calculations, as required by the contract.

1.10 Provide performance and payment bond equal to 100% of the contraction cost. 2.0 DELIVERABLES 2.1 Monthly and quarterly reports, facility energy studies, ECM analysis, estimated and

actual savings data, and calculations shall be delivered to the District Project Manager a schedule as detailed in the Energy Services Contract.

2.2 The ESCO will perform facility energy conservation technical studies on the District

specified facilities. The ESCO's Project Manager and the District Project Manager will coordinate these studies.

2.3 The ESCO will develop and submit a list of the ECO’s to the District Manager, and

coordinate project(s) implementation prior to ECM development and approval by the District.

2.4 The ESCO will submit a funding proposal to District. The proposal shall include: a list of

proposed ECMs to be implemented, a project payment schedule, a method of calculating and/or measuring actual energy savings on a by-project basis, and a post implementation monitoring schedule.

2.5 The ESCO will then install the ECMs, as approved by the District, at all contracted sites

in coordination with the District Project Manager or other designated representative. 2.6 Upon Implementation of all approved ECMs, the ESCO will enter into the post-

implementation phase of the contract if so desired by the District. Monitoring and maintenance of the installed ECMs as defined by the Energy Services Contact.

3.0 MATERIALS TO BE PROVIDED BY DISTRICT

a) Utility records for each facility to be studied; b) Facility “as-built” drawings and system specifications when available c) On-site staff familiar with the day-to-day operations of the facility energy systems

and related controls; d) Access to all facility energy systems involved; and e) On-site work areas and storage, as necessary.

4.0 STANDARDS

All work performed by the ESCO and/or their subcontractors shall comply with all District Standard, and applicable building codes. All work shall also comply with manufacturer instructions and accepted industry installation standards.

To ensure an understanding of contract objectives, meetings between District and the ESCO will be held as necessary. All work objectives, work schedules, terms of the contract, and any other related issues will be discussed and any problems resolved. The ESCO’s Project Manager will submit Monthly Progress reports to District’s Project Manager.
