Concession Agreement

“Development of Multi-Level Car Parking cum Commercial Complex atT.P. 8 (Umarwada) , Final Plot No. 150 in Surat City, Gujarat on DBFOTBasis”

Between Surat Smart City Development Limited (SSCDL) andConcessionaire i.e. the selected bidder as per RFQ cum RFP documents.

Concession Period

Concession for 45 years including 2 years of construction period forthe entire project + which shall be further extendable by another 30 yearsat the end of the first term on a First Right of Refusal Basis

THE PROJECT AND BROAD MODEL

Project will be awarded to the Qualified Bidder quoting the highestUpfront Premium for the Project to SSCDL is the Bidding Parameter.

Development Options and Contracting Strategy

Key Features

•Selection of Developer on the basis of offering HighestUpfront Premium and Annual Concession Fees to SSCDL.

•SSCDL to enter into a agreement for Lease Right of MLCP+ Commercial Development with the SuccessfulBidder/Concessioner for a lease period.

•Concessionaire to design, build, finance and market theproject to prospective lease holders for a Lease period.

•Developer enters into individual lease agreements withlease holders who pay regular (quarterly/ half yearly) sublease payments to Developer for the entire lease period.

•Operation and Maintenance of MLCP + CommercialDevelopment remains with the Concessionaire for the 43years. After 45 years the MLCP + Commercial Developmentasset will be transferred to SSCDL.`
