Thank you for agreeing to join the Montgomery Area Zoological Society as one of our newest Board members. Your time is valuable and we certainly appreciate your willingness to make this commitment to the betterment of the Montgomery Zoo and Mann Wildlife Learning Museum. We hope that your time as a Board member is rewarding and full of excitement... and fun too!

It is the goal of this Board to aid and contribute to the conservation, education and preservation efforts of the Montgomery Zoo and Mann Wildlife Learning Museum. As a Board member you will be afforded the opportunity to serve on many challenging and rewarding committees and tasks teams to aid in the development and promotion of the Montgomery Zoo and Mann Museum. As part of that mission, each Board member will be asked to participate in an annual Society fundraiser called Zoobilation. The event is held in September. Zoobilation is an adult only, night function that raises funds for a specific, future exhibit and/or attraction.

Mission of the Montgomery ZooThe mission of the Montgomery Zoo is to: > improve the future for wildlife by exhibiting animals and plants; > provide educational and conservation programs; > to encourage respect and stewardship of the natural world; and > teach better understanding of our place within the world we share.

Endangered & Threatened species

Conservation. Education. Research. Recreation.Conservation. In the modern zoo, conservation of species has become a major goal. Zoos maintain captive breeding populations of threatened and endangered species for potential reintroduction to the wild and manage the gene pools of those captive species. This has become increasingly important as the destruction of the animal’s natural habitats continue.

Education. Educating the public about the need to conserve and protect wildlife is an important component in the conservation of a species. If the visitors leave the zoo without being better informed about wildlife, the zoo has failed in its primary function. This goal can be achieved in a multitude of methods whether it be passive education through interpretive signage and creative bulletin boards or active programs and hands on activities.

Research. Biologists and zoo employees make use of captive populations by studying various animal behaviors, diet needs, veterinary methods, animal pathology and breeding requirements. The greater our knowledge of each species in captivity, the better equipped we are in helping to conserve their wild counterparts.

Recreation. If visiting a zoo were not entertaining, there would be far few visitors. Because zoos around the world have been successful in making learning nature fun, over 800 million people visit zoos annually. People also enjoy visiting zoos because they can feel “closer to nature” by getting away from the hustle and bustle of city life. Zoos are an excellent choice for a family outing and good wholesome fun.

Zoo DirectorAdministrative work in planning, organizing, directing, supervising, and coordinating the operation and maintenance of the zoo and its facilities. Employee functions as head of the City Zoo Department and answers directly to the Mayor or his assistant.

Zoo Deputy DirectorResponsible for supervision & management of all animal care operations including husbandry, record keeping and vet care. Supervises all professional and support staff in the absence of the Zoo Director. Plans, directs, and supervises the management of all exhibits; special events; marketing relations; maintenance; education; zoo events; and activities with the public. Develops policies and procedures to ensure a smooth operation of the zoo.

Program Services ManagerSupervisory and administrative work directing and overseeing administrative services for the Montgomery Zoo to include marketing and public relations, public education, and customer and employee relations. The employee in this position is responsible for ensuring quality services are provided to all zoo patrons, directing marketing, public relations, and public education efforts, training, and development efforts. The employee directly supervises the Marketing and Public Relations Manager and Education Curator. Work is performed under the general direction of the Deputy Director and Zoo Director.

Marketing and Public Relations ManagerProfessional work planning, directing, and implementing a comprehensive marketing and public relations program in order to promote the programs, exhibitions, and activities of the zoo. The Marketing and Public Relations Manager is directly supervised by the Program Services Manager. Supervision may be exercised over paid staff and managing all volunteers at all major special events at the Zoo assigned to assist in marketing and public relations functions.

Animal Care ManagerPlans, directs, and supervises animal care operations including general husbandry of the collections, record keeping, veterinary care and exhibit facilities maintenance to insure a professional standard of operations with regard to animal health, welfare, and conservation. Receives supervision by the Deputy Zoo Director and Zoo Director.

Assistant Animal Care Manager Supervises animal care staff in the delivery care services, participates in the care of animals, inspects and monitors facilities and grounds, maintains animal records. Supervised by the Animal Care Manager.

Zookeeper IIPerforms specific duties in the feeding, cleaning and general husbandry of the live animal collections of the zoo. Observes animals, records behavior and condition information on reports as directed. Prepares diets and medicates animals as needed. Performs maintenance duties on facilities and exhibits in the zoo. Zookeeper II has a specific responsibility for a designated portion of the collection on a semi-permanent, non-rotating basis. Supervision is received from the Animal Care Manager and Assistant Animal Care Manager. Provides leadership to Zookeeper I’s.

Zookeeper IPerforms specific duties in the feeding, cleaning and general husbandry of the live animal collections of the zoo. Observes animals, records behavior and condition information on reports as directed. Prepares diets and medicates animals as needed. Supervision is received from the Animal Care Manager, Assistant Animal Care Manager and Zookeeper II.

Dietician Prepares daily diets for zoo animals. Works with veterinarian in preparing special diets for sick or injured animals. Researches dietary needs of newly acquired animals. Keeps kitchen and equipment maintained. Orders and maintains animal diets. Receives supervision by the Assistance Animal Care Manager and the Animal Care Manager.

Zoo VeterinarianPlans, directs and executes a comprehensive animal health program for the Montgomery Zoo including routine prophylaxis, treatment, surgery and research for all living collections. Supervision is received from the Deputy Zoo Director and Zoo Director. Supervision is exercised over any personnel permanently or temporarily assigned to the Zoo animal health sub-division.

Zoo Veterinary TechnicianCleans and feeds all mammals and birds quarantined in the Zoo Clinic and adjacent outdoor pens. Assists the veterinarian in medical procedures. Takes x-rays and maintains equipment. Maintains inventory of drugs and supplies, places replacement orders. Fills prescriptions, calculates drug dosages, and administers medications to the animals. Keeps records including computer data entry for anesthesia records, parasitology and blood results. Supervision is received from Zoo Veterinarian.

Zoo Operations ManagerPlans, directs and supervises the maintenance, security and landscaping operations of the zoo including equipment maintenance, inventory maintenance and control; building maintenance and general grounds maintenance to insure a high standard of appearance and cost efficient maintenance of the zoo’s physical plant. Work is performed under the direction of the Deputy Director and Zoo Director.

Horticulturist Under general direction, supervises the landscaping and planting of all areas of the zoo. Work involves responsibility for the propagation and care of ornamental and other plants used in the zoo and exhibits. Receives supervision by the Zoo Operations Manager

Education CuratorPlans and directs Zoo Education programming to include developing programs content, maintaining materials, supplies and equipment associated with educational activities, determining appropriate fee, schedules for programs and services provided by the education division, overseeing fee collection and serving as a liaison to community schools. Work involves recruiting, training and coordinating the activities of volunteers. Work is performed under the general supervision of the Program Services Manager.

Admissions/Guest Services ManagerPlans and directs zoo retail operations and admissions. Supervises all admission and gift shop employees. Orders merchandise for the gift shop and performs inventory of all merchandise. Determines pricing for gift shop merchandise. Receives supervision from the Deputy Director.

Attractions ManagerPlans and directs zoo rides and attractions and the personnel that work in those areas. Supervises all train operators, employees and volunteers working at the horse trail rides, pedal boat rides and the giraffe encounter. Receives supervision from the Deputy Director and Zoo Director.

What began in a small downtown park in Montgomery, Alabama has now grown, expanded and become a premiere American zoological facility. The Montgomery Zoo started with humble beginnings as a small children’s zoo as a part of a local community park in the 1920s. While at Oak Park, the zoo housed alligators, monkeys, bears and assorted other animals. There was a small train and carousel for the children.

As the years passed and dreams grew, in 1972 the Montgomery Zoo relocated to the quickly expanding north section of town, and still its current location. The Zoo began with six acres, a small petting zoo, assorted monkeys, a flight cage designed after the 1906 St. Louis World’s Fair and chimpanzee named Benji.

In 1976, the Montgomery Zoo hosted its first fundraising event entitled Zoo Day. This initial event grew to become an annual event and even take on a new name: Zoo Weekend. Today, an average Zoo Weekend will play host to over 18,000 guests. In 1989, ground-breaking took place expanding the Zoo to 40 acres. After two years of hard labor, the community welcomed a new Zoo in 1991. Barrier-free and multi-species exhibits highlighted the expansion, as well as, the Zoo being divided into five continental realms: Africa, Australia, Asia, North America and South America.

Since then the Zoo has continued to grow and expand. In 1992, the cougar and lynx exhibit was opened in North American realm, the Reptile House, jaguar, and ocelot exhibit were completed in South America, as well as, the new chimpanzee and siamang exhibits opened in the Africa realm. In 1993, the bengal tiger exhibit opened in the Asian realm with one white and one orange tiger. In 1995, the bald eagle exhibit opened in North American realm and Monkey Island was completely renovated in South America.

In 1996 , the new American black bear exhibit opened and our first baby cheetah was born. A few years later in 1998, the maned wolf and Indian rhino exhibit opened. In 1999, the new front gate entrance and gift shop opened. In 2003, the Mann Wildlife Learning Museum was completed and opened on Zoo property. In 2004, probably our largest undertaking began: the building of our African elephant exhibit. After a year of hard work and sweat, the exhibit opened housing three female elephants. And almost two years to the date of opening the exhibit, our first African elephant was born. This is the first African elephant born in the State of Alabama. In the same year (2007), we also experienced the first Indian rhino to be born at the Montgomery Zoo: a male calf. In March of 2008, the North American River Otter exhibit opened featuring two river otters and an addition habitat for a North American Alligator Snapping Turtle. In June 2010, the Zoo opened the Giraffe Encounter and feeding stations at the river otters and koi fish ponds. The following year, the both Parakeet Cove and Horse Trail Rides were added to our list of animal encounters. In August 2012, the Zoofari Skylift Ride set sail atop the Zoo providing guests with spectacular views of the many exhibits and animals below. In August 2014, the new North American Alligator habitat on the lake front opened featuring four alligators. In April 2016, a male African pygmy hippo named Monty was born at the Zoo. The name Monty was selected by a public election, in reference to the City of Montgomery.

ARTICLE I :: NAMESection 1. The name of this corporation is the Montgomery Area Zoological Society, Inc., hereinafter

referred to as “the Society.”

ARTICLE II :: MEMBERSHIPSection 1. Eligibility for Membership:

Any individual, single household family, business or any other group may become a member of the Society in the manner set forth in Section 3 of this article.

Section 2. Conditions of Membership:The Board of Directors of the Society may create or delete various classes of a. membership in the Society as deemed beneficial to the Society and/or the Montgomery Zoo.

The annual dues for each class of membership shall be established by the Board of b. Directors and may be revised from time to time at the discretion of the Board of Directors.

Notice of any change in membership class or annual dues shall be made to the c. membership by publication in the Society newsletter.

Changes of membership classes or dues shall be applied to existing memberships only d. at the time of renewal.

No member in good or regular standing, holding membership in a class affected by the e. aforesaid action of the Board of Directors, shall be denied the benefits of that class during the current term of membership.

Honorary Life Members may be selected by the Board of Directors from persons whose f. contributions to the Society are, in the opinion of the Board of Directors, of sufficient magnitude to warrant extraordinary recognition. Honorary Life Members shall have all the rights and privileges of membership to the extent of that granted by the Board of Directors.

All memberships except Honorary Life Members and Life Members are for a period of g. one (1) year from date of issuance and are renewable annually.

Failure to pay the annual membership fee by the first day of the month following h. expiration date shall subject a member to forfeiture of membership in the Society.

Section 3. Applications for Membership:Application for membership in the Society shall be made in writing in such form as may a. be prescribed by the Board of Directors.

Applications for membership may be made by mail or at such place as may be provided b. by the Society at special locations or activities approved by the Board. Applicants at these locations shall be issued a temporary thirty (30) day membership card, signed by the person receiving the application. The card shall entitle the member to immediate privileges of the class of membership designated on the card.

Applications for membership shall be processed by the Society in the following manner:c.

New members shall be issued a membership card good for one (1) calendar year i. from the date of issue.

No application for membership in the Society not accompanied by proper payment ii. of the class of membership applied for shall be accepted. Such applications shall be returned to the applicant or, with the applicant’s approval, be processed for a class of membership commensurate with the amount of payment tendered.

ARTICLE III :: MEETINGSSection 1. Annual Meeting:

An annual meeting of the Society membership shall be called during the last meeting of the calendar year at such place, date and time as designated by the Board of Directors.

Section 2. Special Called Meetings of the Membership:Special meetings of the membership of the Society may be held at such place as designated in the notice of said meeting. A special meeting may be called at any time by the President or in his/her absence by three (3) officers of the Society.

Section 3. Notice of Meetings:Notice of the time, place and purpose of an annual or special called meeting of the membership shall be mailed to the membership of the Society at least ten (10) days prior to such meeting.

Section 4. Duly Organized Meetings:A duly organized meeting is one that meets the requirements specified in Article III, Sections 2 and 3 above.

Section 5. Voting:At any meeting of the Society membership, each membership in good and regular a. standing (except as limited below), not in arrears in dues shall be entitled to cast one vote. Separate members of the same household are entitled to one (1) vote per household.

Any proposition properly brought before a duly organized meeting of the Society may b. be acted upon provided a quorum of the membership is present.

A quorum for the transaction of business at a duly organized meeting shall consist of a c. minimum of ten (10) eligible voting memberships.

Section 6. Adjourned Meetings:If less than a quorum of the members is represented at a meeting, a majority of the a. members so represented may adjourn the meeting to another date and time without further notice.

At such adjourned meetings at which a quorum shall be present of represented, any b. business may be transacted which might have been transacted at the meeting as originally notified.

The members present at a duly organized meeting may continue to transact business c. until adjournment, notwithstanding the withdrawal of enough members to leave less that a quorum.

Section 7. Removal of an Office or Director:The members of the Society shall have the right to remove, by majority vote of the members present in good and regular standing, any director or officer of the Society at any meeting of the membership for which notice of the matter of such removal is specified in the call for the meeting.

ARTICLE IV :: BOARD OF DIRECTORSSection 1. Responsibilities of the Board of Directors:

The business and property of the Society shall be managed by a Board of Directors a. consisting of not less than eighteen (18) nor more than forty (40) members. These members will include Executive Board and Board of Directors, appointed representative, Mayor’s representative, Chamber/Tourism representative, and military representative, excluding ex-officio members.

The Board of Directors may create from its body of elected members an Executive b. Board. The Executive Board shall include the president, vice-presidents, secretary, treasurer and such committee chairmen as desired by the president.

Directors shall be elected to serve for a term of up to three (3) years. Directors shall c. assume their duties in January.

Section 2. Election of Directors:At the Annual Meeting, Society members may nominate for director members in good and regular standing to fill vacancies and on the Board of Directors. The list of nominees shall be presented at the annual Board of Directors meeting for consideration as provided in Section 4a below.

Section 3. Meetings of the Board of Directors: A Board of Directors meeting shall be held immediately after the adjournment of a. the annual meeting for the purpose of electing new directors and officers for the forthcoming year.

The Board of Directors shall meet at regular intervals of not less than ninety (90) days to b. transact such business that may properly come before the body.

Executive Board Meetings and responsibilities:c. The president of the society, or in his/her absence the 1st vice-president, may call i. an Executive Board meeting by notifying the Executive Board members as to the time and place for said meeting.

The Executive Board may approve expenditures that fall within the approved ii. Society budget.

The Executive Board may employ full or part-time staff as required to manage the iii. daily business of the Society.

The Executive Board may delegate to such employees such duties as required iv. to conduct the daily business of the Society. The delegation of duties to staff employees shall not abrogate responsibility of any officer as set forth in these bylaws.

Special meetings of the full Board of Directors may be called by the President or in d. his/her absence by the 1st Vice-President, or by at least three elected officers of the Society.

Adjourned Board Meetingse. If less than a quorum of the directors is represented at a meeting, a majority of i. the directors so represented may adjourn the meeting to another day and without further notice.

At such meetings at which a quorum shall be present or represented, any business ii. maybe transacted which might have transacted at the meeting as originally notified.

Restrictionsf. Should two or more members of the same household be elected to the Board of i.

Directors, they shall have one (1) vote per household in matters coming before the Board.

No director of the society shall received pecuniary compensation from the society ii. for service as a director.

Quorumg. A forum for the transaction of business at any regular, special or adjourned meeting of the Board of Directors shall consist of one-third (1/3) of the Board of Directors or five (5) directors, whichever is more.

h. Vacancies Vacancies on the Board of Directors shall be filled by the Nominating Committee at any

regular or special Board of Director’s meeting.

Section 4. Election of Officers: The officers shall be elected by the Board of Directors at a meeting immediately following

the annual meeting or as determined by the Board, to serve for a term of two (2) years and shall assume the duties of the office upon election. Office of presidency shall be limited to two (2) consecutive terms, not to exceed four (4) years. Elected officers shall hold office until their successors have duly elected and qualified.

Section 5. Duties of Elected Officers: The Officers of the Society shall be a president, a first vice-president, second vice-president,

or more vice-presidents (the number thereof to be determined by the board of directors from time-to-time), Secretary and Treasurer. These last two offices may be held by one individual at the discretion of the Board.

President:a. The president shall preside at all meetings of the Board of Directors and at all meetings of the members of the Society, and shall sign all written contracts for the Society, and perform all such other duties as are incident to the office of the President.

1st Vice president:b. The 1st Vice-President shall, in the absence and/or disability of the President, perform the duties and exercise the powers of the President, and shall perform such other duties as the President and Board of Directors shall prescribe.

2nd Vice president:c. The 2nd Vice-President shall, in the absence and/or disability of the President and 1st Vice-President, perform the duties and exercise the powers of the President, and shall perform such other duties as the President and Board of Directors shall prescribe.

Secretary:d. The Secretary shall issue notices of all Director’s and Society meetings, attend and keep the minutes of all meetings, attest with signature all written contracts of the Society, and otherwise perform all other duties as are incident to the office.

Treasurer:e. The Treasurer shall have custody of all monies and securities of the Society i. and shall be bonded in such sum and with surety as the directors may require, conditioned upon the faithful performance of the duties of this office.

The Treasurer shall keep or supervise the keeping of all financial records of the ii. Society and shall submit a written report of the general financial condition of the Society at each regular Board of Director’s meeting. A fiscal year financial report shall be presented to the general membership at the annual meeting of the Society.

The Treasurer shall furnish such records of the Society as may be required for iii. an annual audit of Society business. The auditor’s report shall be directed to the Society president for review.

The Treasurer shall sign checks of the society. In addition to the signature of the iv. treasurer, all checks drawn on the Society shall be countersigned by another officer or employee as the end date designated by the Board of Directors.

Section 6. Vacancies:In the event of a vacancy in the office of one or more of the elected offices above, the office shall be filled by the Board of Directors at any regular or special board meeting.

Section 7. Removal of Officers or Directors:A Society Officer or Director maybe removed at any time by a two-thirds (2/3) vote a. of the full Board of Directors at a regular meeting of the Board or a special meeting of the Board called for that purpose.

Officers or Directors may be removed from office by action of the membership as b. provided for in Article 3, Section 7.

A director can be required to vacate the office of director at such time as said c. director ceases to maintain membership in the Society in good and regular standing and/or when said director, in the opinion of the Board, no longer actively support the goals of the Society or has three (3) consecutive unexcused absences.

Section 8. Ex-officio Directors:The Director of the Montgomery Zoo shall serve as a non-voting, ex-officio member of the Board of Directors in an advisory capacity.

ARTICLE V :: COMMITTEESSection 1. The president, with the concurrence of the board, may appoint such committees as deemed

advisable. The President and 1st Vice-President shall serve as ex-officio members of all committees except the Nominating Committee.

Section 2. All committee members must be members of the Society in good and regular standing.

Section 3. All committees shall be subject to the call of their respective chairman.

Section 4. Committee chairmen may select additional members of the Society or community to serve as subcommittees as deemed necessary.

Section 5. Committee chairmen shall report to the Board of Directors and/or meetings of the Society as requested by the Board of Directors.

ARTICLE VI :: BUDGETSection 1. At the first meeting of the Board of Directors after the annual meeting, the Treasurer and

Finance Committee shall submit a budget for the new fiscal year for review and approval by the Board of Directors.

ARTICLE VII :: ENDOWMENT FUNDSection 1. A separate account entitled the Montgomery Area Zoological Society Endowment Fund

shall be maintained for accepting donations, gifts, contributions and bequests especially designated for and to said fund.

Section 2. The Society’s Board of Directors are authorized, and required, to proceed immediately to establish a charitable trust know as the Montgomery Area Zoological Society Perpetual Endowment Trust (hereinafter referred to as “the Trust”) and to transfer and convey all the assets and money in said fund, both principal and interest to the Trust upon its creation. Pending the creation of the Trust, the Society Board of Directors is authorized to expend income derived from said Fund to further the purposes of the Society, but are prohibited from expending, transferring or conveying the principal, or any part thereof, to any entity other than the Trust.

Section 3. Immediately before the creation of the Trust, a five member Board of Trustees shall be created for the administration thereof. Trustees shall consist of the President and immediate past President of the Society and three members of the Society Board of Directors elected by that Board to serve as Trustees. Of the initial three (3) elected

Trustees, one shall have a term of one year, another a term of two years, and the last a three year term as Trustee. Re-election and/or appointment of the Trustees shall be governed by the Trust Agreement.

Section 4. Upon execution and creation of the Trust, said Trust shall be operated and administered according to the terms of said Trust and not by the Constitution and/or by-laws of the Society.

Section 5. Notwithstanding any other provisions in this the Bylaws of the Society this Article VII shall not be subject to amendment or repeal either by the Board of Directors or members of the Society.

ARTICLE VIII :: TERMINATIONSection 1. In the event of the dissolution of said Society, after discharge of all liabilities and obligations

of the Society, all assets thereof remaining shall be conveyed and transferred to the City of Montgomery, as a special fund for the exclusive purpose of acquiring animals or funding capital improvements for the Montgomery Zoo, after absolving the 501C3 status.

ARTICLE IX :: AMENDMENTSSection 1. Amendments to the Bylaws of the Society shall be made only at the annual or special

meeting thereof by a two-thirds (2/3) vote of the members present. Notice of proposition to amend shall be given to the voting membership not less than ten (10) days prior to the meeting wherein the proposition is to be voted.
