Recently an article in the NZ Herald had the headline - Early childhood teacher shortage means teachers can get ‘whatever they want.’ This article focussed on the lack of qualified teachers. With this partly due to the increase in the number of centres and partly to the falling number of trainees.

The article stated that early childhood enrolments grew by only 1.4% in the three years to last year, but the number of services grew by 7% and qualified teachers increased by 11.7%. The article can be found at www.nzherald.co.nz/nz/news/article.cfm?c_id=1&objectid=12150297.

It is an industry which has undergone a lot of change and expansion with the number of childcare centres nationally having grown over the last fifteen years or so as a result of government policies such as 20 Hours Early Childhood Education (ECE). ECE services provide early childhood education to three, four and five-year-olds for up to a maximum of six hours per day for 20 hours per week per child without charging fees.

As with any investment property, the potential value is determined by the overall quality of the improvements, location and the sustainable income which is driven by the quality of service. Privately operated licensed childcare facilities are common throughout the Tauranga area and New Zealand. Originally, establishments tended to be developed within existing residential buildings. But over the last ten to fifteen years, many purpose built facilities have been constructed for this type of use.

To obtain a license for a childcare centre, the property has to meet a number of requirements. These include minimum standards both in terms of building and outdoor space, construction standards in terms of size, building requirements, health and safety standards, food and drink facilities, laundry and sanitary requirements, lighting, ventilation, noise and heating, fire protection, sleeping facilities, safety and hygiene.

Ministry of Education guidelines state that childcare facilities cover several types of facilities including:

• Kindergartens (free)• Play centres• Te Kohanga Reo• Childcare centres• Home based services (family day centre)• Pacific Island Early Childhood centres• Playgroups

Our research shows the following approximate distribution of child care facilities in Tauranga:

The spread of centres should be sensitive to demographic data such as the proportion of young families within a given area.

Rentals on childcare facilities are generally calculated on the basis of a rental rate per licensed child per annum. In general terms, it has been our experience that converted residential dwellings tend to lie between $1,500 and $2,000 per child, whilst purpose-built facilities tend to lie between $1,750 and $2,750 per child. The market is now dominated by purpose-built facilities rather than converted dwellings. Factors which affect rent include:

• The level of landlord provided fit out• The number of licensed children• The space provided per licensed child• The age of the facility• The location and level of competition from other centres

In general terms sales evidence of childcare centres tend to show similar levels of return to the wider market for commercial property. However, there is a propensity for such developments to be sold shortly after construction and then to have leases in place which are of a longer term than the wider market in general. As an investor, one issue to consider is that often such properties contain businesses which are newly established in the locality and as such do not yet have a wide client base in the suburb they are now operating in.

al AML/CFT – A Laundry List of Compliance Measures!

If you’ve had any dealings with a lawyer recently you will no doubt already have encountered New Zealand’s anti-money laundering laws.The Anti-Money Laundering and Countering Financing of Terrorism Act 2009 has been around a while (since 2013) but its application was fairly limited (mainly affecting the banks) and it was ‘business as usual’ for most businesses and professionals.

But times have changed and governments worldwide have been moving to strengthen their commitment to monitoring financial activity. The aim is to reduce or eliminate money laundering, thereby cutting off the source of funds to finance international terrorism. (In New Zealand alone, it is estimated that $1.35 billion from the proceeds of crime is laundered through businesses every year.)

In 2017 the New Zealand parliament passed an amendment to bolster the existing law. This amendment extended the act to apply to lawyers, conveyancers, accountants, real estate agents, sports and racing betting agencies and businesses that deal in high value goods (eg art and antique dealers, motor vehicle dealers, boat dealers and jewellers).

The amendments are being implemented progressively, with lawyers and conveyancers coming into the regime from 1 July 2018. Accountants are required to comply with the new rules from 1 October 2018, real estate agents from 1 January 2019 and the remainder will be in from 1 August 2019.

So what’s covered?

These entities are required to comply only if they provide certain specified services eg acting as a formation agent, providing a registered office or business address, providing real estate conveyancing services, managing client funds and buying or selling high value items. These services are defined very widely and the act casts a wide net, capturing a vast swathe of entities and individuals.

Customer Due Diligence

If the business provides one of these specified services to a customer it is required to carry out Customer Due Diligence (‘CDD’) on that customer. This is all about verifying the identity of those you do business with and knowing your client. The client’s risk profile will determine the level of CDD required – Simplified, Standard or Enhanced. Each has different levels of information required with Enhanced the most comprehensive. Simplified CDD will apply to very few customers as it is limited to banks, insurers, local authorities, government organisations and the like, so Standard is effectively the starting point.

The risk profile is assessed by reference to the nature of the entity (trusts and companies being considered inherently riskier), country of residence of the beneficial owners, the background of the individuals involved (eg a ‘politically exposed person’), the nature of transactions etc. It is necessary to trace back through the ‘layers’ of companies, trusts and partnerships to find the individuals who are the beneficial owners and those who control the entity. A beneficial owner is always a natural person.

While the risk assessment may be somewhat subjective you can expect that a conservative (more rather than less) approach is likely to be the norm.

What information do you have to provide?

At the least you can expect to have to provide proof of your identity and residential address. You will need to show the originals or certified copies may be acceptable in some cases. Documents proving address must be less than 3 months old, on letterhead and in English. For trusts you will need to provide more detail including copies of trust deeds and details of beneficiaries. If Enhanced CDD is required you will be asked to provide details of the source of wealth; this could include obtaining copies of historic Sale & Purchase Agreements, Gift Deeds, or copies of wills or legal correspondence for inheritances received.

So, having already provided this information to your lawyers and sharebrokers, you can now expect another round of requests for information to prove your identity and residential address and, in some cases, to prove the source of your wealth. This may be so even where you are a long standing client or customer of the firm you are dealing with.

Money laundering is the method by which people attempt to disguise the proceeds of their criminal activities. Usually this is achieved by intertwining the proceeds of criminal activities into the financial system through integrating the laundered funds into the legitimate economy by entering into numerous and complex financial transactions with the purpose of disguising the true origins of the funds. One method money launderers are able to achieve this, is through using the services provided by solicitors, accountants and real estate agents. Therefore, these professionals have been referred to as ‘gatekeepers’, as they provide services which can be used to assist the entry of illegal funds into the legitimate economy and provide the impression of legitimacy. Real estate is particularly prone to be used by money launderers to move large amounts of funds in a single transaction without alerting any suspicion through the purchase of real estate. Real estate also offers criminals a legitimate income to mix with illegal proceeds. This means that the ‘gatekeepers’ can assist criminals to create a façade of legitimate wealth.

In response to criminals using the ‘gatekeepers’ as a way to create a legitimate appearance of wealth, the Anti-Money Laundering and Counter Financing of Terrorism Act 2009 (“AML/CFT Act”) has now been introduced to require certain professions, including real estate agents, to verify the identity of their clients before providing their services.

From 1 January 2019, real estate agents will be required to complete Client Due Diligence (“CDD”) to verify the identity of their clients in accordance with the AML/CFT Act once a ‘business relationship’ begins. For real estate agency work, the business relationship commences when the vendor signs an agency agreement with the agent. If the real estate agent is not able to verify the identity of their client through CDD, they will be unable to act for them in relation to their real estate. As a client, the information you will be required to provide depends upon whether you are entering into an agency agreement as an individual, trust or a company.

For individuals, the agent must collect the full name of the client, date of birth and proof of residential address. Therefore, as a client you will need to provide either your Passport, New Zealand Firearms Licence or New Zealand Driver’s Licence. Along with your proof of ID you will need to provide the agent with an original document with your residential address such as a bank statement or utility bill.

For companies, the agent will need to gather the above information for all individuals that have an effective control of the company and those who are acting on behalf of the company. Therefore, each Director of the company will need to provide the above information as well as every individual with more than a 25% shareholding in the company.

In circumstances where Trusts are involved, all trustees and settlors will need to provide the above information as well as a copy of the Trust Deed. The agent will also need to record the trust’s source of wealth or funds. Therefore, to aid your agent with this, you should advise your agent who the trust’s accountant is. Additional information may also be required for the beneficiaries and appointers of the trust.

In cases where the client is a trust, company or if individuals are overseas, the CDD process can sometimes take weeks to complete. Therefore, we recommend that if you are planning to engage real estate agency work, you should contact your agent as soon as possible to have the CDD process completed.
