Royalties for LED Luminaires
• Royalties based on Net Revenues
– 3% for Single Color Luminaires
(fixed color temperature white or
color)
– 4% for Tunable White Luminaires
(color temperature controllable)
– 5% for Color Changing Luminaires
(Charged only for manufacturing or sales in
countries where Philips has at least one issued
patent covering a feature of the licensed product)
• Net Revenue is the price actually
charged to a customer to purchase a
licensed product, excluding freight,
insurances, and taxes

Royalties for LED Retrofit Bulbs
• Royalty based on Net Revenues:
– 5%
– Minimum 0.25 Euro per unit
(Charged only for manufacturing or sales in countries
where Philips has at least one issued patent covering a
feature of the licensed product)
• “LED-based Retrofit Bulb” means:
a LED-based light bulb designed and
intended to be installed in an existing
luminaire that previously utilized a
conventional (non-LED) light bulb

Luminaires using qualified components (1/2)
No royalties due provided that the following are from a qualified supplier:
• all LED light-engine modules (LEDs placed on one or more common circuit board(s)); and
• all LED drivers; and
• all components, if any, for controlling
the light output of the LEDs used in the
luminaire
The trademark of the respective qualified
supplier(s) is identifiable on each of the
above components assembled in the
luminaire.

Luminaires using qualified components (2/2)
• Qualified Suppliers are Philips, Osram and Zumtobel Group
• Luminaire company still needs to enter into a license agreement with
Philips (even if all luminaires only include components from qualified
suppliers)

Key steps to Agreement
1. Philips and company enter into an NDA
• Protects company’s product information
• Company information will not be shared outside Philips IP&S
2. Evaluate company’s products to illustrate the value of the license
offered
• Categorize product portfolio (into Single Color, Tunable White, Color
Change, Retrofit Bulb)
• Determine use of Philips IP
- Products practicing identified patents, per country (manufactured,
sold and/or used)

FAQ
• Why do I need a license, even in the event I source 100% key
components from Qualified Suppliers?
– Only via the license agreement your products get the status of licensed
products under patents not embodied in the sourced components
– Philips licenses more than only patents embodied in the key components
sourced by Philips, Osram and/or Zumtobel Group. Being licensed will
(also) allow you to use all licensed Philips’ patents related to LED
Luminaires , beyond what is embodied in the key components sourced
either from Philips, Osram and/or Zumtobel Group
– The license agreement will give you the advantage of designing in optimal
technologies as offered via the license program
– The license agreement will give you a status as “licensed ” which you can
use to your benefit in marketing your products

FAQ
• When I use LUXEON or Osram LEDs, do I still need to pay a
royalty?
The purchase of LUXEON or Osram LEDs by itself will not entitle you to a
royalty-free license for these patents, because LEDs as such are no
qualified components.
Only LED light-engine modules (LEDs placed on one or more common
circuit board(s)) with an identifiable trademark of a qualified supplier can be
qualified components.
The purchase of LUXEON or Osram LED engine modules by itself, without
additionally purchasing the corresponding drivers (and controller
components, if present) from a qualified supplier, will not entitle you to a
royalty-free license for these patents. So, a royalty is required on those
luminaires and retrofit bulbs that practice one or more of the Philips
patents.

FAQ
• Does this program also include Philips’ designs?
No, the program only relates to patents directed to technology and not to
other IP directed to the aesthetic appearance of the products
• I’m interested in applications outside the markets addressed by
your program. Can I get a license?
We are willing to further explore your request, but willingness, list of patents
and terms can deviate from the program.
