    wanT To Know more abouT your Co-op?Members sometimes ask us about MECs co-operative business model, patronage shares or if MEC pays taxes. Read on to learn about some of the ways co-ops are different from other businesses.

    meC is a great success story in the Co-operative movement. In terms of membership, we are the largest retail co-operative in Canada. In 2007, our sales were over $235 million. This represents a lot of satisfied members sharing the benefits of their collective purchasing power. Thanks for being one of them.

    what is a co-operative?

    A co-op is a democratically owned business structure in which members pool their resources to obtain a benefit.

    Anyone can join MEC by buying a $5 membership share, which makes them a part-owner in the Co-op. This allows them to buy gear and vote on how the Co-op is governed. Each member has one vote, so no single member can hold more influence over another.

    How are co-ops different from corporations?

    Corporations are owned by shareholders. In publicly-traded corporations, share values are based on what the market believes they are worth. Shareholders can buy and sell shares. Voting is generally based on one vote per share. In privately-held corporations, shares are held by investors, but not publicly traded.

    Corporate shareholders expect the value of their shares to increase over time and to receive profits accordingly. Therefore, corporations are managed with the goal of maximizing annual profits to pay increasing dividends year over year

    which, in turn, leads to increased share prices.

    On the other hand, a co-op also has shareholders, but share values always remain the same. (The price of an MEC share has been $5 since 1971.) All co-ops, including MEC, exist to provide benefits to their members, not make a profit.

    Is meC profitable?

    In order to stay financially healthy MEC aims to make a small annual surplus. Surpluses, or what most businesses call profits, are whats left over after we pay suppliers, employees, and operating costs. In a co-op, a surplus is akin to an overpayment by members on their purchases. Any surplus at MEC is returned to members in the form of patronage shares.

    does meC pay taxes?

    MEC pays capital taxes and municipal property taxes.

    MEC also pays corporate income tax on any year-end earnings. This tax is calculated on earnings that remain after patronage shares are allocated to members. When MEC declares a patronage dividend, its taxable income is almost zero.

    The Board decides to buy back shares from members in 2007. Members with more than 50 shares in their share account at the end of 2006 are eligible for the redemption, which pays down their share accounts to 40 shares. Your share account stands at $261, or a $5 membership share and $256 in patronage shares. You get a $61 cheque and your share account now holds 40 shares. This includes 39 patronage shares and the 1 membership share, which you bought upon joining MEC.

    Say you joined MEC in 2004. Your share account opens with a $5 balance. Over the year you bought $1,150 worth of gear. That year, we earned a 6% surplus on sales of $178 million. Your patronage return would be 6% of $1,150 gear, or $69.

    patronage dividends return earnings to members.

    The Rules of Co-operation specify how we conduct our affairs. In Rule 5, MECs members decided that patronage dividends can be used to fund the Co-op, be donated for charitable or educational purposes, or be returned to members through share redemptions. Each year the Board determines the financing needs of the Co-op. When the Co-op is adequately funded, it buys back patronage shares from its members accounts and refunds money to the members.

    In 2005, your gear purchases were $940 while MECs sales were $196 million. We earned 5% of sales, which equals $47 of the gear you bought.

    2006 saw you buy $2,000 worth of gear; MEC meanwhile sold $223 million of it. We also showed 7% earnings, which, when declared to you as your patronage, was $140 in respect of your total gear purchases for the year.

    Rounded sales figures and approximate surplus values are used here to simplify the explanation. Each year the Board may declare a patronage return up to the amount of MECs earnings. The following examples assume the full amount of earnings are declared as patronage return.

    The pages in this catalogue contain 100% recycled content, and 85% of it is from post-consumer waste. It is also the first paper in any North American catalogue to be designated Ancient Forest Friendly.

    To be Ancient Forest Friendly a paper must contain a high percentage of recycled content. This can be post-consumer waste or material recycled from other sources such as industrial paper waste or agricultural fibres. Any virgin wood used must be gathered from sustainably managed forests, certified by the Forest Stewardship Council.

    Weve been trying to source paper like this for a long time. Five years ago our catalogue pages contained 35% recycled content. In 2007 we were able to increase that to 40%. So, were very excited to have found this paper thats made entirely from recycled material, creates less greenhouse gasses, and consumes no trees.
