OLYMPIC WORKFORCE DEVELOPMENT COUNCIL (OWDC) EXECUTIVE COMMITTEE SUMMARY

October 14, 2014

ATTENDANCE: Del DelaBarre, Larry Eyer, Margaret Hess, Marc Lawrence, Cathy Price and Julie Tappero. Staff: Bob Potter and Jim McKenna The Olympic Workforce Development Council’s (OWDC) Executive Committee meeting was held on Wednesday, October 14, 2014 via WebEx. Julie Tappero, Chair, called the meeting to order at 9:35 a.m. APPROVAL OF SUMMARY The Executive Committee’s Meeting Summary was approved as follows: ACTION: Del moved to approve the August 20, 2014 Executive Committee Summary as presented. Larry seconded the motion. Motion carried unanimously. DISCUSSION ITEMS/ACTION ITEMS

a. Employer Skill Panel for Advanced Manufacturing/Composites Industry Sector: Jim McKenna provided a brief update on the status of the Employer Skill Panel.

b. Joint OCB/OWDC Meeting: A discussion was held on December 5, 2014 (Kitsap Conference Center) Joint OCB/OWDC Meeting. Items discussed included: shared vision, concentration on communication efforts, designating activities the OCB believe are important in Workforce Development, and sharing what the OWDC priorities are and what we are working on. A featured speaker for the meeting will be Mary Kaye Bredeson of Everett Community College’s Center of Excellence on Aerospace and Advanced Manufacturing.

c. WIOA Topics. Bob briefed the Committee on several WIOA topics that related directly to the composition and function of the Workforce Development Board. He noted that there will be 13 main functions of the Board and that the size of the Board may be as small as 19 members.

OPERATIONS

a. WorkSource Performance Report: Bob Potter provided a brief overview on the Federal Performance Report ending June 30, 2014. Nothing had changed since the last quarterly report because the quarter ending September 30 hasn’t been compiled yet. WIA Formula Programs - ending June 30, 2014, Olympic Educational Services District and Kitsap Community Resources are all on target.

Grant expenditures for youth, adult and dislocated workers are all on target. Washington State Employment Security Department measures are above or on target. Dislocated Workers measures are showing a decrease in reaching targets.

b. Point B Report on Go2 WorkSource Employer Focus Groups. Cathy Price discussed the focus group that she was part of for this study.

OTHER BUSINESS

a. Roster and Calendar: The committee members went over the Roster and businesses to approach for potential membership on the Council.

b. OWDC Full Council and OCB Joint Meeting

c. The next OWDC Meeting will be held on Friday, December 5, 2014 at the Kitsap Conference Center in Bremerton.

ADJOURN There being no further business to come before the committee, the meeting was adjourned at 10:45 a.m.

Olympic Workforce Development Council Executive Committee Meeting Summary

April 15, 2015

CALL TO ORDER

The Olympic Workforce Development Council Executive Committee meeting was held at the Port Hadlock WorkSource office on April 15, 2015. Cathy Price, Vice Chair called the meeting to order at 9:35AM. In attendance were: Cathy, Del DeLaBarre, Larry Eyer, Cordi Fitzpatrick, Robin Hake and Margaret Hess. Julie Tappero and Allison Plute were in attendance over the phone.

APPROVAL OF MEETING SUMMARY

Motion: Margaret moved to approve the meeting summary as submitted. Del seconded the motion. Motion carried unanimously.

DISCUSSION/ACTION ITEMS

a. Discussion was had on the OWDC Bylaws Under WIOA changes. Changes to the document wasmostly changing name from WIA to WIOA.

Motion: Del moved to approve the amended bylaws as submitted. Larry seconded the motion. Motion carried unanimously.

b. Bob explained that there needed to be a shifting of $80,000 from the Dislocated Worker Grant toAdult Grant for the purpose of better using funds for the needs of the job seekers.

Motion: Del moved to approve the shifting of funds as submitted. Robin seconded the motion. Motion carried unanimously.

c. Bob let everyone know that the Draft regulations are in. There are over 1,500 pages so a verycomplex document but well written. We are in the comment time which goes until June 15. Inaddition there are multiple web0nars, TEGLs, Super Circular, etc. as information sources.

d. Designation of One Stop Operator was discussed by Bob. Currently it is still up in the air as to howthe Governor will do this. It may be grandfathered in or put out for an RFP.

OPERATIONS

Bob reviewed the Performance reports for PY 2014, Quarter 3. All areas are in the positive except for Clallam Youth and Kitsap County DW. Both will be caught up by June 30. Also had a discussion on the NEG grants and some of the problems were discussed. As the economy improves, the long term unemployed are getting harder to service and even harder to get into WorkSource. Margaret talked about a number of methods that have been used to engage the long-term unemployed with limited success. This appears to be an issue all over the State.

OTHER BUSINESS

a. Jim presented the roster. We have several openings due to recent resignations. Jim presented a listof employers he is working on. In fact he has a meeting later in the day with Jim McConnell fromArmstrong Marine. A number of Executive Committee members agreed to talk with employers theyknew and would get back to Jim as appropriate. Some suggestions were: Carol Blakley, Navy HR;Holly, Olympic Lodge; Brian McCarty, PSE and Heather Bailey from Jefferson General.

b. 2015 meeting agenda: The agenda was discussed and it was felt we may need to have anothermeeting in June depending on how WIOA comes down. A discussion was had on possibly forming aWIOA Implementation Committee that would meet more often during this next year to handle theissues that may arise.

c. NAWB Conference: Bob felt it was a good conference to get familiar with the overall system. Theproblem was since the new regulations were not out the feeling was WIOA was still on hold withvery little new information. Good key notes and motivational speakers. Cathy Price felt it was a goodconference and she learned a lot. Some general feeling she had was that WIOA is going to focusmore on employers. Also more emphasis on the needs for today and the future. More workingtighter with the EDCs with the OWDs being the collaborator and convener for the system. Will needto write updated Mission, goals and objectives as a Board. More outreach will be needed and willtailor programs to employers/ industry needs. Also we need to get started now, don’t wait for theregulations. After her comments, a discussion was had on working with the EDCs, having A WIOAImplementation Committee and bringing these things up at the full Council meeting.

GOOD OF THE ORDER

Del wanted to know if the OWDC members knew about the Port of Port Angeles grant for a Composites Recycling Grant. Jim had seen a presentation by the Port while attending the Peninsula College Worker Retraining Advisory Committee. We will wait to see if the Port receives the grant before we discuss this further.

Bob presented a letter for Governor Jay Inslee that grandfathered the same 12 Workforce areas for a two year period.

As the co-chairs for the state workforce development board’s Subcommittee on Local Governance and

Sector Strategies, we have been asked to recommend policy to the Workforce Training and Education

Coordinating Board (WTECB) and the Governor for the implementation of various aspects of the new

Workforce Innovation and Opportunity Act (WIOA). We are writing to you today to ask for input

regarding a new requirement of WIOA: workforce planning regions.

Implementation of WIOA provides an opportunity to build upon Washington’s many successes in

workforce development. Our workforce development system’s strong record of accomplishment is due

in large part to the work of local Workforce Development Councils and the leadership you provide. We

appreciate your achievements and ask for your input to help us develop a recommendation for

workforce planning regions to the WTECB and the Governor.

Workforce Planning Regions

Under WIOA, workforce planning regions are intended to align local workforce development areas with

regional economies. Workforce regions must be comprised of either a single local workforce area,

adjacent local workforce areas within a state or adjacent local workforce areas across state lines. These

regions are not intended to replace local areas, unless the local elected officials in a region are

interested in doing so. Workforce regions are intended to improve our capacity to close skill gaps for

employers and to help more people find jobs by aligning workforce development activities to regional

economies. Businesses often reach across local area boundaries to find talent, and people often

commute into other workforce areas for economic opportunities. Workforce regions are a tool for local

workforce development councils (WDCs) to build regional strategies to serve industry sectors, close skill

gaps, develop comprehensive career pathways, and to help more people find jobs. WDCs may also find

efficiencies or expand capacity by working in a regional partnership of state and local organizations.

WIOA Requirement: Identify Planning Regions

Under WIOA, the state is required to identify regions with consultation from Chief Elected Officials and

Local Workforce Development Councils. Workforce Development Councils and Chief Elected Officials are

required to design and govern as part of comprehensive, regional workforce and economic development

partnerships, once regions are identified.

The state currently has twelve local workforce development areas (see attachment A). The Local

Governance and Sectors subcommittee has begun to look at statewide data to identify possible regions.

The tool allows users to create scenarios based on two factors: commute patterns and industry

concentration (location quotients). These two factors were identified as the most likely to help with the

identification of regions. However, the data is not conclusive. Some industry sectors line up across

regions, some do not. In fact some show up in opposite corners of the state. While commuting patterns

across counties form natural labor sheds, these do not always line up with current WDC boundaries. In

a number of cases, commute patterns and industry sectors cross state lines.

Therefore, maps describing other factors, such as economic development areas, unemployment rates

and other demographic information were also reviewed. Attachment B provides a set of sample maps

for your reference. These are not recommendations. They are provided as examples that the

subcommittee has reviewed.

The state Labor Market Departments in Washington, Oregon and Idaho were tasked with identifying a set of consistent factors to better define “regional economies”. After reviewing a number of options, they selected two objective factors for which they could collect reliable data to suggest possible workforce regions: commute patterns and industry concentrations (location quotients). These factors were built into an interactive mapping tool, available at: https://public.tableau.com/profile/ethan.mansfield#!/vizhome/WIOATriStateClusteringStrategies/WIOATool-kit

Commute Patterns The sample map, below, was created using the interactive data tool. The map shows one example of workforce regions based on commute patterns. Commute patterns illustrate how far people are willing to travel for work, an indication of the size of the region from which industries can draw talent.

For this map, various thresholds were used to create sample regions. For example, the sample region consisting of the King, Pierce, and Snohomish workforce development areas was defined using King as the anchor county, since most commuters go to King for work. A fairly high threshold of 30% of commuters moving through the region was then applied. Several additional workforce development areas with high percentages of commuters into the sample King/Pierce/Snohomish region were excluded from the region because they fell below the 30% threshold. The rest of the regions in the map are formed by identifying an anchor county to which relatively large numbers of people commute, and applying thresholds in the same manner as the sample King/Pierce/Snohomish region, although at lower percentages.

Industry Data

The map below was also developed using the interactive data tool. It is based on industry

concentration data (location quotients) as a way to identify which local areas are more similar

in terms of key industries. Industry concentration data is based on employment counts in each

industry within each county. The industry composition of each county is then compared to the

state’s composition to determine which industries in the county are most unique. More

information on location quotients is available at http://www.bls.gov/help/def/lq.htm

Export or innovation-based industries – agriculture, manufacturing, scientific R&D - tend to

cluster based on local resources, workforce skills, and supply chains or synergy with other

industry clusters. Population-based sectors – retail, health care, educational services, food

services, public administration – tend to form based on population and are prevalent in almost

all communities. Both types of sectors are included in the sample map below.

Washington envisions a nationally recognized fully integrated One-Stop system with enhanced customer access to program services, improved long-term employment outcomes for job seekers and consistent, high quality services to business customers. In order to achieve this vision, Employment System Administration and Policy sets a common direction and standards for Washington’s WorkSource system through the development of WorkSource system policies, information memoranda, and technical assistance.

Subject: Local Board Member Appointment Criteria

1. Purpose:

Section 107(b)(1) of the Workforce Innovation and Opportunity Act (WIOA) requires the Governor, in partnership with the State Workforce Development Board, to establish criteria for use by local Chief Elected Officials to appoint members of local boards in their areas. The U.S. Department of Labor (DOL), through Training and Employment Guidance Letter (TEGL) 27-14, further requires state policy outlining the criteria and process for local board member appointment.

This is to communicate the policy approved by the State Workforce Development Board (SWDB) on June 5, 2015.

2. Background:

WIOA includes a number of criteria that local Chief Elected Officials must use in the appointment of Local Workforce Development Board (LWDB) members. This policy outlines those criteria as well as additional state criteria for use by Chief Local Elected officials to appoint LWDB members

Local Board Membership:

All local board members must be individuals with optimum policy-making authority within the entities they represent. [proposed 20 CFR 679.340] and demonstrated experience and expertise for the positions they fill.

The majority of local board members must be representatives of businesses or business organizations in the local area. At a minimum, two members must represent small business as defined by the U.S. Small Business Administration. Business representatives serving on local boards may also serve on the state board.

Each business representative must meet the following criteria:

Be an owner, chief executive officer, chief operating officer, or other individual with optimumpolicy-making or hiring authority;

Provide employment opportunities that, at a minimum, include high-quality, work-relevanttraining in in-demand industry sectors or occupations as those terms are defined in WIOASection 3(23) in the local area;

Workforce Representatives:

At least 20 percent of local board members must be workforce representatives who meet the following criteria:

Two or more members in this category must be representatives of labor organizations, if suchorganizations exist in the local area. If labor organizations do not exist, representatives mustbe selected from other employee representatives;

One or more members in this category must represent a joint labor-management or union-affiliated registered apprenticeship program within the local area who must be a trainingdirector or a member of a labor organization. If no union-affiliated registered apprenticeshipprograms exist in the area, a representative of a registered apprenticeship program with nounion affiliation must be appointed, if one exists;

In addition to the workforce representatives cited above, the local board may include the following to contribute to the 20 percent requirement:

One or more representatives of community-based organizations that have demonstratedexperience and expertise in addressing the employment, training, or education needs ofindividuals with barriers to employment, including organizations that serve veterans or provideor support competitive integrated employment for individuals with disablities; and

One or more representatives of organizations that have demonstrated experience andexpertise in addressing the employment, training, or education needs of eligible youth,including representatives of organizations that serve out-of-school youth.

Balance of Representatives:

At least one eligible provider administering adult education and literacy activities under WIOATitle II;

At least one representative from an institution of higher education providing workforceinvestment activities, including community colleges; and

At least one representative from each of the following governmental and economic andcommunity development entities:

o The state employment service office under the Wagner-Peyser Act (29 U.S.C. 49 et seq.)serving the local area; and

o The programs carried out under Title I of the Rehabilitation Act of 1973, other than Section112 or part C of that title;

Local boards may include representatives of other appropriate entities in the local area, including:

Entities administering education and training activities who represent local educationalagencies or community-based organizations with demonstrated expertise in addressing theeducation or training needs for individuals with barriers to employment;

Governmental and economic and community development entities who representtransportation, housing, and public assistance programs;

Philanthropic organizations serving the local area; and

Other appropriate individuals as determined by the chief elected official.

Board Member Nominations:

Chief elected officials must establish local board member nomination and appointment processes, consistent with criteria established by the Governor and State Workforce Development Board, that ensure:

Business representatives are appointed from among individuals who are nominated by localbusiness organizations and business trade associations.

At least 51 percent of workforce representatives must be selected from among individualsnominated by local labor federations;

When there is more than one local area provider of adult education and literacy activities undertitle II, or multiple institutions of higher education providing workforce investment activities asdescribed in WIOA 107(b)(2)(C)(i) or (ii), nominations are solicited from those particularentities. [WIOA Section 107(b)(6))]

All other representatives are appointed from among individuals who are nominated by locally-recognized organizations or entities, such as chambers of commerce, non-profit networks, orcoalitions, etc..

Board Members Representing Multiple Entities:

Proposed 20 CFR 679.320(h) provides that an individual may be appointed to serve on an LWDB as a representative of more than one entity if the individual meets all of the representation criteria for each entity, which includes being formally nominated by and holding optimum policy-making authority for the entity (s)he represents. The SWDB determined that each LWDB member can represent no more than one entity. If a local Chief Elected Official cannot fill a seat at the time of certification or recertification, the LWDB will be required to demonstrate active recruitment to fill the position and must notify the SWDB upon successful completion of the recruitment process.

Pursuant to WIOA Section 107(i), the State may recognize as the local board a local entity (including a local council, regional workforce development board, or similar entity) that (1) is established to serve the local area or the service delivery area that most closely corresponds to the local area; (2) was in existence he day before the date of enactment of WIA, pursuant to state law; and (3) includes representatives of business in the local area; and representatives of labor organizations (for a local area in which employees are represented by labor organizations), nominated by local labor federations; or other representatives of employees in the local area (for a local area in which no employees are represented by such organizations).

4. Definitions:

Small Business – Defined by the U.S. Small Business Administration (SBA) as per a North American Industry Classification System (NAICS) code match to the Table of Small Business Size Standards.

Optimum policy-making authority – Characteristics of an individual who can reasonably be expected to speak affirmatively on behalf of an entity and commit that entity to a chosen course of action.

Demonstrated experience and expertise – Characteristics of an individual who is a workplace learning advisor as defined in WIOA Section 3(70); contributes to the field of workforce development, human resources, training and development, or a core program function; or is recognized by a local board for valuable contributions in education/workforce development related fields.

The Olympic Workforce Development Council’s (OWDC) Executive Committee meeting was held on Wednesday, June 17, 2015 via WebEx. Julie Tappero, Chair, called the meeting to order at 9:35 a.m.

APPROVAL OF SUMMARY

The Executive Committee’s Meeting Summary was approved as follows:

ACTION: Dave moved to approve the April 15, 2015 Executive Committee Summary as presented. Del seconded the motion. Motion carried unanimously.

DISCUSSION ITEMS/ACTION ITEMS

a. Program Year 2015 Funding

Bob presented the proposed WIA/WIOA Program Allocations for PY 15. Due toa decrease in unemployment in Kitsap County, funding for the Adult, DislocatedWorker and Youth Programs will all decrease significantly – by 59%, 47%, and62% respectively. However, funding will increase significantly for the Adult andYouth Programs in Clallam and Jefferson Counties; funding for the DislocatedWorker Program will increase slightly for both Counties. For the Adult and YouthPrograms in Clallam County, there will be an increase of 62% and 80%respectively. For the Adult and Youth Programs in Jefferson County, there willbe an increase of 61% and 74% respectively.

Discussion was had regarding how fixed costs will play into the decreasedfunding in Kitsap County, the consequent effect on the ability of the Program toassist people, and the possibility of looking elsewhere for supplemental fundingand/or the ability to use carryover funds. Discussion was also had regardingClallam and Jefferson Counties and the necessity of rearranging services andsupport to match the additional dollars.

Bob presented the Workforce Training and Education Coordinating Board’s (WTECB) plan to implement workforce regions related to industry composition and/or labor market patterns.

Discussion was had on the establishment of regions outside of the WDA and what the WTECB has proposed, and the fact that it should not detract from or change the 12 WDA regions, but rather provide for additional partnerships to help close skills gaps, develop comprehensive career pathways, and to help more people find jobs. There were questions included in the WTECB letter and OWDC Executive Committee members will answer the questions and respond back to Bob on Monday, June 22, 2015. That information will be compiled and submitted in response to the WTECB letter.

c. Policy on Local WDC Member Appointments

Bob presented the draft WIOA ESD Local Board Member Appointment Criteriapolicy letter, which had noticeably changed from the WIA policy. Discussion washad regarding the feasibility of the new criteria and related enforcement.Feedback is still being received for the final policy letter and comments will besubmitted through Bob for compilation. It was noted that the current OWDC willbe grandfathered in.

OPERATIONS

a. WorkSource Performance Report for PY 14, Qtr 4 (Preliminary):

Bob Potter provided a brief overview on the preliminary Federal PerformanceReport ending June 30, 2015. According to the performance measures, allprograms are at, or just below target; all are above the minimum for acceptableperformance. WIA Formula Programs – ending June 30, 2015: OlympicEducational Services District is below target, particularly related to expenditures;Kitsap Community Resources is above target in all areas except expenditures.In both cases, this can likely be attributed to a desire to carryover thoseremaining funds to alleviate pressures related to the decrease in allocatedfunding for PY 15. Discussion was had on what could be done with the carryoverfunds for PY 15, and how to raise concerns to the state regarding the prospectivePY 15 funding.

b. Economic Development and Business Coordination Committee Update

Jim presented the 2015-2016 Priority Items and emphasized the two major areasthat are already being addressed – 1. Data collection relating to employers’needs/skills to fill current and future jobs; and 2. Outreach and establishment ofapprenticeship programs. Surveys are being sent to employers who have usedOWDA services in the last year and the data collected, along with Labor Marketand Economic Analysis data, will be presented at the Tuesday, September 8,

Jim also presented ideas regarding outreach and the establishment of apprenticeship programs, to include informational sessions, workshops, and business days; the topic is still open for further discussion. Jim completed his update with a brief discussion on the National Career Readiness Certificate, what it means to the WDA, and the necessity of finding out how employers view it.

OTHER BUSINESS

a. Roster and Calendar: The committee members went over the Roster. Jimpresented that he is actively recruiting for new members and introduced thatMarilyn Hoppen (Senior VP HR, Kitsap Bank) submitted a nomination form to beon the Council.

b. The next OWDC Executive Meeting will be held on Wednesday, August 19,2015, 9:30 a.m., WebEx.

OLYMPIC WORKFORCE DEVELOPMENT COUNCIL (OWDC) EXECUTIVE COMMITTEE SUMMARY

August 19, 2015

The Olympic Workforce Development Council’s (OWDC) Executive Committee meeting was held on Wednesday, August 19, 2015 via WebEx. Julie Tappero, Chair, called the meeting to order at 9:36 a.m.

APPROVAL OF SUMMARY

The Executive Committee’s Meeting Summary was approved as follows:

ACTION: Cathy moved to approve the June 17, 2015 Executive Committee Summary as presented. Margaret seconded the motion. Motion carried unanimously.

DISCUSSION ITEMS/ACTION ITEMS

a. Planning for WIOA Operations and Activities – Olympic Workforce DevelopmentCouncil Planning Session

Julie presented what has currently been done in regards to writing the WIOA-driven draft OWDC Strategic Plan, specifically the vision, missions, goals andobjectives; and meetings that had been conducted in support.

Cathy had taken the initiative to compile information from the WIOA legislationinto the draft OWDC Strategic Plan. She also made handouts to provide a basicfoundation of understanding regarding WIOA, which will be provided to thecouncil members at the September 8, 2015 OWDC meeting.

The Executive Committee reviewed each handout in preparation for doing sowith the full OWDC. Handout #1 referenced the Federal Guidance related toWIOA; Handout #2 outlined who need to be involved with the WDC andcorresponding responsibilities; Handout #3 provided State guidance related toexpectations and plans; and Handout #4 spoke to the Strategic PlanningProcess, which Cathy felt was important to discuss so the OWDC understandshow the process works and everyone feels buy-in.

After going through the handouts, Cathy presented her three draft visions.

ACTION: Del moved to approve the following vision as the Executive Committee’s recommendation to the full OWDC: “A modernized customer-centered workforce system supports a strong regional economy by creating workforce solutions that meet the needs of workers, jobseekers and businesses.” Dave seconded the motion. Motion carried unanimously.

Cathy then put forth the draft mission, core values, goals, objectives, strategies and action plan for discussion. Upon completion, discussion was had on what local government entities should be included in writing this Strategic Plan and how best to include them in the September 8th OWDC meeting. For the way forward, it was determined that a preliminary discussion on the draft Strategic Plan should be conducted with the OWDC during the September 8th meeting. To provide additional planning time, there was discussion on cancelling the September 8th Committee meetings so that the entire time could be devoted to planning. Depending on the progress made, the Strategic Plan would be revisited during the November OWDC meeting.

b. Director’s Report on WIOA Implementation Progress

Bob Potter highlighted what is going on at the state level in relation to WIOAimplementation. The following items have been completed:

• Designation of Olympic as a WDA under WIOA.• Designation of Olympic WDC as the WIOA WDC.• Interlocal agreement between the three counties updated for WIOA and

approved by the three-County Commissioners; currently being reviewedby the three-County prosecutors.

Items in progress: • Establishment of planning regions.• Combined versus Unified Plan (for the State).• Integrated service delivery.

OPERATIONS

a. WorkSource Performance Report for PY 14, Qtr 4

Bob Potter presented the WorkSource Performance Report for PY 14, Qtr 4. Heemphasized that most everything was “green” (good). The only items currently inthe red were related to expenditures, which was acceptable as the plan is tobring over the unused funds to FY 15 to provide a cushion for the big reductionthat occurred on July 1, 2015.

OTHER BUSINESS

a. Roster and Calendar: Jim McKenna presented that Marilyn Hoppen submittedher nomination form to join the OWDC and it has been sponsored by a memberof the OWDC. Jim also put forth that he is actively working with Aerotek, ACTIand FirstFederal to encourage new membership.

b. Bob Potter brought to the attention of the Executive Committee that theNovember 24, 2015 OWDC meeting falls on the Tuesday prior to Thanksgiving.There was concern regarding attendance and staff was requested to determine ifNovember 18th (primary) or November 17th (alternate) would be possible as analternative.

c. The next OWDC Executive Meeting will be held on Wednesday, October 14,2015, 9:30 a.m., Port Hadlock.

OLYMPIC WORKFORCE DEVELOPMENT COUNCIL BYLAWS

1.0 RULES

1.01 Purpose: The Council will set workforce investment system policy for the Olympic Workforce Investment Area in accordance with the Workforce Investment Act of 1998, regulations for implementing WIA, State of Washington Executive Order 99-02 of September 17, 1999, and the provisions contained in a Partnership Agreement between the Council and local elected officials of the Olympic Consortium.

1.02 Minutes: Minutes of all meetings shall be promptly recorded and a copy provided to each Council member at least five (5) days prior to the next scheduled meeting.

1.03 Attendance: Records of attendance, reports and the names of motion makers will be included in the minutes.

2.0 MEETINGS

Regular Meetings: The Council shall meet quarterly, or at the call of the Chairperson with a minimum notice of one week provided to members, and shall be open to the public.

3.0 VOTING

Voting shall be restricted to Council members or their alternates, and each Council member shall have one (1) vote. The Chairperson shall vote when a tie results. Exception: the Chairperson may vote in elections. All decisions of the Council shall be made by no less than a majority vote of a quorum at a meeting where a quorum is present.

3.01 Balloting: Voting shall be conducted by voice. The Chair may call for a hand count as needed.

3.02 Conflict of Interest: No member shall engage in any activity, including participation in the selection, award, or administration of a subgrant or contract supported by WIA funds if a conflict of interest, real or apparent, would be involved. Such a conflict would arise when: 1) the individual, 2) any member of the individual's immediate family, 3) the individual's partner, or 4) an organization which employs, or is about to employ, any of the above, has a

financial or other interest in the firm or organization selected for award.

No member shall cast a vote on, nor participate in, any decision-making capacity on the provision of services by such member (or any organization which that member directly represents), nor on any matter which would provide any direct financial benefit to that member. If a matter arises which places a member in a conflict of interest situation or a potential conflict of interest situation, that member will notify the chair and abstain from voting.

4.0 QUORUM

A quorum shall consist of a total of not less than one-half (1/2) of the seated membership.

5.0 MEMBERSHIP

The Council shall be comprised of not less than twenty-nine (29), or such number required by law, members appointed by the Olympic Consortium Board. Taken as a whole, the WDC membership shall reasonably reflect the respective populations of the (3) counties.

5.01 Appointment: Each member shall be appointed pursuant to the nomination and appointment process established under WIA, the regulations promulgated thereof, Executive Order 99-02, and the Olympic Consortium Agreement.

5.02 Alternates: Each member may have two alternates.

5.03 Resignation: Any member may resign by submitting written notice to the Workforce Development Council and the Olympic Consortium Board. Members shall offer their resignations when they retire or otherwise leave a position of optimum policy-making authority in the sector they were appointed to represent. Or, if a Council member retires or loses their job, they may choose to remain on the Council until their term expires.

5.04 Removal: The WDC may request that the Olympic Consortium Board remove a WDC member by a majority vote, provided that fifteen (15) calendar days notice of the pending action has been provided to the member and the WDC and to the Olympic Consortium Board. An unexcused absence from three (3) consecutively scheduled WDC meetings may be deemed as being good cause for removing a member from the WDC.

6.0 WDC COMMITTEES

6.01 Standing Committees shall be:

6.01.1 Executive Committee: It shall consist of the current and immediate past Chair and current Vice Chair, and four (4) to six (6) members elected by the Council. The term shall be consistent with 8.01 below. If a member leaves the Committee, the Chair may appoint a replacement member to fulfill the term of the exiting member. A majority of the Executive Committee members shall be from the business community. (As amended May 13, 2003)

6.01.2 Youth Council: It shall consist of WDC members and community members appointed by the WDC chair in accordance with WIA. The WDC Chair shall designate the committee Chairperson.

6.02 Ad Hoc Committees: From time to time, the WDC Chair may establish ad hoc committees as necessary. Committee membership shall consist of Workforce Development Council members and may include ad hoc community members appointed by the WDC Chair. The WDC Chair shall appoint a Workforce Development Council member as Chair of the ad hoc committee.

7.0 OFFICERS

7.01 Chairperson: The Chairperson shall be elected by the Council, and shall be a representative of the business community.

7.01.1 The Chairperson shall serve as principal officer for the Council.

7.02 Vice Chairperson: The Vice Chairperson shall be elected by the Council and shall assume the responsibility and authority of the Chairperson in his/her absence.

7.03 Chairperson Protempore: In the absence of the Chairperson and Vice Chairperson, a Chairperson Protempore shall be elected by a majority of the members present to preside for that meeting only.

8.0 ELECTIONS

8.01 Elections: The Chairperson and Vice Chairperson shall be elected by a majority vote for a two (2) year term beginning on January 1 and ending on December 31 of the second year. The Chairperson and Vice Chairperson can serve for two or more consecutive two-year terms. (As amended February 9, 2010)

8.02 Process: The Chairperson shall appoint a three-member Nominating Committee. Elections shall be held at the first regular meeting, of the fourth (4th) calendar quarter, from a slate presented by the Nominating Committee and nominations from the floor. Nominees must be active members who have consented to serve.

8.03 All elections shall be by secret ballot unless dispensed with by a majority vote of the members present.

8.03.01 Any Council member may audit the ballot.

8.04 Nominating Committee: Shall consist of three (3) WDC members appointed by the WDC Chair. The WDC Chair shall designate the committee Chairperson.

8.05 Removal: The Chairperson and/or Vice Chairperson may be removed from office by a two-thirds (2/3) majority vote of the Council provided that fifteen (15) days notice of the pending action has been provided to the Council.

9.0 REPRESENTATION

A member may speak for the Council only when he/she represents positions officially adopted by the body.

10.0 COMPENSATION

Members of the Council shall serve without compensation. Reimbursement for expenses incurred while conducting official Council business shall be provided for in accordance with an Agreement between the Workforce Development Board and the Olympic Consortium Board.

11.0 STAFFING

The Grant Recipient shall have the responsibility to provide professional, technical and clerical staff as necessary, to support the activities of the Council.

12.0 AMENDMENT OF BYLAWS

These Bylaws may be amended by a two-thirds (2/3) majority vote of the members present at any regular or special meeting insofar as such amendments do not conflict with pertinent laws, regulations, ordinances, or resolutions of the County, State, or federal governments. A proposed amendment to be in the hands of members at least fifteen (15) days prior to the meeting at which the amendment is to be voted on.

13.0 PARLIAMENTARY AUTHORITY

When not inconsistent with the provisions in these Bylaws, Robert's Rules of Order, Newly Revised, shall govern all meetings of the Workforce Development Council.
