The C3D system combines high resolution imagery and wide swath bathymetry for bottom mapping, imageinterpretation, and a 3-dimensional look at the seafloor. It represents the latest in sonar imaging with patentedtechnology under license from Simon Fraser University using a technique called CAATI (Computed Angle ofArrival Transient Imaging). This technique incorporates a multi-array transducer and is capable of solving formultiple angles-of-arrival, resulting in a more detailed view of the seafloor.

The C3D system provides efficiencies for surveyors by offering awider swath and the combination of imagery, bathymetry andsub-layer data, in one sensor. The system is ideal for fisherieshabitat mapping, port and harbor clearance, coastal studies,deep ocean mapping, cable route surveys, and minecountermeasures.

C3D Tow Vehicle

C3D Tow VehicleThe TTV-290 series of tow vehicles is designed for hydrodynamic stability in most sidescan towing applications. The Sidescantransducer bays are designed to offer 20, 30, and 40 degrees downward looking positions for optimum performance in a variety ofdifferent applications. The stainless steel midplate construction gives users a rigid and stable platform to mount additional sensors. Thehigh visibility yellow Polyethylene covers are designed to handle years of use. These new and improved shells are more resistant toimpact than earlier models, and are easy and cost effective to modify or replace.

TTV-296 C3D Tow Vehicle - ADSLTTV-296 Tow Vehicle (ADSL) operates at 200kHz and is designed for operations up to a 2000 meter depth with cablelength up to 5000 meters at 5Mbits throughput. The standard vehicle is equipped with a Sonardyne Radian motion refer-ence unit and a Falmouth Scientific NXIC Depth/CTD sensor. The TTV-296 offers (2) additional RS-232 communicationports with 12 and/or 24 VDC. These can be used to interface with a magnetometer, responder, and/or a high resolutionmotion sensor.

TTV-297 C3D Tow Vehicle - VDSLTTV-297 Tow Vehicle (VDSL) operates at 200kHz and is designed for operations up to 2000 meter depth with cablelength up to 1000 meters at 7.5Mbits throughput. The standard vehicle is equipped with a Sonardyne Radian motion ref-erence unit and a Falmouth Scientific NXIC Depth/CTD sensor. The TTV-297 offers (2) additional RS-232 communicationports with 12 and/or 24 VDC. These can be used to interface with a magnetometer, responder, and / or a high resolutionmotion sensor.

Digital Acquisition Computer (DAC)This Industrial Rackmount Computer comes in a rugged case that is designed for optimum acquisition performance and durability. It is equipped witha high end Intel processor. The hard drive offers ample room for data storage and is minimally 500GB in size. This computer also offers a GigabyteEthernet connection. In addition, DACs come with a high resolution 20” flat screen monitor, a full function keyboard and a mouse.

The C3D-TOW system is delivered with a standard 75 meter Kevlar Deck Cable of 0.35” diameter, single coax, reinforced with abrasion resistant ure-thane jacket. The cable includes the dry side RF style connector to the CL-162 or CL-163 Transceiver and a Kevlar cable termination assembly for thewet side consisting of a Kellems grip and a molded female 4-pin micro, Subconn connector (MCIL-4F) with a locking sleeve.

C3D-LPM Lightweight Pole Mount Vehicle

The C3D system provides efficiencies for surveyors by offering a wider swath than conventional bathy systems and the combination ofboth imagery and bathymetry in one sensor. The C3D-LPM system is designed for fisheries habitat mapping, port and harbor clearance,coastal studies and mine countermeasures and any other shallow surveys (0 to 100 meter max. altitude for optimal performance). Itsmanageable size is ideal for small craft operations.

(recommended speeds for normal survey operations are between 3 and 5 knots).

SIS-1625 Dual Frequency Side Scan and Chirp Sub-bottom ProfilerThe TTV-290 series of tow vehicles is designed for hydrodynamic stability in most sidescan towing applications. The sidescan trans-ducer bays are designed to offer 0, 10, 20, and 30 degrees downward looking positions for optimum performance in a variety of differ-ent applications. The stainless steel midplate construction provides users a rigid and stable platform to mount additional sensors. Thehigh visibility yellow polyethylene covers are designed to handle years of use. These new and improved shells are more resistant to im-pact than earlier models, and are easy and cost effective to modify or replace.

TTV-295 Tow VehicleThe TTV-295 offers dual frequency (100/400 kHz) Side Scan Transducers, a 2x2 (2-7 kHz) sub-bottom profiler array (AT-471) with Chirp and Continuous Wave (CW) tone burst transmission, which is software selectable, and a dual hydrophonearray for optimum receive performance. The subsea unit has a basic built in heading, pitch and roll sensor, and depth sen-sor. This package offers (4) RS-232 communication lines in addition to 12 and 24 VDC with a total of 50 watts available forinstrument power.

SIS-1624 Dual Frequency Side ScanThe Teledyne Benthos SIS-1624 is a professional grade side scan sonar survey system that includes a topside acquisition computer andsoftware, a 75-meter tow cable, the CL-160 Transceiver and the TTV-196D Tow Vehicle, which acquires long range, high resolutionChirp side scan sonar data in two frequency bands (100 kHz and 400 kHz) simultaneously. In addition to the Chirp side scan sonar,which provides long range data sets, the tow vehicle provides CW side scan sonar which can be used to acquire high resolution dataover short ranges.

TTV-196D The TTV-196D tow vehicle operates in two frequency bands (100 kHz and 400kHz) simultaneously and provides a choiceof Chirp or Continuous Wave (CW) operations. The tow vehicle contains pitch, roll and heading sensors and a high-speedcommunication link that transmits the information to the topside CL-160 Transceiver over a single coaxial cable at speedsup to 5Mbits/second.

The TTV-196D is a hydrodynamically stable tow vehicle made of stainless steel, with a safety leash breakaway system, op-erable to a maximum depth of 1,750 meters.

The vehicle includes a standard accessory kit that is composed of: fuses, shear pins, tail fins and a short power cable.

TTV-196D-PTR The TTV-196D tow vehicle operates in two frequency bands (100 kHz and 400kHz) simultaneously and provides a choiceof Chirp or Continuous Wave (CW) operations. The tow vehicle contains pitch, roll and heading sensors and a high-speedcommunication link. The processed data is then transmitted to the CL-160 Transceiver over a single coaxial cable atspeeds up to 5Mbits/second.

The stain-less steel midplate construction provides users with a rigid and stable platform to mount additional sensors. The high visibility yellowpolyethylene covers are designed to handle years of use. These new and improved shells are more resistant to impact than earlier mod-els, and are easy and cost effective to modify or replace.

Triton Isis® Bathy is a complete bathymetric acquisition and processing package ready to be interfaced to any multibeam sonar. Thisproduct delivers all features of an advanced bathymetry acquisition system and is the tool of choice for a variety of applicationsincluding: archeology, environmental studies, oceanography, and hydrography. Triton Isis® Bathy™ integrates external sensors includingGPS, MRU, SVP, & gyros and correctly logs and geo-references multibeam data. For the digital-only Teledyne Benthos series SIS1500/SIS1624 and SIS1625, the CodaDA series software can be installed on any standard PC running Windows XP. The DA series is a highly flexible solution for all geophysicaldata acquisition requirements. It has an extensive range of real-time and post-processing software tools such as Pipeline Inspection,Mosaicing and GeoKit interpretation tools. 1. DEFINITIONS“Seller” means Teledyne Benthos, Inc. “Buyer” means the legal entity purchasingGoods from Seller. “Goods” means the products offered by Seller and/or pur-chased by Buyer. “Offer” means any quote, proposal, or offer to sell Goods pro-vided by Seller to Buyer. “Order” means any purchase order or similar instrumentissued by Buyer to Seller to purchase Goods. Seller and Buyer are sometimes re-ferred to herein individually as a “Party” and collectively as the “Parties”. 2. ACCEPTANCEThe terms and conditions included in this “Terms and Conditions of Sale” docu-ment (hereinafter, this “Agreement”) apply to all Offers made by Seller to Buyerand all Buyer’s Orders accepted by Seller. Acceptance of Buyer’s Order, and anychanges or amendments thereto, is expressly conditioned upon Buyer’s assent tothese terms and conditions. Unless specifically agreed to in writing by a duly au-thorized representative of Seller, Seller objects to, and is not bound by, any termsor conditions that differ from or add to the terms and conditions specified herein.Seller’s failure to object to any terms and conditions or any other provisions con-tained in any communication from Buyer, including, but not limited to, Buyer’s Or-ders, does not waive any of the terms and conditions specified herein. Seller’sacceptance of any resulting Order or Buyer’s receipt of Goods, whichever occursfirst, will conclusively evidence Buyer’s unconditional acceptance of these termsand conditions. 3. PRICESUnless stated otherwise in writing by Seller, all prices are stated in U.S. Dollars andthe prices offered are valid for a period of thirty (30) days from the date of Seller’sOffer. The prices offered apply only to the specific quantities, specifications, anddelivery schedules set forth in Seller’s Offer. Any variation in quantity, specifica-tions, or delivery schedules may necessitate a price and/or delivery schedule ad-justment. Unless stated otherwise, all prices for domestic deliveries are F.O.B.Seller’s place of shipment, as defined in the Uniform Commercial Code (UCC), andall prices for international deliveries are Ex-Works, as defined by INCOTERMS2000.4. CREDIT APPROVAL AND PAYMENTStandard payment terms are net thirty (30) days from date of Seller’s invoice, sub-ject to credit approval of Buyer by Seller. Credit terms, shipments, and perform-ance of work are at all times subject to the approval of Seller’s Credit Department.Each shipment is a separate and independent transaction and payment must bemade by Buyer accordingly.If, prior to shipment of Buyer’s Order, Buyer fails to fulfill the terms of payment ofany prior invoice submitted by Seller, or if, in the opinion of Seller, Buyer’s financialcondition becomes impaired or unsatisfactory, Seller reserves the right to change,without notice, the terms of payment and/or delay or discontinue further ship-ments, without prejudice to any other available legal remedies, until past due obli-gations have been paid and Seller has received acceptable assurance regardingBuyer’s prompt payment of future obligations. All amounts due to Seller but notpaid by Buyer on the due date bear interest payable by Buyer to Seller in U.S. Dol-lars at a rate that is equal to the lesser of (i) one and one-half percent (1.5%) permonth, or (ii) the maximum interest rate permitted under applicable law. Interestaccrues on the balance of unpaid amounts as of the date on which portions ofthose amounts become due until the date payment is received by Seller. Buyer willalso be liable to Seller for any expenses incidental to collection of past dueamounts, including reasonable attorney’s fees and court costs. In the event ofBuyer’s bankruptcy or insolvency, Seller is entitled to terminate any Order thenoutstanding and to receive reimbursement for termination costs and expenses asprovided under Article 13, Termination for Default.5. TAXESThe amount of any present or future sales, use, excise, import duty, or other tax ap-plicable to the manufacture, sale, or lease of Goods will be added to the invoiceand must be paid by Buyer, unless the Buyer provides Seller with a tax exemptioncertificate acceptable to the applicable taxing authority.

6. SHIPPING TERM/S AND RISK OF LOSSAll domestic shipments by Seller are F.O.B. Seller’s place of shipment, as defined inthe Uniform Commercial Code. All international shipments by Seller are Ex-Works,as defined by INCOTERMS 2000. Risk of loss for Goods will transfer to Buyer uponSeller presenting Goods to carrier. If Seller prepays shipping, insurance, or otherrelated costs, Buyer agrees to reimburse Seller promptly for the actual costs in-curred by Seller.7. TOOLINGUnless otherwise provided by special written agreement signed by Seller andBuyer, all tooling, fixtures, equipment, tools, and designs produced, acquired, orused by Seller for the purposes of filling Buyer‘s Order remain the property of theSeller.8. PACKING AND PACKAGINGSeller’s prices for Goods include Seller’s standard commercial packing and packag-ing. Any non-standard or special packing or packaging requirements requested byBuyer will be provided by Seller at additional cost to Buyer. 9. INSPECTION AND TESTSAll Goods manufactured by Seller are subject to Seller’s standard inspectionprocesses and, if applicable, acceptance testing at Seller’s facility. Any additionalrequirements, including, without limitation, Buyer’s source inspection or additionaltesting, are at Buyer’s sole expense. If Seller and Buyer agree that Buyer is to in-spect or provide for inspection at the place of manufacture, such inspection maynot interfere unreasonably with Seller’s operations and the Buyer’s approval or re-jection of Goods based on such source inspection and/or testing must be madeprior to shipment of the Goods.10. EXPORT COMPLIANCE; FOREIGN CORRUPT PRACTICES ACTFor any resale, export, or re-export of the Goods, Buyer must comply with all appli-cable export regulations, export licensing requirements, and the United States For-eign Corrupt Practices Act (FCPA), 15 U.S.C. §§ 78dd1 through 78dd3, asamended.11. DELIVERY SCHEDULES AND FORCE MAJEUREShipping dates are approximate and require prompt receipt of all necessary Buyer-furnished information and material if applicable. Seller is not liable for any damages, re-procurement costs, or penalties related tolate deliveries. Without limiting the generality of the foregoing, Seller is not liablefor delays due to force majeure, including, but not limited to, weather conditions,acts of God, acts of civil or military authorities, fires, strikes, job actions, floods,earthquakes, epidemics, quarantine restriction, war, terrorism, riot, supplier or ven-dor delays, or any other causes beyond the reasonable control of Seller. In theevent of such delay, Seller will promptly notify Buyer and the date(s) of deliverywill be deferred for a period commensurate with the time lost due to the delay. Ifthe excusable delay under force majeure continues for more than ninety (90) days,Seller and Buyer will each have the option of terminating the affected Order(s)under Article 12, Termination for Convenience. If Seller’s production is curtailedfor any of the above reasons so that Seller is unable to deliver the full quantity ofGoods scheduled for delivery to Buyer, Seller may allocate deliveries of availableGoods among its various customers then under order for similar Goods. The allo-cation will be made in a commercially fair and reasonable manner. When such allo-cation has been made, Buyer will be notified of the estimated quota madeavailable.12. TERMINATION FOR CONVENIENCEBuyer may request to terminate Buyer’s Order for convenience in whole or in partand Seller agrees to cooperate with Buyer in attempting to make such arrange-ments conditioned on Buyer paying Seller for all deliveries made and for all workin process, including all applicable direct and indirect costs, settlements with sup-pliers, and related administrative, accounting, and legal costs, plus a normal profit.To the extent possible, Seller will use reasonable commercial efforts to divert mate-rials and work in process from Buyer’s Order to other customers’ orders in order tominimize Buyer’s termination costs.

13. TERMINATION FOR DEFAULTEither Party may terminate the Order if the other Party breaches a material provi-sion of this Agreement or of the Order. In the event that a Party (the “DefaultingParty”) is in breach of a material provision of this Agreement or the Order, theother Party (the “Non-Defaulting Party”) will submit a written cure notice to theDefaulting Party advising of such breach. The Defaulting Party will have five (5)days to cure the breach. If the Defaulting Party does not cure the breach within thefive (5) day period, the Non-Defaulting Party may terminate the Order.14. CHANGES ORDERS AND AMENDMENTSAll change order requests must be submitted by the Buyer to the Seller in writingand will not be effective unless and until Seller consents in writing to the change.Seller will advise Buyer in writing of the price and/or delivery schedule impact, ifany, of the change request. Seller’s acceptance of changes will be subject to Buyer’sagreement to any price and/or delivery schedule adjustments. 15. LIMITED WARRANTYSeller warrants that the Goods delivered under Buyer’s Order will be free from de-fects in material and workmanship for a period of twelve (12) months from thedate of original shipment, except for components and consumables that haveshorter third party manufacturer’s warranty periods. Components and consum-ables manufactured by third parties bear the warranty of their manufacturer.The specific warranty for a given product is the one in effect on the date of ship-ment. In the event that Buyer identifies any defects in material or workmanship,Buyer will promptly notify Seller of the defective Goods and the specific nature ofthe defect in accordance with Article 16, Return Authorizations.Seller, at its sole discretion, will either repair or replace any such Goods found bySeller to be defective. Seller’s warranty does not apply to any Goods that havebeen subjected to improper installation, misuse, alteration, repair, neglect, acci-dent, inundation, fire, or the like.THESE EXPRESS WARRANTIES, INCLUDING REMEDIES, ARE EXCLUSIVE ANDARE IN LIEU OF ANY AND ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. NOWARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PUR-POSE IS INTENDED OR GIVEN. IN THE CASE OF GOODS OTHER THAN THOSEOF SELLER’S OWN MANUFACTURE, SELLER MAKES NO WARRANTIES, EXPRESS,STATUTORY, OR IMPLIED. 16. RETURN AUTHORIZATIONSBuyer will promptly notify Seller of any nonconformance(s) in the Goods and af-ford Seller a reasonable opportunity to inspect the Goods. No Goods may be re-turned without Seller’s prior authorization, as evidenced by a return authorization.Once a return authorization number is obtained, Buyer will return defective Goodstransportation and insurance prepaid in accordance with instructions issued bySeller. Failure to follow Seller’s return procedures may result in lost Goods, delays,additional service, restocking charges, warranty denial, or refusal of a shipment.The return authorization number must appear on the shipping label along with allpaperwork associated with the return. Seller has the right to reject Goods returnedwithout the correct return authorization number clearly marked on the outside ofthe shipping container. Granting a return authorization number does not necessar-ily mean that a credit will be approved or that the evaluation or repair will takeplace without a fee.17. INDEMNIFICATIONEach Party (the “Indemnifying Party”) will hold harmless and indemnify the otherParty (the “Indeminitee”) against all claims, judgments, costs, and fees, including at-torney fees, relating to infringement of U.S. patents, designs, copyrights, or trade-marks to the extent that the infringing Goods are manufactured, sold, or used inwhole or in part to the Indemnifying Party’s specifications, designs, drawings, orother technical data.To the extent that one Party’s employees or agents enter on the property ownedor controlled by the other Party, the first Party will indemnify and hold harmlessthe other Party, its officers, directors, and employees for any property damage orbodily injury or death caused by the first Party’s employees or agents.

18. LIMITATION OF LIABILITYNOTWITHSTANDING ANY OTHER PROVISIONS OF THIS AGREEMENT, UNDERNO CIRCUMSTANCES IS EITHER PARTY LIABLE FOR ANY CONSEQUENTIAL,SPECIAL, INCIDENTAL, INDIRECT, MULTIPLE, ADMINISTRATIVE, OR PUNITIVEDAMAGES, OR ANY DAMAGE OF AN INDIRECT OR CONSEQUENTIAL NA-TURE ARISING OUT OF OR RELATED TO ITS PERFORMANCE UNDER THISAGREEMENT, WHETHER BASED UPON BREACH OF THIS AGREEMENT, WAR-RANTY, OR NEGLIGENCE AND WHETHER GROUNDED IN TORT, CONTRACT,CIVIL LAW, OR OTHER THEORIES OF LIABILITY, INCLUDING STRICT LIABILITY,EVEN IF ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.SELLER’S TOTAL LIABILITY INCLUDING, BUT NOT LIMITED TO, LIABILITY FORINDEMNITY, DEFENSE, AND HOLD HARMLESS OBLIGATIONS IS LIMITED TONO MORE THAN THE AMOUNT PAID TO SELLER UNDER BUYER’S ORDER ANDBUYER AGREES TO INDEMNIFY SELLER FOR ANY EXCESS AMOUNTS. TO THEEXTENT THAT THIS LIMITATION OF LIABILITY CONFLICTS WITH ANY OTHERPROVISION(S) OF THIS AGREEMENT, SUCH PROVISION(S) WILL BE REGARDEDAS AMENDED TO WHATEVER EXTENT REQUIRED TO MAKE SUCH PROVI-SION(S) CONSISTENT WITH THIS PROVISION.19. ARBITRATION AND LAWDisputes that arise under this Agreement or Buyer’s Order that cannot be settledamicably by the Parties will be settled by arbitration in Boston Massachusetts in theUnited States of America under the prevailing rules of the commercial conciliationand arbitration rules of the American Arbitration Association. Judgment upon thearbitration award or decision may be entered in any court of competent jurisdic-tion. Arbitration awards and decisions are subject to Article 18, Limitation of Liabil-ity.The laws of the Commonwealth of Massachusetts excluding its conflicts of laws pro-visions and excluding the United Nations Convention on the International Sale ofGoods (“CISG”), govern the interpretation and enforcement of this Agreement andBuyer’s Order. 20. ASSIGNMENTBuyer may not assign or transfer this Agreement or any Order, in whole or in part,without the prior written approval of Seller.21. ETHICS AND VALUESSeller is committed to uncompromising ethical standards, strict adherence to law,and customer satisfaction. Buyer is encouraged to communicate any concerns orquestions regarding the ethics and value to the Teledyne Corporate Ethics HelpLine, “Take the Right Action”, at 1-877-666-6968.22. UNENFORCEABLE PROVISIONSIn the event that one or more provisions of this Agreement document is held to beunenforceable, the remaining provisions apply in full and the invalid or unenforce-able provision will be replaced by a provision that lawfully enforces the Parties’ in-tention underlying the invalid or unenforceable provision.23. SURVIVALThe following Article will survive the termination or expiration of this Agreementor any Order: 1: Definitions; 4: Credit Approval and Payment; 5: Taxes; 6: ShippingTerms and Risk of Loss; 7: Tooling; 9: Inspection and Tests; 10: Export Compliance;Foreign Corrupt Practices Act; 11: Delivery Schedules and Force Majeure; 12: Ter-mination for Convenience; 13: Termination for Default; 15: Limited Warranty; 17:Indemnification; 18: Limitation of Liability; 19: Arbitration and Law; 20: Assign-ment; 22: Unenforceable Provisions; and 23: Survival. 24. WHOLE AGREEMENT; AMENDMENTThis document is the entire understanding between the Parties, and it supersedesall previous or additional agreements, arrangements, and drafts. This documentmay be amended or modified only by written agreement of duly authorized repre-sentatives of both Parties.
