The Shaker Heights Board of Education met in regular session on Tuesday, August 21, 2001, at 5:04 p.m. at the Administration Building at 15600 Parkland Drive, Shaker Heights, Ohio. Members present: Mr. Steven S. Kaufman, Mrs. Nancy R. Moore, Mrs. Carol J. Ribar, Ms. Freda J. Levenson. Members absent: Rev. Marvin A. McMickle President Freda J. Levenson presided. Upon the presentation of the Minutes of the July 9, 2001, regular meeting, Mrs. Moore moved, seconded by Mrs. Ribar, to approve the minutes as presented. 16Upon the recommendation of Mr. Bryan C. Christman, Treasurer, Mrs. Ribar moved, seconded by Mr. Kaufman, that the following resolutions authorizing the establishment of tax-deferred payroll deduction plans (bargaining employees) for the purchase of additional service credit be adopted:

STRS WHEREAS, in accordance with Section 414(h)(2) of the Internal Revenue Code (“IRC”) and rulings thereunder, the Board has heretofore adopted a “pick up” program for certain employees covered by the State Teachers Retirement System (“STRS”); and WHEREAS, pursuant to applicable provisions of Chapter 3307 of the Ohio Revised Code (“ORC”) and Ohio Administrative Code (“OAC”) rules thereunder, certain employees of the Board who are members of the State Teachers Retirement System (“STRS”) are permitted to purchase, by payroll deduction, additional service credit under STRS; and WHEREAS, recent Internal Revenue Service rulings under IRC Section 414(h)(2) have permitted governmental employers to pick up employee contributions required for the purchase of additional service credit under a state or local governmental retirement system; and WHEREAS, the STRS board has amended OAC Rule 3307-1-28 to permit employers to pick up employee contributions required for the purchase of additional service credit under STRS; and WHEREAS, the Board has previously adopted a plan such as this one for non-bargaining employees, and it now desires to provide the same option to its bargaining employees; and WHEREAS, in accordance with the foregoing, the Board would like to provide that a bargaining unit employee who is permitted to purchase additional service credit under STRS may irrevocably elect to have the Board pick up, by the salary reduction method, an employee’s required contributions to purchase additional service credit under STRS; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF EDUCATION OF THE SHAKER HEIGHTS CITY SCHOOL DISTRICT, THAT: SECTION 1. An employee shall be “Covered Employee” under the pick up program implemented by this Ordinance if the employee meets all of the following requirements: (a) The employee is a member of STRS. (b) The employee is employed in a position of employment that is within a

bargaining unit. (c) The employee elects to purchase additional service credit under STRS

and specifies the amount of service credit to be purchased.

(d) The employee agrees that the purchase of the specified amount of additional service credit shall be made by payroll deduction pursuant to OAC 3307-1-28.

17 (e) The employee agrees that the payroll deductions for the purchase of such service credit shall be picked up by the Board pursuant to IRC Section 414(h)(2) and in accordance with OAC 3307-1-28 and the terms of this Resolution.

(f) The employee agrees that his or her election to purchase additional

service credit, election to pay for the purchase of such service credit by payroll deduction, and agreement to the pick up provided herein are irrevocable.

SECTION 2. The Board’s method of payment of salary and the provision of fringe benefits for all Covered Employees shall be modified as provided herein to provide for a salary reduction pick-up of the contributions the Covered Employee is required to make for the purchase of additional STRS service credit, as permitted under IRC Section 414(h)(2) and rulings thereunder. SECTION 3. The total annual salary and salary per pay period for each Covered Employee shall be the salary otherwise payable under the applicable contracts and applicable Board policies. Such total annual salary and salary per pay period of each Covered Employee shall be payable by the Board in two parts: (1) deferred salary and (2) cash salary. A Covered Employee’s deferred salary shall be equal to the amount of the employee’s total annual salary or salary per pay period which, in accordance with OAC 3307-1-28 and other applicable law, the employee irrevocably agrees will be paid to STRS by payroll deduction for the purchase of a specified amount of additional service credit under STRS. All such deferred salary amounts shall be paid by the Board to STRS on behalf of the Covered Employee as a pick up by the Board of the employee contribution requirements otherwise imposed upon the employee for the purchase of additional service credit, in lieu of such amounts otherwise being paid by the Covered Employee. An employee’s cash salary shall be equal to said employee’s total annual salary or salary per pay period less the amount of the pick up for said employee and shall be payable, subject to applicable payroll deductions, to said employee. The Board shall compute and remit its employer contributions to STRS based upon an employee’s total annual salary or salary per pay period, including the pick up. The Board’s total combined expenditures for Covered Employees’ total salaries otherwise payable under their contracts and applicable Board policies (including pick-up amounts) and its employer contributions to STRS shall not be greater than the amounts it would have paid for those items had this pick up provision not been in effect. SECTION 4. The pick-up shall be included in the employee’s total annual salary for the purpose of computing daily rate of pay, for determining paid salary adjustments to be made due to absence, or for any similar purpose. SECTION 5. The pick up for a Covered Employee shall be mandatory for the Covered Employee until the earlier of the Covered Employee’s termination of employment or the completion of all of the required payments for the service credit that the employee has agreed to purchase. No such Covered Employee shall have the option of choosing to receive the picked up amounts directly instead of having them paid by the Board to STRS.

18 SECTION 6. The Board shall fulfill its income tax reporting and withholding responsibilities for each Covered Employee in such manner as is required by applicable federal, state and local laws and regulations as they may exist at the time of such reporting and withholding, it being the Board’s understanding that Federal and Ohio income tax laws and regulations presently require it to report as an employee’s gross income his total annual salary less the amount of the pick up while applicable municipal income tax laws may require it to report as an employee’s gross income his total annual salary including the amount of the pick-up; and that the amounts picked up hereunder will be subject to applicable federal employment taxes unless the employee is exempt from the application of such taxes. SECTION 7. The Treasurer is hereby directed to take all acts necessary and appropriate to implement the salary reduction pick-up of payroll deduction service credit purchases, in accordance with the provisions of this resolution. Such actions may include, but shall not be limited to, making applications to the STRS Board to determine their requirements in connection with this pick-up program, and requiring employees to complete payroll deduction forms pursuant to which the employee will irrevocably elect to have a pick up of the payroll deduction amounts necessary to purchase the specified amount of STRS service credit. In addition, at the discretion of the Treasurer, the Treasurer may arrange with legal counsel for the filing of a request with the Internal Revenue Service for a private letter ruling regarding this pick up. SECTION 8. All previous resolutions and other actions of the Board implementing pickups of regular employee contributions to STRS are hereby affirmed and shall continue to be operated in compliance with IRC Section 414(h)(2) and the rulings thereunder, for employees who qualify for such pick ups in accordance with such Resolutions, Board policies or other actions implementing such pick ups. SECTION 9. The Board finds and determines that all formal actions of this Board concerning and relating to the passage of this Resolution were taken in an open meeting of this Board, and that all deliberations of this Board and of any committees that resulted in those formal actions were in meetings open to the public, in compliance with the law.

SERS

WHEREAS, in accordance with Section 414(h)(2) of the Internal Revenue Code (“IRC”) and rulings thereunder, the Board has heretofore adopted a “pick up” program for certain employees covered by the School Employees Retirement System (“SERS”); and WHEREAS, pursuant to applicable provisions of Chapter 3309 of the Ohio Revised Code (“ORC”) and Ohio Administrative Code (“OAC”) rules thereunder, certain employees of the Board who are members of SERS are permitted to purchase, by payroll deduction, additional service credit under SERS; and WHEREAS, recent Internal Revenue Service rulings under IRC Section 414(h)(2) have permitted governmental employers to pick up employee contributions required for the purchase of additional service credit under a state or local governmental retirement system; and WHEREAS, the SERS board has amended OAC Rule 3309-1-54 to permit employers to pick up employee contributions required for the purchase of additional service credit under SERS; and

SECTION 2.
