1. General information1.1. The object of purchase: procurement of educational literature to education / research
institutions in Uzbekistan, according to Technical Specifications (Annex 2). Procurement of educational literature in Uzbekistan will be exempted from taxes (see the explanation on the taxation in Annex 6).
1.2. Service CPV code: 22110000-4 (books).1.3. Procurement identification number: RTA 2017/2.1.4. The applicable procurement method: under the procedure of the Public
Procurement Law paragraph 82.1.5. The procurement will result in a procurement agreement with an applicant whose
tender proposal will meet the requirements of the Provisions and will provide the lowest price.

3. Information on the subject of the agreement, duration of the agreement and payment terms3.1. Implementation of the agreement is funded by the framework of ERASMUS +
project 561624-EPP-1-UK-EPPKA2-CBHE-SP, IMEP "Internationalization and modernization of education and processes in the higher education of Uzbekistan".
3.2. Goods delivery time - 70 (seventy) days after the conclusion of the Agreement.3.3. The Purchaser makes payment for the supply of Goods within 30 (thirty) days after
the Transfer - Acceptance Act is mutually signed with educational / research institutions of Uzbekistan and after the date the Delivery note is received.
3.4. The agreement may envisage an advance payment of not more than 20 (twenty) % of the total amount of Agreement.
3.5. Delivery address: Head Scientific and Methodological Center, Address: 3, Ziyo street, Tashkent 100000, Uzbekistan
4. Tender submission place, date, time and procedure4.1. Tenders may be submitted in person to the Purchaser or by post till March 6, 2017
11:00. A postal consignment should be delivered to the address indicated in Provisions paragraph 4.2 till the deadline specified above.
4.2. Tender submission location: Rezekne Academy of Technologies, Atbrivosanas aleja 115, Rezekne, LV-4601.
4.3. Tenders submitted after the deadline outlined in paragraph 4.1. will be mailed back unopened as a registered mail to the applicant.
5. Announcement of procurement and availability of Provisions 5.1. Procurement is announced by publishing a notice of the planned Agreement under
the procedure of the Public Procurement Law Article 8.2 in Procurement Monitoring Bureau website.
5.2. The Purchaser shall ensure free and direct electronic access to the procurement documents on the Purchaser's website: http://www.ru.lv/pazinojumi_par_iepirkumiem. If a potential supplier requests additional information on the Procurement Provisions, the Purchaser provides the

additional information (electronically or by fax and by mail) to the potential supplier, who had asked the question, and at the same time places this information on the internet website http://www.ru.lv/pazinojumi_par_iepirkumiem. If the Purchaser has provided the required information on the website, it is considered that the person concerned has received the additional information.
6. Tender presentation6.1. When participating in the procurement, the Applicant submits 1 (one) original of the
tender and 1 (one) copy of the tender, as well as electronically recorded proposal in PDF, Word or Excel format on CD-R or USB data medium. The tender together with the electronic data medium (CD-R or USB), which contains the electronic version of the tender, shall be placed in a sealed envelope so that the information contained therein would not be visible and accessible until the opening, as well as ensuring that the envelope will not come off. 6.2. The tender proposal consists of three parts:6.2.1. application documents, including the Application for the procurement (Provisions
Annex 1);6.2.2. technical proposal (in accordance with Annex 2 "Technical Specification");6.2.3. financial proposal (Annex 3).6.3. the Applicant before the tender submission deadline may amend (to supplement) or
revoke the submitted proposal. In this case, the Applicant should provide amendments to be submitted in writing according to the tender deadline set out in the Provisions paragraph 4.1. The envelope in addition to the information specified in the Provisions paragraph 6.1 must contain an indication - "AMENDMENT" or "CANCELLATION". If the Tender has amendments the Applicant shall submit a new proposal. In this case, the submission date of the tender is considered to be the date when the last amendments of the tender have been submitted.
6.4. After the tender submission deadline the Applicant may not amend or supplement his tender.
6.5. All parts of the proposal and application for participation in the procurement must be

drawn up in accordance with the existing laws and regulations and they must be bound together so that the documents would not be separated. Threads shall be firmly fixed with a piece of paper on which there shall be specified the number of pages bound together. The bound documents shall be approved by the Applicant representative’ s (signatory) signature. All pages of the document must be consecutively numbered and the numbering must comply with the attached table of contents.
6.6. The tender proposal must be drawn on A4 sheets, prepared in computer print, numbered and bound. The documents included in the tender must be clearly legible, without deletions, corrections and crossing-outs.
6.7. The tender proposal is prepared in Latvian. The documents of qualifications (e.g. certificates) may be submitted in another language. The documents in other language must be accompanied by the translation in Latvian confirmed by the Applicant in accordance with the existing laws and regulations.
6.8. Tender proposal is signed by Applicant’s representative with the rights of signatory or an authorized person. If the tender documents are signed by the authorized person, there shall be attached a letter of attorney.
6.9. If the Applicant submits copies of the documents, they must be certified according to the existing regulatory enactments. Submitting a tender, the Applicant is entitled to confirm all the submitted document derivatives and accuracy of the translation by one confirmation if the entire proposal is bound together. If the Procurement Committee has doubts about the authenticity of the copies of the submitted documents, it may require the Applicant to present the original document.
6.10. The Committee accepts and recognizes notices and other documents, which in accordance with the Public Procurement Law are issued by competent authorities, if they are issued not earlier than 1 (one) month before the date of submission.
6.11. Submitting tender offers, the Applicant fully accepts all the paragraphs of Provisions.6.12. The date of the proposal submission shall be the day when the tender proposal is
submitted to the Purchaser's representative in person or sent by mail and the Purchaser has registered it.
6.13. The exchange of information between the contracting authority and the tender shall be in writing by mail, fax or electronically.
7. Applicants selection procedure7.1. The Applicant is registered in the Register of Enterprises of Latvia, or in an equivalent
register abroad, if it is envisaged by laws and regulations of the definite country. The fact of registration in the Register of Enterprises of the Republic of Latvia is examined by the procurement Committee in the website of the Register of Enterprises. Applicants, who are registered abroad, must submit a copy of merchant’s registration certificate or an equivalent document issued by the authorities, which is in accordance with laws and regulations of the definite country. If these documents are not available (the regulatory framework of the country of registration does not provide the issuance of the registration certificate), then there must be submitted the information of the Applicant's registration number, the date of registration, indicating the competent authority in the registration country, which, if necessary, can attest to the fact of registration).
7.2. Applicant's confirmation for participation in the procurement has to be signed by the Applicant's representative with the rights of representation or by any other authorized representative. If the tender proposal is signed by an authorized person, there must be attached a letter of attorney (original or certified copy), which attests representative’ s right to sign the documents and to represent the Applicant's interests.
7.3. The Applicant must have experience of similar activities within the previous 3 (three) years (2014, 2015, 2016 and 2017, prior to proposal submission date). Similar services

are considered to be services, where the Applicant, regardless of the number supplies (the provided services), has been engaged in the supply of similar items.
7.4. The Applicant may rely on other entities, if this is necessary for the enforcement of particular agreement, regardless of the legal nature of mutual relations. In such cases, the Applicant assures that he will have the necessary resources by submitting the entrepreneurs’ confirmation or the agreement on the transfer of resources at the disposal of a supplier.
7.5. The Purchaser shall exclude the Applicant from participation in the procurement if:7.5.1. there have been declared the Applicant's insolvency proceedings (except the cases
when the insolvency proceedings are suitable for recovery or other similar type of measures aimed at the prevention of debtor's potential bankruptcy and renewal of solvency), its business activities have been suspended or terminated, bankruptcy proceedings have been initiated or it is being liquidated;
7.5.2. considering the date of the last update of State Revenue Service public tax debtors database, it has been established that on the date of notification of the planned agreement has been published on the Procurement Monitoring Bureau's website or on the day when procurement Committee has taken a decision on procurement initiation or on the day when the decision on the possible conclusion of the agreement has been made, the Applicant has tax debts in Latvia or in the country, where he is registered or has a place of residence, including state social security payment arrears, which in one of the countries exceed 150 Euros;
7.5.3.the terms and conditions of paragraph 7.2.1. and 7.2.2. of these Provisions are attributed to the person designated by the Applicant, who grounds on this person to demonstrate that his qualifications meet the requirements set out in the statement of the proposed agreement or the procurement documents, as well as to a member of a partnership, if the Applicant is a partnership.
7.6. The procurement Committee in respect of the successful Applicant, who would possibly conclude the agreement, shall examine the existence of exclusion mentioned in the fifth part of the Public Procurement Law paragraph 8² (Provisions Paragraph 7.5) according to the procedure set in the seventh part of the Public Procurement Law paragraph 8².
8. Technical and financial proposal8.1. Applicant shall submit a technical proposal in accordance with the Technical
specification. The requirements specified in the Technical Specification (Annex 2) are the minimal level of requirements set by the Purchaser. The proposals must meet these minimum requirements.
8.2. The Applicant completes a financial proposal according the sample (Annex 3), filling in all the fields. Financial proposal is signed by the Applicant's attorney.
8.3. The proposal must be expressed in Euros, including all taxes and duties set in the laws and regulations, as well as agreement-related expenses, excluding value added tax.
8.4. Proposal price has to be indicated with an accuracy of 2 (two) decimal places.
9. Documents to be submitted:9.1. application in accordance with Annex 1 of the Provisions.9.2. information on the previously provided similar services that meet the requirements of
Provisions paragraph 7.3 (according to Annex 4), specifying the types of goods, which are similar to procurement items.
9.6. Technical proposal in accordance with the Technical Specification (Annex 2).9.7. Financial proposal in accordance with Annex 3 of these Provisions.9.8. If in the execution of the work it is necessary to attract subcontractors, the Applicant
shall submit a list of subcontractors, as well as the agreement signed by the Applicant

and a subcontractor (original or a certified copy) or a statement signed by a subcontractor (the original or a certified copy), which expresses the readiness to take part in the execution of the supply of goods.
10. Tender evaluation and selection criteria10.1. Tender design verification and Applicant selection process10.1.1. The procurement Committee shall examine the presentation design of the tender.10.1.2. After the examination of the presentation of proposals the Procurement Committee
carries out the evaluation of tender design verification of successful candidates.10.1.3. The Applicant is not further evaluated if the Procurement Committee establishes
that:10.1.3.1. the Applicant has not submitted any of the documents specified in Provisions
paragraph 8 and 9 and / or their content does not meet the requirements of the Provisions, including, if the Procurement Committee establishes that a tender proposal has not been submitted for the whole volume of supply in accordance with the Technical Specification (Annex 2);
10.1.3.2. submitting the requested information, the Applicant stated false information or has not provided the information required by these Provisions.
10.1.4. The tender proposals, which meet all the requirements specified in the Provisions, will be considered as suitable. Procurement Committee will not evaluate unsuitable proposals.
10.2. Tender proposal evaluation criteria10.2.1. The Procurement Committee evaluates only those financial offers, which have been
submitted in accordance with the Provisions.10.2.2. If in the financial proposal there has been detected an arithmetic error, the
Procurement Committee corrects it. The Committee informs the Applicant about the Error correction and the corrected amount of mistakes. When evaluating financial proposals, the Committee takes into account the corrections.
10.2.3. After having examined all the tenders, which comply with Procurement Provisions, the Procurement Committee selects the proposal with the lowest price.
11. The Procurement Committee’ s rights and obligations11.1. Procurement committee rights:11.1.1. before making a decision to require the Applicant to specify the details of his
proposal;11.1.2. to reject any tender proposals that do not meet the requirements of the Provisions;11.1.3. to invite experts or specialists in an advisory capacity in order to examine proposal
design, to verify its compliance and evaluate the proposal;11.1.4. to check the information in the competent institution, publicly accessible databases
or other publicly available sources if it necessary for inspection of proposals, selection of Applicants, evaluation and comparison of tender proposals;
11.1.5. to correct arithmetical errors in the Applicant's financial proposals, informing the Applicant;
11.1.6. to select the next tender offer with the lowest price, if the successful Applicant refuses to sign the agreement with the purchaser;
11.1.7. to carry out other activities in accordance with the Public Procurement Law and the Procurement Provisions.
11.2. The procurement committee’s obligations:11.2.1. not to disclose the information about other proposals in the period of tender
submissions until their opening date, as well as not to provide the information about the proposal evaluation process until the decision has been made;

11.2.2. to ensure the procurement process and documentation;11.2.3. to provide free competition among candidates, as well as equal and fair treatment;11.2.4. to evaluate the candidates and submitted tender proposals in accordance with the
requirements of the Public Procurement Law and these Provisions, and select the proposal or make a decision on termination of the procurement tender without selecting any offer;
11.2.5. according to laws and regulations to provide the information on the Provisions at the request of the interested suppliers.
12. Applicants' rights and obligations12.1 Applicant's rights:12.1.1. to join in groups with other Applicants and provide one common tender proposal;12.1.2. to require from the Procurement Committee the additional information on Provisions
by submitting a written request;12.1.3. to amend or revoke the submitted proposal before the tender submission deadline,;12.1.4. to carry out other activities in accordance with the Public Procurement Law.12.2. Applicant’s obligations:12.2.1. to prepare a proposal in accordance with the requirements of these Provisions;12.2.2. to provide a truthful information about qualifications and proposal;12.2.3. to provide written answers at the Procurement Committee’s request that are
necessary for the selection of tenders, verification of proposal compliance, comparison and evaluation;
12.2.4. to comply with the above mentioned conditions of these Provisions as the basis for accomplishment of procurement;
12.2.5. to carry out other activities in accordance with the Public Procurement Law and these Provisions.
13. Decision on the termination of procurement procedure without concluding general agreementThe Purchaser may decide to terminate the procurement without entering into a agreement, if there have not been submitted any proposals or the submitted tender proposals do not comply with the Provisions or requirements set in its Annexes, or if the Purchaser does not have enough financial resources, or there is no longer the need for the supply of goods, as well as in other cases in accordance with the laws and regulations.
14. Other provisions14.1. All expenses related to the preparation and submission of procurement tender shall be
covered by the Applicant.14.2. Procurement Provisions (body text) are drawn up in Latvian on 7 (seven) pages,
accompanied by the following attachments:14.2.1. Application for participation in procurement;14.2.2. Technical specification;14.2.3. Financial proposal;14.2.4. Verification of the Applicant's experience;14.2.5. The draft Agreement.

If the period of troubleshooting will be more than ten (10) working days, we undertake at our own expense to replace the Defective Item with the same or equivalent product in terms of functionality at the request of the Purchaser.

Definitions
Act – Transfer-Acceptance Act, which certifies that the Article or any of its part has been delivered in accordance with the provisions of this Agreement or there have been found defects of the supplied productDefects- non-compliance of supply, amount or quality with the legislation of the Republic of Latvia, Provisions, the tender submitted by the Contractor or Agreement.Procurement procedure – procurement „Procurement of educational literature” within the framework of ERASMUS+ project 561624-EPP-1-UK-EPPKA2-CBHE-SP, IMEP: "Internationalization and modernization of education and processes in the higher education of Uzbekistan", procurement identification No.: RTA 2017/2Agreement - the agreement with all its annexes, possible additions and amendments.Agreement amount - the maximum possible charge for the supply of goods according to the provided procedure and amount.Provisions - Procurement Provisions with its all annexes, additions or amendments, including technical specifications.Representative – the Purchaser’s or a Contractor’s authorized person who monitors the compliance with contractual obligations, accepts or surrenders the Product.Goods - equipment, devices, facilities, tools to be supplied and installed according to the Agreement concluded on the basis of Provisions and submitted proposal.Procurement - Product procurement, installation and / or the Purchaser's staff training in accordance with the provisions of Agreement.Delivery note - the note, which corresponds to legislation and is issued by the Contractor and submitted to the Purchaser for the Products supplied according to the Agreement procedure.

1. Object of the Agreement1.1. The Purchaser orders, but the Contractor delivers the goods of procurement receiving
the contractual fee and the Purchaser undertakes to buy, receive, and pay for goods at the contractual deadline, procedure and amount.
1.2. The goods are delivered in accordance with the Provisions (Annex 3), the Contractor's technical and financial offer (Annex 1), the Agreement Provisions and the legislation of Latvia.
1.3. The Contractor guarantees that the Product complies with applicable national standards or requirements of Product compliance and quality set in other regulatory enactments, as well as the information provided by the manufacturer of the Product (the Product label, the attached instructions, storage conditions, etc.), as well as guarantees that there will be delivered new , unused goods in the original packing.
2. The amount of Agreement and payment procedure 2.1 The Amount of Agreement for the supply of goods in procurement without VAT is
EUR ___________ (the amount in words). The Agreement price will include all costs connected with the supply of the Goods mentioned in the Agreement Paragraph 3.2 to Goods Delivery addresses.The amount of the Agreement during Agreement period cannot be changed.
2.2 In the Contractor's technical and financial proposal (Article Annex 1), the unit prices are fixed throughout the Agreement period. The Purchaser shall pay the Contractor only for the delivered Goods.
2.3 In the Agreement there may be provided an advance payment of not more than 20 % (twenty) of the amount of Agreement, that is EUR _______ (the amount in words).
2.4 The Purchaser pays for the supplied Goods within 30 (thirty) days after he has received a Delivery note, has mutually signed the Act, has received the Contractor's receipt of the invoice, by transferring money to the indicated Contractor's bank account.
2.5 The payment is made at the moment when the Purchaser makes a payment from his current account.
2.6 When preparing the Delivery note, the Act and the Invoice the Contractor shall contain the information with Procurement name and identification number, as well as the Agreement date and number. If the Contractor has not included the information specified in the article of this Agreement in his Delivery note, the Act and the Invoice, the Purchaser has the right to require the Contractor to make appropriate adjustments and has the right not to pay the amount of money to the Contractor until the Contractor has eliminated the mistakes.

3. Delivery terms and deadlines 3.1. The Contractor shall deliver the goods within 70 (seventy) days from the date of
conclusion of the Agreement, adjusting the Goods supply agreement with the Authority, hereinafter - the Authority, specified in the paragraph 3.2 of this Agreement.
3.2. Goods Delivery address: Head Scientific and Methodological Center, Address: 3, Ziyo street, Tashkent 100000, Uzbekistan;
3.3. Not later than 5(five) working days prior to the supply of Goods, the Contractor is obliged to agree with the Authority on the Product delivery time. In case when the address of the Delivery of Goods has changed the Purchaser shall inform the Contractor in writing within 10 working days in advance.
3.4. The Contractor shall supply Goods at his own expense and the Purchaser does not have to pay for it.
3.5. The Agreement shall enter into force upon mutual signing and is valid until <date> (including) or by the accomplishment of mutual obligations.
4. Procedure for receiving the purchased Goods 4.1. The Contractor shall deliver the Goods to the Authority together with documents
containing the description of Goods, properties, storage and handling rules - instructions, manuals in paper format or CD in Latvian, Russian and English. The Product compliance with the items indicated in the Delivery note is approved by the Authority with his signature on the Delivery note. The Goods Transfer to the Authority is fixed by the Delivery note, signed by the representatives of each Party. At the time of transfer of Goods there is tested their range and quantity. The Contractor submits the signed Act (Agreement Annex 3) together with the Delivery note of the supplied Goods to the Authority.
4.2. The Authority verifies the compliance of Goods and their Delivery with the Agreement Provisions within 15 (fifteen) working days after the transfer of Goods and the receipt of the relevant Act, signed by the Contractor. Within that period, the Authority has the right to make claims about the non-compliance of the quality of Goods or their supply with the Agreement Provisions. If within the specified time limit the Defects are not detected, the Authority and the Purchaser shall sign the Act.
4.3. By signing the Act (Annex 3 of the Agreement), the Authority and the Purchaser approve that the Goods have been delivered in accordance with the Provisions of the Agreement.
4.4. If the Authority, when verifying the compliance of Goods or their Delivery, finds a Defect or the Contractor has delivered a part of the total amount of Goods specified in paragraph 3.1 of the Agreement within the set period, the Act of Defects is prepared and sent to the Contractor, stating the nature of Defects. The Authority does not accept The Goods, which do not comply with the Provisions of Agreement.
4.5. The Contractor shall eliminate the Defects at his own expense within the time limit agreed by Parties, but if the Parties fail to agree, not later than 10 (ten) business days after the Purchaser's written complaint is received. After the Defect has been corrected the Goods and Delivery is reaccepted according to the Agreement.
4.6. If Defects mentioned in the Act of Defects are caused by the Contractor's actions or omissions, the expenditure of elimination of these non-compliances must be covered in full by the Contractor.
4.7. If the Authority / Purchaser has detected the unconformity of Goods, it may invite an expert to assess product compliance with the Agreement, and if the expert’s judgment confirms that the Authority / Purchaser’s opinion is reasoned, the Contractor not only eliminates the identified shortcomings by the deadlines agreed by Parties, and if the

parties fail to agree, not later than 30 (thirty) working days, but also covers the expenses connected with external expertise within the time limits and procedures outlined by the Purchaser. The Purchaser shall recover money from the Contractor within subrogation procedure.
5. Purchaser's rights and obligations 5.1. The Purchaser undertakes to pay for the Product within the time and in the amount
defined in the Agreement. The Purchaser shall pay only for the Goods or part of them, which have been delivered according to the Agreement.
5.2. The Purchaser has the right to request from the Contractor to submit the information not later than within 3 (three) working days about the progress of the Agreement, the Delivery time or circumstances that may impede the Delivery.
5.3. The Purchaser is obliged to sign the Act if the goods are delivered in accordance with the Provisions of the Agreement.
6. Contractor's rights, obligations and guarantees 6.1. The Contractor undertakes to carry out high quality timely and appropriate supply of
Goods as provided for herein, in accordance with the Regulations (Agreement Annex 3), the Contractor's technical and financial proposal (Agreement Annex 1), the Agreement Provisions and the legislation of Latvia.
6.2. Delivering the Goods, the Contractor is obliged to observe the requirements for transportation, installation and exploitation of Goods set by the manufacturer and laws and regulations .
6.3. Delivering the Goods, the Contractor undertakes to provide the product packaging disposal in an environmentally sound manner at his own expense.
6.4. The Contractor is obliged at the Customer's request to provide the information within 3 (three) working days in written form on the progress of performance of the Agreement, delivery time or circumstances that may impede the Delivery.
6.5. If the Contractor performs the Agreement in the Purchaser's premises or area, he shall observe the Authority's internal rules and fire regulations, with which the Contractor is introduced before the start of installation of the delivered Goods.
6.6. The Contractor shall not be entitled to transfer the execution of the Agreement or its parts to third Parties that has not been stipulated in the Agreement and is contrary to the assumption of liabilities in case of commercial reorganization or enterprise transfer provided in the Laws of Latvia.
7. Goods warranty provisions7.1. The Contractor certifies that in the performance of the Agreement he is bound by the
Regulations (Agreement Annex 2), the Contractor's technical and financial proposal (Agreement Annex 1), Contractual Provisions concerning warranty service during the Goods warranty period.
7.2. The warranty period of Goods in their operating site is <the number of months - the warranty period is determined in accordance with the requirements of technical specifications> years from the date when the Act of Delivery of goods is mutually signed.
7.3. During the warranty period in case of the Defect of Goods the Contractor is obliged at his own expense to replace any damaged parts or repair the product within 7 (seven) calendar days after the date when the Authorities mentioned in paragraph 3.2 of this Agreement have submitted the fact of Defect according to the agreement of Parties, but no later than 10 (ten) working days after the Authority specified in this Agreement paragraph 3.2 has submitted the application of Defect. Service response time is two (2)

working days after the receipt of the call. If the Defect elimination time is more than 10 (ten) days, the Contractor is obliged at the request of the Authority, specified in this Agreement paragraph 3.2 to replace free of charge the faulty goods with the same or equivalent product in terms of functionality.
7.4. The Authorities specified in paragraph 3.2 of this Agreement can inform about the Defects by phone _________________ on weekdays from 9:00 to 17:00, or by e-mail __________________@ _________ . The Defects that are submitted after 17:00 are considered to be applied at 9: 00 of the next day.
8. Force majeure8.1. The Parties shall be released from the total or partial non-performance of the
Agreement, if such failure is due to force majeure or extraordinary circumstances, which have began after signing the Agreement and which could not previously be foreseen or prevented.
8.2. The Party that has been brought under the force majeure or extraordinary circumstances, immediately reports it to the other Party in writing within no later than 5 (five) business days from the time of realising the force majeure conditions. The report shall state the period within which in his opinion it is possible and expected to fulfil his contractual obligations, and, upon request, such a report must be accompanied by a document issued by the competent authority. The document shall contain the characteristics and approval of extraordinary circumstances.
8.3. If these circumstances continue for more than two months, either Party is entitled to withdraw from its contractual obligations. In this case, none of the Parties shall be liable for any loss caused by the other Party in the period of force majeure.
9. Liability of the Parties9.1. For each delayed day of the Goods Delivery or Defect prevention, the Purchaser is
entitled to request from the Contractor a penalty of 0.5% (five tenths of a percent) of the total amount of the Agreement, but not more than 10% (ten percent) of the Agreement amount.
9.2. If the Purchaser fails to make payment for Goods within the Agreement period and in the specified amount, the Contractor has rights to request from the Purchaser a penalty of 0.5% (five tenths of a percent) of the unpaid amount for each delayed day, but not more than 10% (ten percent) of the basic debt.
9.3. The payment of penalty does not release the Parties from their obligations.9.4. In case the Purchaser becomes entitled under the Agreement to request from the
Contractor a penalty or any other payment, he has to inform the Contractor in written form before deducting a penalty or any other payment of the amount paid by the Contractor.
9.5. The Parties shall be responsible for the direct losses caused to other Party, if they have appeared due to the actions or omissions of one Party, its employees or third parties (including negligence, malicious actions or omissions).
10. Confidentiality 10.1. The Parties undertake to respect the confidentiality of relations with each other,
including:10.1.1. to secure that the information of the Agreement is not disclosed by third parties
involved in the performance of the Agreement, with the exception of national and local institutions that require to disclose the information in accordance with the legislation;

10.1.2. to protect and not to distribute and disclose without prior mutual written consent the content of the documents connected with this Agreement or other related documents to third parties, as well as technical, commercial or any other type of information about the activities of other Party, which has become available due to the agreement, except the cases provided in the laws and regulations of Latvia.
10.1.3. the Parties agree that the Restrictions of this paragraph does not apply to publicly available information, as well as to the information, which is provided to third Parties in accordance with the Provisions of the Agreement.
10.2. The Parties agree that the non-observance of confidentiality of these Provisions constitutes a serious breach of Agreement, which gives the injured Party the right to demand from the guilty Parties the coverage of the losses that have appeared due to the non-observance of confidentiality.
10.3. The provisions of these paragraphs of the Agreement have no time limits and are not the subject of the Agreement term.
11. Amendments and Termination 11.1. All amendments, additions to the Agreement, as well as other agreements between
the Parties related to the execution and activities of the Agreement shall be drawn up in writing. All Agreement additions, amendments and agreements are an integral part of the Agreement.
11.2. Only minor amendments are acceptable. Substantial amendments to Procurement Agreement are allowed only in the cases specified in the second part of the Public Procurement Law paragraph 67.1.
11.3. The Contractor may replace the goods specified in the Agreement with other models, if the Product model indicated by the Contractor in the tender proposal is not produced any more after the submission of Contractor's tender and it is certified by the producer or distributor, or goods are available in newer models that meet the requirements of technical specification. The Contractor may replace the Goods specified in the Agreement with other models, which are equivalent or better than the requirements of technical specification of Goods to be supplied and if the amendments to the Agreement are in written form as an annex to the Agreement, signed by both contracting Parties. The price of Goods remains unchanged. The Customer is entitled, but not obliged to approve a model replacement.
11.4. The Contractor and Purchaser, by mutual agreement, have the right to extend the Agreement period by not more than 1 (one) month, if the manufacturer of Goods impedes the delivery of the product to meet the deadline and if the delay is approved by the manufacturer. The Contractor shall submit product manufacturer's confirmation to the Purchaser.
11.5. The agreement can be prematurely terminated upon the mutual written consent of Parties.
11.6. The Purchaser has the right to unilaterally terminate the Agreement by sending a written notice to the Contractor at least 10 (ten) working days in advance in the cases a follows:
11.6.1..if the Contractor repeatedly fails to comply with the requirements laid down in the Agreement;
11.6.2. if the Contractor has initiated insolvency proceedings or is being terminated or suspended.
11.7. In order to prevent improper cost risk in ERASMUS + funded project, the Purchaser is entitled to unilaterally terminate the Agreement by sending a written notice to the Contractor at least 20 (twenty) working days in advance in the cases as follows:

11.7.1.there has been proposed the review on the priorities and activities of the planning period of European Union Funds and as a result the Purchaser’s financing, which he had planned to use for Agreement payment liabilities, and which is financed by the European Union funds, is reduced or withdrawn;
11.7.2. according to the decision made by the competent authority under the guidance of the European Union funds or the Cabinet of Ministers.
11.8. Termination of the Agreement in cases specified in paragraph 11.7. is not basis for compensation or other form of payment of compensation to the Contractor or any imposition of sanctions to the Purchaser.
11.9. If the Contractor fails to comply with the Agreement commitments or if the Agreement is terminated due to the Contractor's fault, the Contractor is obliged to pay a penalty of 10% of the Agreement amount.
12. Final Provisions 12.1. The titles of Agreement paragraphs are used for convenience only and should not be
used in the interpretation of Provisions of this Agreement.12.2. Within a week the Parties shall notify in writing each other of the change of their
properties (name, address, payment details and so on.) confirming by the signature.12.3. All claims and disputes that may arise in connection with the execution of the
Agreement, the Parties will resolve through negotiation. If the dispute is not resolved through negotiations within 20 (twenty) days, the Parties agree to submit their dispute to court, according to the legislation of the Republic of Latvia in the courts of the Republic of Latvia.
12.4. The Agreement is drawn up in two counterparts in English. Both counterparts of the Agreement have equal legal force. One counterpart is stored by the Purchaser, the other one - by the Contractor.
12.5. In all other matters not regulated by the Provisions of the Agreement, the Parties shall comply with the procedures set in the existing laws of the Republic of Latvia.
12.6. The Parties approve with their signature that they have understood the content of the Agreement, the implications and consequences, they approve the Agreement to be proper, mutually beneficial and voluntarily wish to fulfil it.
12.7. The agreement is accompanied by the following attachments:12.7.1. The copy of Technical and Financial Proposal - Annex 1;12.7.2. Regulations, including a copy of the technical specifications - Annex 2;12.7.3. The form of the Act of Transfer- Acceptance of Goods - Annex 3.
