SITE USE AGREEMENT This Site Use Agreement ("Agreement") is made as of 3/27/2015 3:58:00 PM by and between Girl Scouts of Greater Chicago and Northwest Indiana, Inc.

("GSGCNWI") and ("Group Coordinator"). GSGCNWI and Group Coordinator agree to the terms as fol lows:

1. Group Coordinator will have the l imited and nonexclusive right to use the certain GSGCNWI property ("Property") as set for th in the attached Reservation Sheet

for a certain group activity and for no other purpose.

2. Group Coordinator will pay GSGCNWI all expenses related to the group's use of the Property, including the charges set for th in the Reservation Sheet.

3. Before GSGCNWI will reserve the Property for Group Coordinator, it must receive a 50% deposit of the reservation fee along w i th the signed

Agreement. GSGCNWI will not reserve the Property unless the deposit and signed Agreement are returned to GSGCNWI wi th in a reasonable t ime

as determined by GSGCNWI. Modif ications to the reservation after the signed agreement and deposit have been received wil l be at the sole

discretion of GSGCNWI.

4. The deposit paid by Group Coordinator as required by Section 3 of this Agreement is nonrefundable. Provided that however, should Group Coordinator need to

reschedule the group activity, GSGCNWI may at its sole discretion apply the deposit paid by Group Coordinator to charges due and owing for a new reservation.

5. Fifteen (15) days prior to the reservation date, Group Coordinator must pay the remaining 50% of the reservation fee to GSGCNWI. A credit

card must be provided wi th final payment t o be used in the event of minor damages.

6. During the check-in process, GSGCNWI wil l assign a GSGCNWI Representative to the group.

7. Group Coordinator further agrees, represents, and warrants as follows:

a. Before the group activity, Group Coordinator wil l obtain executed parental consent forms as applicable, including the Activity Permission and Emergency

Medical From as provided in Volunteer Essentials.

b. At the t ime of reservations, Group Coordinator wil l not i fy GSGCNWI's Property Registrar of any special accommodations the group may need.

c. Upon arrival on the Property, Group Coordinator wil l provide the designated GSGCNWI Representative wi th the most current, group participation roster.

d. Group Coordinator acknowledges receipt of the current Volunteer Essentials, Outdoor Essentials, applicable Property Guide, Safety Activity Checkpoints and

Procedures for Arrival and Departure (collectively herein "Guides"). Group Coordinator has read and understands all obligations set for th in the Guides. Further,

Group Coordinator represents that a group participant who has participated in the applicable training as provided in the Guides wil l be present on the Property

during the durat ion of the group activity.

e. Group Coordinator wil l communicate all rules and guidelines posted on the Property or in the Guides to each group participant. All group participants,

including Group Coordinator wil l fo l low all rules and guidelines at all t imes while on the Property.

f. Group Coordinator wil l make certain the group includes a physician, nurse, or EMT, or First Aider as defined in Volunteer Essentials (each individually "Medical

Professional"). The Medical Professional wi l l be present on the Property at all t imes during the durat ion of the group activity to administer the necessary

medical t reatment to group participants, including child CPR. Group Coordinator wil l provide GSGCNWI wi th a copy of the Medical Professional's current

certif ication f i f teen (15) days prior to the reservation date. GROUP WILL NOT BE PERMITTED TO USE THE PROPERTY UNLESS GROUP'S MEDICAL PROFESSIONAL

IS ON THE PROPERTY AT ALL TIMES DURING THE RESERVATION.

g. In the event of a medical emergency while on the Property, Group Coordinator wil l immediately contact emergency medical services (911) to respond. After

contacting 911 , Group Coordinator wil l immediately not i fy the GSGCNWI Representative by telephone to report the medical emergency.

h. Group Coordinator wil l immediately notify the GSGCNWI Representative by telephone to report any damage to the Property occurring whi le on the Property.

i. As soon as possible, but no later than 24 hours f rom the occurrence of any injury to person or property damage while on the Property, Group Coordinator wil l

submit a completed Accident/Incident Report Form to the GSGCNWI Representative.

j . Group Coordinator wil l be present on the Property at all t imes and will provide all necessary supervision to prevent any and all personal injury and loss or

damage to the Property. Should a group medical emergency require Group Coordinator to leave the Property, Group Coordinator wil l designate a back-up

person to be present on the Property at all t imes to provide the required supervision. Coordinator wil l immediately notify the GSGCNWI Representative by

telephone of the designated back-up person.

k. Group Coordinator wil l arrange and make certain that a vehicle other than a bus is available at the Property to transport a group participant who needs

medical t reatment. Additionally, Group Coordinator wil l confirm and require that the owner and driver of such vehicle maintains general liability, collision, and

comprehensive automobile insurance covering, w i thout l imitat ion, (i) injuries, death, and property damage resulting f rom an accident, and (ii) collisions.

I. The number of expected guests wil l not exceed the reservation nor the posted occupancy capacity on the Property,

m. Group Coordinator wil l properly assign lodging to each group participant as provided in Safety Activity Checkpoints.

n. Group participants and any other person providing services or support to the Group Coordinator while on the Property wil l comply w i th all applicable laws,

rules and regulations.

o. No group participant wil l possess any alcoholic beverages, illegal drugs, tobacco products, weapons (including firearms), fireworks, explosives, animals, or

any i tem which may present a risk to person or property while on the Property. Notwithstanding the foregoing, a service animal wil l be permit ted on the

Property as required to aid a group participant wi th a disability. Prior to the group activity, Group Coordinator must notify the GSGCNWI's Property Registrar of

any necessary service animal.

p. No group participant shall bring an ATV, dirt bike or non-licensed recreation vehicle on the Property.

q. Group Coordinator wil l complete and submit the Camp Property Check-In & Out Form to the GSGCNWI Representative.

r. Before departure, Group Coordinator wil l make certain the reserved area is clean, leaving it in good condit ion, ready for use by the next guest.

s. Unless program leadership is being provided by GSGCNWI as part of this Agreement, Group Coordinator wil l plan the group's camping experience and

provide the group's program activities.

8. Group Coordinator shall indemnify GSGCNWI, its officers, directors, employees and agents f rom any and ail third party claims, disputes, costs, expenses, liabilities

and expenses, including reasonable attorneys' fees, arising f rom or in any way related to any negligence or misconduct by Group Coordinator or any group

participant while using the Property, or any breach of this Agreement by Group Coordinator or group participant. This Section 8 shall survive the expiration or

terminat ion of this Agreement.

9. All communication regarding the reservation shall be directed to the respective parties as fol lows:

10. This Agreement shall be in full force and effect as of the date first wr i t ten above and shall automatically terminate at the end of the reservation.

11 . Either party may terminate this Agreement at any t ime, wi th or w i thout reason, upon f i f teen (15) days wr i t ten notice to the other party to its address provided

in Section 9 of this Agreement.

12. Upon any breach of this Agreement by Group Coordinator or any group participant, GSGCNWI may immediately terminate this Agreement or allow Group

Coordinator to cure such breach wi th in the t ime solely determined by GSGCNWI. If Group Coordinator fails to cure the breach as permit ted by GSGCNWI, this

Agreement shall automatically terminate. Upon terminat ion as provided in this Section, Group Coordinator wil l not receive a refund of any amounts paid to

GSGCNWI.

13. Except as provided in Section 7(j) of this Agreement, Group Coordinator cannot assign or transfer its rights or obligations under this Agreement or any part of it

w i thout the prior wr i t ten consent of GSGCNWI.

14. This Agreement may be amended only in wr i t ing, executed by Group Coordinator and GSGCNWI.

15. No delay or omission by GSGCNWI in exercising any right under this Agreement shall operate as a waiver of that or any other right. Any waiver or consent given

by GSGCNWI on any one occasion to Group Coordinator shall be effective only in that instance and shall not be construed as a waiver of any other obligation of

Group Coordinator.

16. If any provision of this Agreement is found invalid, illegal, or otherwise unenforceable by a Court of competent jurisdict ion, the validity, legality, and

enforceability of the remaining provisions shall in no way be affected and shall remain in full force and effect.

17. This Agreement incorporates the Reservation Sheet and all applicable Guides. This Agreement contains the entire agreement and understanding of GSGCNWI

and Group Coordinator and supersedes all prior agreements and understandings regarding the subject matter hereof.
