The Capitol Connection Q&A for Contractors By Shauna Krause, Capitol Services, Inc.

Some things in life and contractor’s licensing require more time, money or explanation, some less and some can’t be ‘satisfied’ no matter how long you wait, explain or would be willing to spend. But, first there’s more…

We always appreciate the sharp eyes of readers, some of whom got in touch about the way company names and contractor license numbers must be displayed on vehicles. The key is how the vehicle is registered with the DMV.

While space limits our answers at times, this one does need further clarification, as the real practice by many may be out of synch with the actual letter of the law which spells out how and when names and license numbers are required:

“C-36” Plumbing, “C-45” Sign, and “C-57” Well-Drilling contractors must display the following information on each side of every business vehicle with commercial registration in letters at least 11⁄2 inches high (B&P Section 7029.5): Business name, permanent business address and contractor’s license number. All other licensed contractors must display their business names and contractor license numbers on every one of their commercially registered vehicles. The name and number must be in a clearly visible location in letters at least 3⁄4 inch high and wide (B&P Section 7029.6). Q: I had a judgment on my previous Sole Owner license but it is over 8 years old. I recently applied for a new contractor’s license in the name of my corporation. The application was denied based on the 8-year old judgment that is still “unsatisfied”. It was my understanding that judgments go away after a period of 7 years. Is that not true?

A: It is our understanding that the CSLB has no statute of limitations for a judgment on a license. The Superior Court of California does have a 10-year statute of limitations. After 10 years, if the Superior Court does not renew the judgment, you can provide proof of non-renewal to the CSLB in order to have the judgment forgiven.

Q: I currently have a Sole Proprietorship contractor’s license and I am in the process of incorporating. I will submit a “Licensed Sole Owner Applying for Corporate License” form. The current license is in good standing; and the corporation is formed by the individual licensee; and the Sole Owner licensee has at least 51% ownership of the new corporation. I am aware that once the number is transferred, it belongs to the corporation and cannot be reissued to an individual at a later date.

My question is: How are my contracts in progress affected by the change in business structure? For example, if the license is transferred to the corporation in January, and work covered under a contract signed with the Sole Proprietor entity is still in progress when the transfer occurs, are we still in compliance with being licensed at all times? I appreciate any information, as I am not able to find it anywhere. A: If you will still have work in progress under the Sole Owner/Proprietorship license when the conversion takes place, while you will still be in compliance, you will want to also inform each of your customers that have work in progress that the change has taken place. You should do this in writing and you can inform them that the license number, ownership, bonding company, Worker’s Comp, etc. remains the same, but that you have converted from a Sole Proprietorship to a Corporation. Also just FYI, beyond the Sole Owner to Corporation form you will also need to complete and submit a waiver application.

Each time I help a client draft a contract compliant with the Home Improvement Statute, I cringe and wonder – is this any way to make a new customer comfortable with the already scary process of hiring a contractor, building a home or remodel? I do not think so. But, the Legislature does, and we are stuck with it. A complicated statute, Business &

Professions Code Section 7159 – read it and weep, and figure out how to insert all its “10 and 12 point Bold font” requirements onto any form less than the size of the New York phone book. Then decide if it will scare away any potential client, who cannot figure out why you have some a complicated form, with scary “WARNINGS” about YOU. It could make one going into an easy line of work, like tornado chaser.

The “Cher” Factor. Before getting into the guts of “how to survive Section 7159 without losing my mind”, let’s start with the comic story of Cher’s remodel, and her attorney’s failed attempt to void the contract for the Malibu project from hell, for failure to comply with Section 7159 – the Home Improvement Statute. Yes, Cher, as in, Sonny and Cher, and “I Got You Babe” and “Half Breed.” Great singer – but, not so easy it seemed as an owner in a big remodel according to the published decision by the California Court of Appeal, Ayra Group, Inc. v. Cher (2000) 77 Cal.App.4th 610 where the Court said that she might win, or not, in her defense to the oral contract that it did not comply with Section 7159 and companion Section 7164 of the B&P Code:“It appears from the operative pleading that Cher is a highly sophisticated homeowner with previous involvement in residential construction projects, that her legal representatives assisted her in negotiating the Malibu construction project agreement with Arya, that Arya had already

completed a substantial amount of the work it contracted to perform when Cher terminated the parties’ agreement, and that Cher would be unjustly enriched if she were not required to compensate Arya for the reasonable value of its work. Under these circumstances, we decline to hold that Arya’s noncompliance with section 7164 absolutely forecloses it from seeking to enforce the oral agreement it purportedly made with Cher, which was allegedly memorialized in an unsigned written contract. On the other hand, should it become apparent in the course of a motion for summary judgment or trial that “the facts are otherwise than as alleged and are such as to place the case outside the exceptions to the general rules regarding enforceability of illegal contracts,” our holding here would not preclude Cher from reasserting her position about the illegality and unenforceability of any agreement between her and Arya in the absence of a signed written contract.”

What does this mean for the Contractor? Maybe this:• If you contract with Cher, and Cher has a lawyer help draft the

contract that no one signs and which does not contain the terms required by B&P Section 7159, maybe you get to a hall pass and get to collect anyway, since Cher is not an unsophisticated consumer – the class of folks the Legislature intended to protect by 7159.

• For other situations, you may be in trouble. “I Got You Babe” might just mean, “I Got You.” The statute does say equitable rights survive to avoid unjust enrichment to the owner who has the benefit of your work. Ok, that’s nice. But why risk it, when you do not have to? Be safe, not a Cher Bear.

What to do?For starters, get a form that satisfies the terms of 7159 and avoid these arguments. Your client may seem like Cher, but maybe the Court will think you - a licensed Contractor - should know better.

off the customer, or creating a confusing mess?

It’s not easy. But here are some suggestions:1. Get a good form. Whether you use a California contract form service,

or your construction attorney, update your contract form every December. The Legislature tends to change things effective January 1 – beware.

2. Take time to blend your key proposal terms and exclusions with the requirements of 7159- price, progress payment schedule, estimated start and completion dates, change order clause and warnings – must be in writing, Notice to Owner about mechanics’ liens, and Notice of Three-Day Right to Cancel.

3. Contractors State License Board requires you list your license number, and identify whether you have workers’ compensation insurance and general liability insurance. If you have employees, you must have worker’s comp. If not, your license is deemed automatically suspended even without CSLB action.

4. Consider a form that calls out to the customer which terms are phrased per the CSLB requirements of 7159, and provide in the form www.cslb.ca.gov. That tells your customer why these bizarre

terms and warnings are there, and tells them you comply with the law. Make it your marketing to say that you want the customer to know their rights and the CSLB guidelines and regulations. That will put the customer at ease, even if the form language is not very user friendly.

5. Go onto Google, and type in “Business & Professions Code Section 7159, and look at the requirements – including verbatim language, required 10 point and 12 point type face, required notices and the like.

6. Sit down with the prospective customer and walk through the form and terms, and explain Section 7159. Print it out and give it to your client. Make that your practice. Tell the client – CSLB requires these terms, and so they are in my contract form with you.

When trying to give “cut and paste” options to the reader from Section 7159, this article got very “User Unfriendly.” Went on for 11 pages. 11 pages. So, that you will need to do on your own. Unless you are just working for Cher, its worth doing.

Fire Extinguisher Safety

Have you inspected your fire extinguishers lately? Are they fully charged, strategically located, accessible, and ready for use? Or, are they covered with dust and hidden in a corner where they create a false sense of security? Fire extinguishers are often purchased with enthusiasm and then forgotten because they are not needed. It is a good thing that they have not been needed, but they still need proper inspection and maintenance. Not only is this a legal requirement, but ensures they are ready to use if needed! Remember, fire extinguishers are a first line of defense against fire. Fire extinguishers must be kept accessible and functional to eliminate lost time when they are needed. Inspect your extinguishers monthly to be certain they are charged and in ready to use condition. Annual maintenance inspections are required in accordance with NFPA 10. Other maintenance and inspection requirements are required based on the type of extinguisher. Check the manufacturer owner’s manual for these requirements. Also, if staff will be expected to use fire extinguishers in an emergency, be sure that they have received training on how to use them correctly.

Fire Extinguisher Safety

Do you have the proper Class of extinguisher for the kinds of materials that are most likely to burn in your operation? The following is a list of the different classes of fires and the recommended fire extinguishers to be used for each. The correlation is very straightforward: Class A fires require Class A extinguishers; Class B fires require Class B extinguishers, etc. Some extinguishers have multiple ratings which makes them usable on different classes of fires. But remember, if you do not know what kind of materials are burning or if you do not have the proper class of extinguisher, do not try to fight the fire; evacuate immediately.

• Class A Fires involve ordinary combustibles such as paper, plastic, rags, and wood. The recommended extinguishers are Class A.

• Class B Fires involve flammable liquids such as oil, grease,

gasoline, and paint. The recommended extinguishers are Class B.

• Class C Fires involve electrical equipment such as motors,

heaters, and office machines. The recommended extinguishers are Class C.

• Class D Fires involve combustible metals such as

magnesium, aluminum, sodium, and potassium. The recommended extinguishers are Class D.

• Class K Fires involve combustible cooking fluids such as oils and

fats. The recommended extinguishers are Class K.

¿Ha inspeccionado sus extintores últimamente? ¿Están completamente cargados, estratégicamente ubicados, accesibles y listos para su uso? ¿O están cubiertos de polvo y escondidos en un rincón en el que crean una falsa sensación de seguridad? Los extintores de incendios se han comprado con entusiasmo y luego se olvidan porque no han sido necesarios. Es bueno que no hayan sido necesarios, pero aún así necesitan una correcta inspección y mantenimiento. ¡Esto no es sólo un requisito legal, sino también una medida de asegurar que estén listos para usar si es necesario! Recuerde, los extintores de incendios son una primera línea de defensa contra los incendios. Los extintores de incendios deben mantenerse accesibles y funcionales para eliminar el tiempo perdido cuando se necesitan. Inspeccione sus extintores mensualmente para asegurarse de que estén cargados y en una condición lista para su empleo. Inspecciones anuales de mantenimiento se requieren de acuerdo con la norma NFPA 10. Otros requisitos de mantenimiento y de inspección son necesarios en función del tipo de extintor. ¿Tiene usted la clase de extintor apropiado para el tipo de materiales que tienen más probabilidad de quemarse en su operación? La siguiente es una lista de las diferentes clases de incendios y los extintores de incendios que se recomiendan utilizar en cada caso. La correlación es muy simple: los incendios de Clase A requieren los extintores de Clase A, incendios de Clase B requieren extintores de Clase B, etc. Algunos extintores tienen calificaciones múltiples que les hacen utilizables en diferentes clases de incendios. Pero recuerde, si usted no sabe qué tipo de materiales se está quemando o si usted no tiene la clase adecuada de extintores, no trate de luchar contra el fuego, proceda a evacuar inmediatamente.
